I. Descriptive Title: The Law on Partnership and Corporation
Course Code: LAW 2
Credit Units: 3 units
Pre-requisite: Law 1

II. Course Description:

The course deals with dynamics of Partnerships as a medium of doing business in the Philippines. It aims to equip
students with the knowledge on the nature of partnerships as an artificial being and its’ complex relationship with
different stakeholders such as the Public, the stockholders, the state and the other entities having an interest in it.
It will also deal on the introduction to the basic provisions of the Corporation Code, and general concepts in intellectual
property law, the protection they guarantee, and the actions and remedies involved therein.

III. Course Objective:

In general, the students is expected to understand the fundamental concepts and principles affecting the creation,
continuity, management, control, rights and liabilities affecting a partnership. The student is expected to have a good
understanding of the legal personality of corporations, how they are formed, and their basic difference from single
proprietorships, and partnerships. The student must also be able to differentiate copyright, trademarks and trade names,
and patents, how they are acquired, and enforced.

VI. Course Methodology:

1. Lecture: Presentation segments with embedded interactive experiences such as question and answer sessions.
2. Discussion: Formal or informal interaction on selected topics usually primed by leading and/or open-ended questions.

VII. Course Assessment:

EXPECTATIONS FROM STUDENT:

The student’s responsibility is to come to each class prepared. S/he is also expected to take all examinations on the date
scheduled. S/he should read the assigned problems prior to class. She is expected to attend each class and participate
actively in the discussions.

ACADEMIC DISHONESTY

All students are expected to be academically honest. Cheating, lying and other forms of unethical behavior will not be
tolerated. Any student found guilty of cheating in examinations or plagiarism in submitted course requirements will
receive an F or FAILED in the course requirement or in the course. Cheating refers to securing help in a test; copying tests,
assignments, reports or term papers; collaborating with other students during an examination or in preparing academic
work; signing another student’s name on an attendance sheet; or otherwise practicing scholastic dishonesty.

POLICY on ABSENCES

The allowed number of absences for students enrolled in a 1 ½ hour class 6 sessions - Request for excused absences or
waiver of absences must be presented upon reporting back to class. Special examinations will be allowed only in special
cases, such as prolonged illness. It is the responsibility of the student to monitor her/his own tardy incidents and
absences that might accumulate leading to a grade of “FA.” It is also her responsibility to consult with the teacher, chair
or dean should her/his case be of special nature.

GRADING SYSTEM:

F - Failed
NE - Never Entered
W - Withdrawn from Course
FA - Failure due to Absences
INC - Incomplete (must be completed within 2 months or grade becomes an F)
NFE - No Final Exam
