We thank you for inviting us to submit our offer for supply of HVAC Equipments, we are pleased
to submit our technical proposal, as detailed in the enclosures to this letter.

While on the subject, we wish to highlight that Bahwan Engineering Group is the sole distributors for
Carrier Air Conditioning Equipment, Saiver Air Handling Units, Armstrong Pumps in the
Sultanate of Oman. We are part of the Bahwan Holding, which is one of the largest business houses
in this region. Bahwan Engineering Company has built up an impeccable reputation for reliability
and quality over the past 40 years of operation in Oman.

Carrier, world No. 1 in air-conditioning is also the No. 1 make of air-conditioning Equipment in
Oman and is preferred by various institutional and private buyers over other makes for their central air-
conditioning needs.

We have a large spare parts and Service Centre on a 40,000 sqmt. area, fully equipped with
facilities for servicing and overhauling of Air-conditioning Equipment. We stock all essential
spare parts for equipment represented and sold by us. We have a large inventory of spare parts in our
stock at Muscat.

In order to effectively control the large inventory, we have a fully computerized system of
inventory control with procedures and programmes specially designed for us. We have 24 hours
manned service facility to meet emergency service requirements for your air-conditioning
equipment supplied by us.

ANNEXURE – 3

COMMERCIAL TERMS & CONDITIONS

1) DELIVERY PERIOD:
The normal delivery period for supply of offered equipment is 30-32 working weeks for Safe area
equipment’s which includes maximum of 10 weeks for documentation and manufacturing approval
after receipt of clear order. The actual delivery period would, however, depend on Manufacturers’
production program and stock status at the time of finalization of order. We will be pleased to
discuss this aspect further with you, if required.
Delivery period is subject to receipt of Clear Order / Vendor Document approval / clear
manufacturing approval and factory inspection clearance. Delivery period needs to be suitably
amended for any delay in receipt of the such clearances.

2) VALIDITY:
Our offer is valid for your acceptance for a period of 60 days from the submission date and
thereafter subject to our written reconfirmation.

3) PAYMENT TERMS:
100% through confirmed and irrevocable LC at sight.

4) SUITABILITY FOR USE:

The offered equipment is based on our understanding of the specifications. We request you to
check the offer carefully and assess the suitability of the equipment offered for its intended use.

5) WARRANTY
Our equipment is warranted free from manufacturing defects & bad workmanship for 2 years .
The warranty will cover parts to rectify defects in material or workmanship under normal use
and service, as per the performance parameters of units specified in the contract documents.
Consumables such as oil, refrigerants, etc. will not be covered under warranty. The parts will be
replaced/ repaired at our option and the parts so replaced during warranty will automatically
acquire the unexpired portion of the original warranty.

We reserve the right to replace defective parts of an assembly rather than the complete
assembly. If the warranty services require visit of our personnel to site, we will depute the
personnel to your Site in Duqm and transportation to/from site as well as boarding/lodging for
our personnel will be provided by you free of charge. Please note that as a matter of policy, the
manufacturer DOES NOT offer any warranty against corrosion and as such, our offer does not
include any warranty against corrosion.

6) INSURANCE
While we will ensure safe delivery of the equipment to your site at Duqm, the unloading
facilities as well as protective storage space shall have to be arranged by you. Insurance of our
labour and staff deputed to site shall be covered by us. Any further insurance including
insurance to the materials at site, erection risks, third party liabilities, risks to existing properties
etc. may be included by you as part of your overall insurance cover.

PAYMENT TERMS
By Confirmed and irrevocable letter of credit for 100%, value in favour of AirmechOman
L.L.C.By a reputed bank in Sultanate of Oman.

Validity
30 days hereof

Delivery
Within 18 to 20 weeks to your store in Ghala from the date of confirmed order and
receipt of letter of credit.

Warranty
Standard 12 months warranty from the date of commissioning or 18 months from the date
of delivery, which ever ends earlier.

EXCLUSION
 Any spare parts and accessories.
 Factory witness test, Factory visit.
 Installation of All Equipment’s.
 Any Kindly of Civil/Electrical and Plumbing works.
 Valves, pipings, strainers, supports, pressure gauges and thermometers,
 Balancing valves motorized three way valves for FCU’s, Thermostats etc.
 Dampers, sand trap louvers, sand filters, duct sensors.

SKM Terms & Conditions:

Delivery: Within 18 to 20 weeks after the receipt of technically & commercially confirmed order as well as acceptable Letter
of Credit.

Payment: Irrevocable and confirmed L/C at sight.

Validity: 30 days from the date of quotation.

Maintenance: Periodical maintenance shall be followed by the customer. You can refer to the relevant SKM Installation,
Operational & Maintenance Manual (IOM) for the detailed procedures and instructions. Records of such shall be retained
and that SKM reserves the right to audit and examine them at any time.

Warranty: Units are covered under SKM standard warranty (Form# MFK/WRNTY/2005) for 18 months from the date of
dispatch OR 12 months from the date of commissioning, whichever comes earlier. Also, 5 years’ warranty on hermetic
compressors from the date of dispatch, wherever applicable.

The warranty is subject to the following terms & conditions:

 SKM shall not be liable for incidental damages of whatsoever nature reason.
 SKM shall not be liable for damages in transit, deterioration or damage while stored in an inappropriate place.
 The warranty does not include the cost of labor in repairing or removing a defective part, or in installing a
replacement part.
 The warranty does not include consumables, such as refrigerant gas, belts, filters, etc.
Storage: Seven days free storage is allowed from date of notification from SKM after which applicable charges will be
imposed as per SKM policy.

Cancellation charges: In the event of cancellation of an order, a fee equivalent to 25% of order value will be applicable.

Taxes: It is hereby clarified that all Prices do not include Value added tax (VAT) or any other taxes. Therefore, the Prices
shall be increased by the amount of any after-imposed taxes by any competent authority in UAE or abroad whether federal
or local in which the Buyer in addition to the Quoted price will be required to pay to the Seller (by way of reimbursement to
the Seller where applicable).

"This tender is governed by and subject to SKM’s standard conditions of sale for Air-conditioning Machinery & Equipment
(Form # STC/01/98 dt. 15th June, 1998). A copy of same shall be provided on request."
