Finance Manager

Job Description:

Finance Job:

1. Review and check the consistency and reasonableness of Financial Model prepared by consultant.
2. Provide input and feedback whether the Financial Model is prepared on the realistic assumption fit to the
Project.
3. Examine financial, legal, techno commercial documents to verify accuracy and adherence to
financial and tax regulations and acceptable financial principl e
4. Coordinate with finance providers on due diligence, term sheet negotiations and
documentation
5. Develop external relationships with appropriate contacts, e.g. auditors, solicitors, bankers and
statutory organizations such as the National Board of Revenue, Bangladesh Investment Development
Authority (BIDA), Bangladesh Power Development Board, etc.
6. Work closely with the engineering team to draft, redraft and finalize various project contracts, work
orders, side letters for the benefit of the organization.
7. Liaise with various consultants of project and lenders to keep them update on various project related
information and documents.
8. Solicit with the Central Bank along to process the Outward Remittance and Inward Remittance in
accordance with the Foreign Exchange Guideline against payment of various services received from
Foreign Consultant

Secretarial Job:

9. Prepare the documentation for new company formation and complete the legal requirement with
Registrar of Joint Stock Companies and Firms (RJSC)
10. Work with the legal consultant to get High Court order for Amalgamation of companies.

11. Work closely with accounts department along with the secretarial consultant to complete the
Amalgamation process.

12. Organize and prepare agendas and papers for board meetings, committees and annual general
meetings (AGMs) and Extra Ordinary General Meeting (EGMs)

13. Take minutes, draft resolutions, and lodge required forms and annual returns with Companies
House

14. Deal with correspondence, collate information and write reports, ensure decisions made in the
meeting are communicated to the relevant company stakeholders and follow up.

Accounting & HR Job:

15. Prepare the monthly payroll and disburse the same as per the company policy
16. Implementation, monitoring and management of internal controls to include documentation and audit
thereof
17. Review the company's financial accounting and monitor the reporting systems
18. Prepare quarterly, bi-annual and annual Financial Statements for various stakeholders.
19. Check and verify various invoices submitted by Foreign and Local vendors, suppliers, consultants etc. and
make sure the invoices are in line with the Contract, Work Order or other documents agreed with the
parties.
20. Ensure the payment of various parties are on due time.
21. Updates job knowledge by remaining aware of new regulations; participating in educational
opportunities; reading professional publications; maintaining personal networks; participating in
professional organizations.

Taxation Job:

22. Ensure whether taxation laws of the country and the correspondence foreign country is conforming by the
Accounts Department.
23. Check whether the Tax and VAT are deducted at source properly as per the Income Tax Ordinance 1984
and Income Tax Rules 1984 as updated respectively.
24. Ensure the deducted taxes are deposited into the Government Treasury in due time.
25. Submit the periodic ‘Return of Withholding Tax’ report to the respective circle of National Board of
Revenue
26. Submit Annual ‘Return of Income’ in due time to comply with the section 75 of the Income Tax Ordinance
1984 as updated.
27. Issue ‘Certificate of Deduction of Tax’ and ‘Certificate of Collection of Tax’ to the parties from whom the
tax had been deducted and collected.
28. Submit Monthly ‘Mushak 19: VAT Return’ to respective circle of National Board of Revenue.
29. Solve any tax related problem in consultation with CFO and other relevant person.

Other:

30. Act as Monthly Canteen Manager on rotation basis.


31. Issue Invitation Letters to various foreigners intended to come Bangladesh for various business meetings
and for doing job with the Company.
32. Arrange accommodation and ensure air communication for various foreign delegates during visit to
Bangladesh.
33. Work closely with BIDA to acquire Visa on Arrival for various foreign delegates
34. Liaise with various stakeholders and internal departments to ensure all License and Permits required by
Implementation Agreement are acquired on due time.
35. Liaise with and help the Estate Department of S.Alam Group to ensure the proper documents are supplied
to the lender’s local legal adviser Farooq & Associates time to time.
