I, IAN RODRIGUEZ, Filipino, of legal age, single, with residence address at

Daro, Dumaguete City, Negros Oriental Philippines, after having been duly
sworn in accordance with law, hereby depose and say that:

1. I am the duly elected Corporate Secretary of Keep Pets Diva (“KPD

Corporation”), a corporation existing and organized under and by virtue
of the laws of the Philippines and duly registered with the Securities
and Exchange Commission;

2. At the Board of Directors’ meeting of the Corporation held on January

3, 2020 at Piapi, Dumaguete City, Philippines, at which meeting a
quorum was present, the following resolution was unanimously passed
and approved, to wit:

BOARD RESOLUTION No. 2020-9

“WHEREAS, Keep Pets Diva (KPD) Corporation is a duly registered

corporation with the Securities and Exchange Commission, with principal
place of business at Brgy. Daro, Dumaguete City, Philippines;

“RESOLVED, that in the special meeting of KPD CORPORATION

held at Daro, Dumaguete City, Negros Oriental it was agreed and
unanimously approved by the Board of Directors to give the Dumaguete
Branch Manager, Mr. Ian Rodriguez authority to open and enroll a bank
account in BDO Unibank, Inc. (BDO) Philippines, Dumaguete Branch located
in Colon, Dumaguete City, Negros Oriental;

 “RESOLVED, FURTHER, the Board agreed that such authority
granted to Mr. Ian Rodriguez include, among others, to sign and execute
documents, to process application for any requirements thereof”

3. I hereby certify that the foregoing resolutions are in full force and effect
and that they have not been revoked, amended or cancelled.
