AGREEMENT

This agreement is made this Thursday of June 2017

BETWEEN
The purchasing manager for a hotel complex

ABN [87410452456]
(Hotel)

AND

The outlet home wares & furniture

ABN [95418742453]
(The stock)

IT IS HEREBY AGREED THAT

Intention
 Both parties intend to create legal relations.
 Both parties intend to abide by the contract.
 Both parties understand and intend that the agreement be enforced by law.

Agreement
All stock required for the outlets must be requisitioned through department

Offer
The authority to negotiate contracts with suppliers to the value of $150,000 per annum

Terms
Otherwise, amounts required to increase current supplies will be purchased. However, it must
match or be similar to the current service equipment.

Conditions
The job of sourcing all furniture, large and small equipment, and food and beverage service
equipment required for the new dining area.

Price and the ability to supply the products and services within required timeframes will be
important considerations.
Warranties
The products and services within required timeframes will be important considerations.

Termination clause
Dealing with suppliers, placing orders, receiving deliveries, storing and distributing stock,
contacting maintenance and repair specialists as required, and managing the cleaning
contractor.

Default clauses
Any contracts for equipment must include delivery and installation deadlines.

Indemnity clauses
The precise wording of the indemnity clause determines the extent of the indemnity and the
risks allocated between the parties to the contract.

Exclusion clauses
To be properly included in the contract, the clause cannot be tacked on after the contract has
been made. If there is a signed contract containing the clause, this will usually have the effect of
including it.

Director’s guarantee
The bistro in its current format has been open for seven years. The food and beverage manager
has indicated that the current service equipment (especially the crockery) is showing stains and
signs of long-term use.

Negotiable terms
Most notably, deposit, settlement date, price and sometimes there might be some subject to
condition that the purchaser requires to be imported into the contract unless of course, if you’re
buying in an auction, you won’t have the opportunity to negotiate such terms.

Dispute resolution clauses, mediation and arbitration processes


Otherwise, amounts required to increase current supplies will be purchased. However, it must
match or be similar to the current service equipment.

Bonus and penalty provisions


Amounts payable for performance are not penalty clauses if the performance is not met. For
example if you included a bonus for early completion of work and the Supplier failed to complete
the work early, the failure to pay the bonus would not be a penalty or liquidated damage as they
are not connected with a breach.

Supplier acceptance
The above prices/specifications and conditions of work are hereby accepted by
Ms.Wanyarat Rating, authorised representative/owner of a hotel complex
This agreement shall become effective from 19 June 2017
