Dear Sir,
With regard to your quotation and sub-sequent discussion held with yourselves, we are pleased
to issue you the work order for aforesaid works subjected to drawing, specifications, terms and
conditions and Engineer instructions issued from time to time.
The agreed contract sum is INR ***** / - (Indian Rupees )

1. Scope of Work
The scope of work broadly includes all the labour, supervision, tools and tackles, machinery
etc. required for administering and executing aforesaid works as per drawings and specification
laid down by Engineer in Charge. Contractor shall carry out aforesaid works and additionally if
required, Contractor shall carry out any additional item or miscellaneous works as per
instructions of Engineer in Charge. For items not included in this work order, the procedure of
prior rate approval for extra item shall be followed.

2. Mode of Measurement
All the works shall be measured on item-rate basis and the Contractor shall be paid for actual
quantities of work executed, jointly measured and approved by Engineer in Charge.

3. Client Free Supply

The material required for completion of aforesaid works shall be supplied by the Employer free
of cost such as cement, sand, aggregate, Water, Admixture and Reinforcement etc. with
allowable wastage of 3%. Employer shall provide material in heaps at certain interval along the
boundary wall and the Contractor need to arrange for in-situ material lead to the required
location for construction of piles at his own cost.

4. Mixing method
Contractor shall make use of half bag mixer and proper pharmas for batching of material and
mixing of concrete and Contractor shall observe quality control to the satisfaction of Engineer in
Charge.

5. Taxes and Duties

As applicable, Services tax shall be paid extra and TDS shall be deducted from Contractor’s RA
bills. In the eventuality of any increase/decrease in the prevailing taxes imposed by the state or
central government, during the currency of the contract, the same shall be paid to
you/reimbursed to us (in case of decrease) on submission of relevant documents in support of
the claim.

6. Terms of Payment
Contractor shall be paid Auger Machine transportation charges as stated in the above schedule
on completion of the aforesaid works along with the final bill.
Payment shall be made within 15 days against invoice duly certified by Engineer in Charge. 5%
amount shall be retained from every RA bill and the same shall be released after 3 months from
the final bill with NOC from Engineer in Charge against invoice. Contractor Invoices shall be
subjected to recoveries which are in the view of EIC are appropriate.

7. Labour camp
If required, Employer shall provide space for labour. Contractor shall arrange for shifting of
material and erection of hutments at the same location for his workmen. Water and electricity
shall be provided to the Contractor by the Employer at one source point for labour camp and
execution of aforesaid works only. Contractor shall use only CFL bulbs in the labour camp.
Contractor shall maintain the labour camp and sanitation facilities in acceptable hygienic
condition.

8. Labour laws
Contractor shall not engage labour below 18 years of age and shall pay wages to his workmen
as per minimum wages act vide. circular issued by labour commissioner Mumbai from time to
time.

9. HSE
Contractor shall provide all the necessary PPE’s to his workmen and shall observe all the
safety measures at site. In the event of any accident shall be solely the Contractor’s
responsibility and shall be solely to the Contractor’s account.

10. Matter to be settled by Owner :

All disputes and differences of any kind whatsoever arising out of or in connection with the
contract, whether during the progress of the works or after completion shall be referred by the
Contractor to the Employer and the Employer shall within a reasonable time after their
presentation make and notify decisions thereon in writing.
The decisions, directions, clarifications, measurements, drawings and certificates with respect
to any matter the decision for which is specifically provided for by these or other special
conditions to be given and made by the Employer are matters which are referred to hereinafter
as excepted matters and shall be final and binding upon the Contractor and shall not be set
aside on account of non-observance of any formality, any omission, delay or error in
proceeding in or about the same or on any other ground or for any reason and shall be without
Appeal.
Notwithstanding any other rights of the Employer, the Employer may seek injunctive relief in
any court of competent jurisdiction against improper use or disclosure of any confidential
information of the Employer. As used herein Confidential Information shall mean all information
of the Employer disclosed to you at any time from the date of receipt of the work order by you
from the Employer or its Project Manager relating to any matter the subject this contract.

11. Termination of the contract

The contract can be terminated by the Employer in the event of non-performance or sub-
standard quality of work as may be determined by the Employer with due notice and no
compensation shall be paid to the contractor on this account. All the completed works,
incomplete works, material, design and all the documents which form part of this contract shall
be the sole property of the Employer and the Contractor shall be paid depending on stage of
completion, an appropriate amount as may be evaluated by Engineer in Charge.

12. Documents to the contract

This work order to the extent modified herein shall supersede any condition included in
attached document or any correspondence between Employer and Contractor and shall form
binding contract between the two parties.
