MEMORANDUM OF AGREEMENT
This agreement made and entered into this day of by and between:

with existing laws, with editorial address along Provincial Road, Poblacion West, Tabuk City,

WITNESSETH:
Whereas, the FIRST PARTY is purchasing local weekly newspaper particularly the GURU
Press “Guru-od ti Amianan” referred to as “PERIODICALS” ;
Whereas, the SECOND PARTY is the sales distributor of newspaper to various national

and local Offices in Tabuk City and Kalinga Province and has offered to sell and supply

PERIODICALS to the FIRST PARTY through credit line, pursuant to the terms and
conditions agreed in this MOA by both parties;

Whereas, the FIRST PARTY has reviewed and accepted said offer in view that it would
be more practical and advantageous to the government to formalize a supply agreement
with certain sales newspaper distributor;
GENERAL PROVISIONS:
1.That the SECOND PARTY shall extend credit line to the FIRST PARTY for the purchase
and delivery of PERIODICALS weekly except on Saturdays, Sundays and non-working

holidays at a corresponding costs to the DPWH-UKDEO of ten (10) copies at Php 8.00/copy
every Monday;

2. Weekly Delivery Report with corresponding total cost of the PERIODICALS delivered
(FIRST PARTY)
and Billing Statement shall be made by the SECOND PARTY on the first working day of
the succeeding month;
3. That the FIRST PARTY shall pay the exact amount for the number of PERIODICALS
actually delivered tallying with the Monthly Delivery Report and Billing Statement within five
(5) day from receipt of the Billing Statement;
4. All applicable taxes, cost and other charges assign from the sales transactions shall be
for the account of the SECOND PARTY;
5. Either PARTY in this agreement can revoke any or all the terms or conditions stipulated
herein should there be any gross violation of the same, in writing, addressed to the other
party who has caused the violation, within seven (7) days from the commission of the act;
and
6. That the parties shall exert their best efforts in resolving whatever differences that may
arise from the execution of their agreement and shall subject themselves to the procedures
of Alternative Dispute Resolution (ADR) in resolving the said conflict;
EFFECTIVITY:
This MOA shall be effective for a period of one (1) year (January to December 2019) and
shall be binding to both parties upon signing of this instrument, unless otherwise revoked
or rescinded.
No amendments, variation, addition or substitution in this MOA shall have any force or
effect unless the same is made in writing.
Neither PARTY shall have any claim for the damages under this MOA except for the payment
of obligations. In case of suit, the parties agree that all actions arising from this MOA will
be filed in the court of Tabuk City.

ACKNOWLEDGEMENT
BEFORE ME, Notary Public for and in the above jurisdiction, this day of
2019, personally appeared the above-named persons, who have
satisfactorily proven to me their identity through their identifying documents that they are
the same persons who executed and voluntarily signed foregoing Memorandum of
Agreement, which they acknowledged before me as their free and voluntary act and deed.
This instrument consists of three (3) pages, including this page on which this
Acknowledgement is written, duly signed by both parties and their witnesses on the left in
each and every page by their parties, and their instrumental witnesses.
