This Extrajudicial Settlement of Estate, made and executed in _______________,

1. PONCIANO M. GIMENA, JR., Filipino, of legal age, married and a resident of Ronda,
Cebu.

2. ELI M. GIMENA, Filipino, of legal age, married and a resident of Ronda, Cebu.

3. LUCITA M. GIMENA, Filipino, of legal age, single and a resident of Malitbog, Leyte.

4. DELIA G. ACAIN, Filipino, of legal age, married and a resident of Cordova, Cebu.

5. RUBEN M. GIMENA, Filipino, of legal age, married and a resident of Talisay City, Cebu.

6. DANILO M. WONG, Filipino, of legal age, married and a resident of Minglanilla, Cebu.

7. ROMEO M. WONG, Filipino, of legal age, married and a resident of Compostela, Cebu.

8. ROY M. WONG, Filipino, of legal age, married and a resident of Lapu-Lapu City, Cebu.

9. MYRNA W. EROJO, Filipino, of legal age, married and a resident of Lapu-Lapu City, Cebu.

10. GRACE W. TUCKER, Filipino, of legal age, married and a resident of Charlotte, North
Carolina.

11. VILMA M. WONG, Filipino, of legal age, married and a resident of Lapu-Lapu City, Cebu.

12. ALLAN M. WONG, Filipino, of legal age, married and a resident of Talisay City, Cebu.

13. JOSE M. WONG, Filipino, of legal age, widowed and a resident of Talisay City, Cebu.

WITNESSETH:

1. That the above-named parties are the sole heirs of Lucia Maribao Wong being the latter’s
legitimate children. (“Heirs of Lucia”)

2. Lucia Maribao Wong passed away on November 2, 2008, and at the time of her death, was
residing at Charlotte, North Carolina;

3. That the decedent left no will;

4. That to the best knowledge and information of the parties hereto, the said deceased left no
debts;

5. That the said deceased, at the time of her death, owned a SIX THOUSAND TWO
HUNDRED SIXTY NINE (6,269) square meters parcel of land situated in Barangay Sta.
Cruz, Ronda, Cebu, and covered by Tax Declaration (TD) No. 35001207959 of the
Province of Cebu, together with all the existing improvements thereon.

6. That the above-described parcel of land is not tenanted and does not come within the
operation of the Comprehensive Agrarian Reform Program;

 7. That, pursuant to Section 1 of Rule 74 of the Revised Rules of Court of the Philippines, by
agreement between the parties herein, the entire interest of the decedent in the above-
described property shall be divided and settled among them in equal shares pro indiviso:

8. That for and in consideration of the sum of FIVE MILLION FIVE HUNDRED
THOUSAND PESOS (Php5,500,000.00), Philippine Currency, receipt of which is hereby
acknowledged by the HEIRS OF LUCIA , do hereby SELL, CONVEY, and TRANSFER
by way of ABSOLUTE SALE unto NILO B. LIAO and CARMENCITA S. LIAO, their
heirs, assigns and successors-in-interests, all their rights, interests and participation over the
above-described parcel of land;

IN WITNESS WHEREOF, the Heirs of Lucia have hereunto set their hands this
