About Gujarat RERA

Government of India has enacted the Real Estate (Regulation and Development) Act 2016 and
all the sections of the Act shall come into force with effect from May 1, 2017. Under this Act,
Government of Gujarat established Gujarat Real Estate Regulatory Authority (GUJARAT RERA),
for regulation and promotion of real estate sector in the State of Gujarat. The key provisions
of Gujarat Real Estate (Regulation and Development) Act, 2016 are as follows:

1. Real Estate Regulatory Authority and Appellate Tribunal


Under this Act, appropriate government shall establish Real Estate Regulatory
Authority for regulation and promotion of the real estate sector in the State / UTs. The
Authority shall strive to facilitate the growth and promotion of a healthy, transparent,
efficient and competitive real estate sector while protecting the interest of allottees,
promoters and real estate agents. The authority shall also establish an adjudicating
mechanism for speedy dispute redressal regarding registered real estate projects. The
key responsibilities of the Authority shall be as follows:

 Ensuring Disclosures of Real Estate Projects by Promoters


 Real Estate Projects Registration
 Real Estate Agents Registration
 Complaints Redressal
 Provide recommendations to appropriate Government on in matters relating to
the development & promotion of real estate sector;

The appropriate Government shall also establish Appellate Tribunal to hear appeals
from the decisions, directions or orders of the Real Estate Regulatory Authority. Any
person aggrieved by any direction or decision or order made by the Authority or by an
adjudicating officer may file an appeal before the Appellate Tribunal and the appeal
shall be dealt with by it as expeditiously as possible and endeavor shall be made by it
to dispose of the appeal within a period of sixty days.

2. Real Estate Projects Registration


All commercial and residential real estate projects will have to register except in
projects where
o Area of land proposed to be developed does not exceed five hundred square
meters
o number of apartments proposed to be developed does not exceed eight
inclusive of all phases
o promoter has received completion certificate for a real estate project prior to
commencement of this Act

o for the purpose of renovation or repair or re-development which does not


involve marketing, advertising selling or new allotment of any apartment, plot
or building, as the case may be, under the real estate project

No promoter shall advertise, market, book, sell or offer for sale, or invite persons to
purchase in any manner any plot, apartment or building, as the case may be, in any
real estate project or part of it, in any planning area within Gujarat, without registering
the real estate project with the Gujarat Real Estate Regulatory Authority (GUJARAT
RERA). Promoter of ongoing real estate projects, in which all buildings as per
sanctioned plan have not received Completion Certificate, shall also be required to be
registered for such phase of the project which consists of buildings not having
occupation or completion certificate.

If any promoter fails to register as per Act, he shall be liable to a penalty which may
extend up to ten per cent of the estimated cost of the real estate project. On
continued violation, he shall be punishable with imprisonment for a term which may
extend up to three years or with fine which may extend up to a further ten per cent of
the estimated cost of the real estate project, or with both.
Apart from Registration, the promoters shall be required to provide quarterly updates
on the status of the project to the authority.

3. Real Estate Agents Registration


All Real Estate Agents should register under this Act. No real estate agent shall
facilitate the sale or purchase of or act on behalf of any person to facilitate the sale or
purchase of any plot, apartment or building, as the case may be, in a real estate
project or part of it, without obtaining registration under this section.
If any real estate agent fails to register, he shall be liable to a penalty of ten thousand
rupees for every day during which such default continues, which may cumulatively
extend up to five per cent of the cost of plot, apartment or buildings, as the case may
be, of the real estate project, for which the sale or purchase has been facilitated

4. Filing of complaints
Any aggrieved person may file a complaint with GUJARAT RERA or the adjudicating
officer, as the case may be, with respect to any registered real estate project, for any
violation or contravention of the provisions of this Act or the rules and regulations
made there under. The Authority shall establish an adjudicating mechanism for speedy
redressal of such complaints.
Any person aggrieved by any direction or decision or order made by GUJARAT RERA or
by an adjudicating officer may file an appeal before the Appellate Tribunal

5. Financial Discipline
The Act strives to ensure greater financial discipline in the real estate sector. Some of
its provisions are as follows:
o A promoter shall not accept more than ten per cent of the cost of the apartment,
plot, or building as the case may be, as an advance payment or an application fee,
from a person without first entering into a written agreement for sale with such
person and register the said agreement for sale.
o Seventy per cent of the amounts realized for the real estate project from the
allottees, from time to time, shall be deposited in a separate account to be
maintained in a scheduled bank to cover the cost of construction and the land
cost and shall be used only for that purpose
o Withdrawal from such accounts shall be in proportion to the percentage of
completion of the project, which shall be certified by an engineer, an architect and
a chartered accountant in practice.
o Promoter to compensate buyer for any false or incorrect statement with full
refund of property cost with interest
o Project Accounts to be Audited / FY. Copy to be submitted to GUJARAT RERA
o Provision for GUJARAT RERA to freeze project bank account upon non-compliance
o Provision for stronger financial penalties for GUJARAT RERA non-compliances
6. Transparency
The Act shall drive great transparency in the real estate sector as follows:
o sanctioned plans, layout plans, along with specifications, approved by the
competent authority
o Proposed Plan, Proposed Layout Plan of the whole project and Floor Space Index
proposed to be consumed in the whole project, as proposed by the promoter
o Proposed Number of building(s) or wing(s) to be constructed and sanctioned
number of the building(s) or wing(s).
o The stage wise time schedule of completion of the project, including the
provisions for civic infrastructure like water, sanitation and electricity.
o Quarterly update of the list of number and types of apartments or plots, as the
case may be, booked
o Quarterly update of the list of number of covered parking, garages booked;
o Quarterly update of the list of approvals taken and the approvals which are
pending subsequent to commencement certificate;
o Quarterly update of the status of the project; and
Such other information and documents as may be specified by the regulations
made by GUJARAT RERA.
Gujarat RERA is soliciting proposals for development of IT systems to administer
the responsibilities and duties enshrined in this act in a transparent, efficient,
citizen friendly manner, foster trust amongst buyers of properties, enable
conducive environment for compliance for the project developers, help guide

urban planning and approval process and facilitate investments in real estate
sector.

SECTION I: INVITATION FOR BIDS


Competitive Bids are invited for Selection of Service Provider for Designing, Development,
Integration, Implementation, support and Maintenance for Approval Management and
Performance Reporting System including BI (Business Intelligence) and Data Analytics
platform for Gujarat RERA.
1. Request for Proposal for “Selection of Service Provider for Analysis, Designing,
Development, Testing, Implementation and Integration for Approval Management and
Performance Reporting System including BI for Gujarat RERA” shall be called the solution
in subsequent sections, for implementation period of 6 months, one year of warranty and
three years of p o s t G o - L i v e support & maintenance including update/upgrade as
per the requirements and scope of the project defined in this RFP.
2. The reporting framework shall provide Analytical tool for GUJARAT RERA that allows
varying levels of data analysis/Dash boards/ exception reports and MIS in various
permutations/combinations, using structured and un-structured data from variety of
relevant and identified data sources. Results should enable GUJARAT RERA to take
informed decisions - driven by data and record regarding performances of various
stakeholder on physical and financial parameters, fund utilization, comparative and
absolute performance, historical trends, areas of challenge or success, and provide
leadership the ability to guide agency quantify key metrics toward agency goals.
3. The bidder shall be responsible for providing all types of applications/services,
analytical reports, hardware and tools, as may be required and as mentioned in Tender
document & Scope of Work, covering all aspects of the Gujarat RERA act as a part of this
project.
4. Please note that this bid document is not for actual award of contract / work order but is a
technical and financial bid for the project under two bid, cost cum quality based system.
5. Actual award of contract will follow the conditions as per this document. This document is
given for enabling the bidders to know the tender conditions so as to guide them in filling
up the technical bid and the quoting rates for development and maintenance of proposed
Solution.

SECTION II: GENERAL TERMS AND CONDITION, ELIGIBILITY CRITERIA AND PREPARATION
OF BIDS
1. General Terms and Conditions and Instruction to Bidders:
a. All bids must be submitted online on https://gipl.nprocure.com website. No physical
bid will be accepted.
b. Bid processing fees (non-refundable) shall be submitted in the form of Demand Draft
in the name of “Guj Info Petro Ltd.” payable at Gandhinagar.
c. EMD shall be submitted in the form of Demand Draft OR in the form of an
unconditional Bank Guarantee (which should be valid for 9 months from the last date
of bid submission) of All Nationalized Bank including the public sector bank or Private
Sector Banks or banks (operating in India having branch at Ahmedabad/ Gandhinagar)
as per the G.R. no. EMD/10/2018/18/DMO dated 16/04/2018 issued by Finance
Department or further instruction issued by Finance department time to time in the
name of “Guj Info Petro Ltd.” payable at Gandhinagar (as per prescribed format given
at as per prescribed format given at Annexure 6) and must be submitted along with
the covering letter.
d. Bidder shall submit the Affidavit -Self Declaration physically at GIPL in Original on
Non‐ Judicial stamp paper of Rs. 100/‐ duly attested by Magistrate / Notary with EMD
& Bid processing fees (as per prescribed format given at Annexure 7).
e. This RFP document is not transferable.
f. Pre‐qualification / Eligibility details & Technical Bids will be opened in the presence
of Bidder’s or their representatives who attend on the specified date and time.
g. The bidder, who intends to participate in this bid, is required to follow the
below mentioned stages:
o Pre Bid Conference
o Technical & Financial Bid Submission
o Opening of Technical Bid
o Evaluation of Technical bid (70% weightage)
o Technical Presentation for eligible bidders
o Opening of Financial bids of all qualified bidders.
o Award of LOI followed by Performance Bank Guarantee submission, issuance of
work order & agreement signing.
h. Minimum absolute technical score to qualify for commercial/financial evaluation is 70
out of a total of 100 marks for technical scoring.
i. An undertaking from the Bidder stating the compliance with all the conditions and
Technical Specifications of the Bidding Document will be required since no deviation
will be acceptable to GUJARAT RERA. Any deviation from the same will lead to the
disqualification.
j. The bidder achieving the highest combined technical and financial score will be invited
for negotiations and awarded contract.

k. “Applicable Law” means the laws and any other instruments having force of law
in India as they may be issued force and in force from time to time.
l. “Proposals” means proposals submitted by bidders in response to this RFP .
m. “Tendering authority” means Guj Info Petro Ltd., Gandhinagar.
n. “Competent Authority” means the Secretary, Gujarat RERA, Gandhinagar.

3. Preparation of Bids
The Bidder shall bear all the costs associated with the preparation and submission of its
bid, and GIPL/GUJARAT RERA will in no case be responsible or liable for these costs,
regardless of conduct or outcome of bidding process.

4. Bidding The Documents


1 Contents of Bidding Documents
1.1 The bid (technical & commercial) must be submitted online only while technical
bid (2 copies – 1 Original + 1 duplicate) in the physical form shall also be submitted
at GIPL Office.
1.2 The Bidder is expected to examine all instructions, forms, terms and specifications
in the bidding documents. Failure to furnish all information required by the
bidding documents in format or submission of a bid not substantially responsive to
the biding documents in every respect will be at the Bidder’s risk and may result in
rejection of its bid.
2 Amendment of Bidding Documents
2.1 In order to allow prospective bidders reasonable time to consider the
amendments while preparing their bids, GIPL/GUJARAT RERA at its discretion,
may extend the deadline for the submission of bids.

5. Preparation of Bids
1. The Technical Bid and Financial Bid must be submitted online on
https://gipl.nprocure.com as per given format.
2. The Bidder shall submit the Technical Bid and Financial Bid as per format mentioned in
this document.
3. The bid documents and addendums (if any) together shall be considered as final.

A. Bid Prices:
1.1 The Bidder shall indicate the prices in the format mentioned in Financial Bid
separately showing applicable taxes. However for Net Present Value (NPV)
calculations for arriving at total cost of ownership, taxes shall not be included.
1.2 Following points need to be considered while indicating prices:
a. The prices quoted should be firm and also include, inland transportation,
insurance and other local costs incidental to delivery and
installation/commissioning of the goods and services to their final destination
within the state of Gujarat.
b. The rates of any Indian duties, GST or other taxes which will be payable by
the Client on the goods(if any) if this contract is awarded, and hence
should be quoted separately.
c. The taxes are extra and payable as applicable at the time of invoicing.
d. Invoicing shall be from Gujarat only.

1.3 Responsibility of the Bidder for implementation of solution:


a. Delivery of the software solution as per the scope of work to meet
functionalities
b. Successful bidder shall host the solution at Gujarat RERA defined Data centre
after getting Security Audit Certificate. The bidder shall also quote and
supply& maintain the IT infrastructure required to run the solution from
Gujarat RERA data center.
c. The bidder shall design the solution keeping in mind the maximum use of
open source and free to use software and platform, while ensuring the
sustainability.
d. The Intellectual Property Right - IPR of the Solution shall rest with the Gujarat
RERA. The same would be applicable to copyrights. The service provider shall
sign any/all the documents in his regard and hand over the source code, Meta
data details etc. to GUJARAT RERA before release of final payment on
completion of implementation of solution.

B.Bid security/Earnest Money Deposit:


2.1 EMD shall be submitted in the form of Demand Draft OR in the form of an
unconditional Bank Guarantee (which should be valid for 9 months from the last
date of bid submission) of All Nationalized Bank including the public sector bank or
Private Sector Banks or banks (operating in India having branch at Ahmedabad/

must be submitted along with the covering letter. The sealed cover should super
scribe as “Selection of Service Provider for Analysis, Designing, Development,
Testing, Implementation and Integration for Approval Management and
Performance Reporting System including BI for Gujarat RERA ”
2.2 Bidders shall submit the affidavit physically to GUJARAT RERA IN ORIGINAL on
Non‐ Judicial Stamp Paper of Rs. 100/‐ duly attested by Magistrate/ Notary with
and EMD. (as per prescribed format given at Annexure 7).
2.3 Proposals not accompanied by EMD & Bid processing fees shall be rejected as
non‐responsive.
2.4 The successful bidder’s bid security will be discharged from GIPL only after the
signing of the contract and submission of performance security.
2.5 Disqualified (at any stage) / Unsuccessful bidder’s EMD will be discharged /
refunded as promptly as possible, but not later than 30 days of the validity
period of the bid.
2.6 No exemption for submitting the EMD will be given to any agency.
2.7 The EARNEST MONEY DEPOSIT shall be forfeited:
a. If a Bidder withdraws its bid during the period of Bid validity specified by the
Bidder on the Bid Form.
b. Or in case of a successful Bidder, if the Bidder fails to sign the Contract; or to
furnish the performance security.
C. Clarification on RFP
3.1 A prospective Bidder requiring any clarification on his queries submitted on the
date indicated under this document. GIPL will respond to any request for the
clarification of any bidding documents, which receives before date mentioned for
submission of queries.

6. Submission of Bids
1. All bids must be submitted mandatorily online as per the formats mentioned in bid
document.
2. Bids (both in online & the physical form) must be submitted on time, no bids will be
accepted after the date and time mentioned in the [Section-II].

A. Deviations: All deviations must be explicitly stated. No deviations are acceptable.


However in case bidder has serious issues, committee will take a call on whether to
accept or reject the deviation.
B. Modification and Withdrawal of Bids:
1. The Bidder’s modification or withdrawal notice shall be prepared, sealed, marked
and dispatched in hardcopy.
2. No bid may be modified subsequent to the deadline for submission of bids.
3. No bid may be withdrawn after deadline for submission of bids and the expiration
of the period of the bid validity specified by the Bidder on the Bid Form.
Withdrawal of a bid during this interval may result in the Bidder’s forfeiture of its
bid security, pursuant to Section –II, Part B, Clause 2.7.

7. Bid Opening and Evaluation of Bids


1. Bid opening at GIPL
1.1 GIPL will open the envelope containing EMD and bid processing fees at preliminary
stage in the presence of Bidder or his representative who choose to attend, and at
GIPL, Gandhinagar. This stage will be evaluated on line.
1.2 The Bidder’s representative who is present shall sign an attendance register
evidencing their attendance.
1.3 Bids that are not opened and read out at bid opening shall not be considered for
further evaluation, irrespective of the circumstances.
2. Primary Evaluation of Bids:
2.1 The bidders not submitting tender fees & EMD or either of both shall be straight
away rejected for further tender evaluation. The qualified bidders will become
eligible for pre-qualification criteria evaluation.
2.2 GIPL/GUJARAT RERA will examine the bids to determine whether they are
complete, whether any computational errors have been made, whether sureties
have been furnished, whether the documents have been properly signed, and
whether the bids are generally in order.
2.3 If a Bid is not substantially responsive, it will be rejected by GIPL/GUJARAT RERA,
GANDHINAGAR and may not subsequently be made responsive by the Bidder by
correction of the non-conformity.
2.4 Conditional bids are liable to be rejected.

3. Technical and Commercial bid evaluation criteria:


3.1 GIPL/GUJARAT RERA, GANDHINAGAR will form a Committee which will evaluate
the Technical response based on documentation/technical presentation and
Demo presented by bidders for a detailed scrutiny.
3.2 The bidders are expected to provide all the required supporting documents &
compliances as mentioned in this RFP. Any deviation from the same will lead to
the disqualification.

While the commercial bid shall be as per the formats attached herewith in the
annexures, the Technical Bid shall contain the following, in addition to the
organization requirements in the prescribed formats as at the annexure.

for offsite for a period of 12 months thereafter 2 CVs for onsite and 2 CV for
offsite for the rest of the period of contract. CVs must be signed by employee
and counter signed by HR of the organization for the correctness and bonafide.
Change of CV is not allowed.

j Value added feature proposed by bidder: While task list and expectations are
outlines in this document, GUJARAT RERA expects bidders to use their
experience and exposure and list of value adding deliverables and outcomes to
meet the objectives. These must be costed and if accepted, shall become part
of deliverables within the quoted cost.
k Unpriced bill of material of the IT infrastructure viz hardware, software, utility,
tools or security purposes etc. required for the operations of the software and
reporting framework/BI as per SLAs and defined user load. This should include
the sizing details, item name, make and brand, detailed specifications, whether
open source or not, description, purpose of use, quantity required for the user
base of GUJARAT RERA.
l Any other document that the bidders believe can add to their technical
evaluation.
Each of the above will be evaluated and assigned scores as placed in the following
sub section.

3.6 Evaluation of Bids

The bids will be evaluated on a Quality and Cost Based Selection [QCBS] basis. The
proposals will be ranked according to their combined technical and financial scores
using weights. GUJARAT RERA is open to Service providers for providing live
demonstrations of the proposed system/ similar system developed by them. This is an
opportunity to demonstrate their recommended implementation approach to meeting
the GUJARAT RERA's needs and verify understanding, assess value, and evaluate
suitability.
3.6.1 Technical Bid Evaluation:

The technical score of a bidder ‘Tb’ will be assigned to the bidder & it will be awarded
based on the Technical Evaluation Criteria as specified above. GIPL/Gujarat RERA
decision in this regard shall be final & binding and no further discussion will be held
with the bidders whose bids are technically disqualified / rejected. Bidders with
technical score of 70 Marks and above will qualify for the evaluation in the commercial
bids. The total technical scores achieved by the bidders shall be shared with the
bidders & under no circumstances the breakup of the technical score shall not be
shared with the bidders.

3.6.2 Financial Bid evaluation:
The financial bids of only those bidders, who have scored at least 70 marks in the
technical evaluation process, will be opened. The Financial Bids will be opened, in the
presence of Bidders’ representatives who choose to attend the Financial Bid opening
on date and time to be communicated to all the technically qualified Bidders.
The Bidder’s representatives who are present shall sign a register evidencing their
attendance. The name of bidder & bid prices will be announced at the meeting. The
financial score of a bidder ‘Fb’ will be assigned to the bidder. ‘Fb’ will be the total NPV
of the financial quote made by the bidder.

NPV shall be calculated at discounted rate of 8 % per annum for all future
expenditures ( towards resources, hardware software, tools etc.) that would be
required to run the system for the 1 year warranty period and 3 years of post-
implementation support from the Go-Live date to determine total cost of ownership.

• Fn = normalized financial score for the bidder under consideration


• Fb = NPV of the commercial quote for the bidder under consideration
• Fmin = NPV of the commercial quote of the lowest evaluated financial
proposal

For calculations purposes, taxes shall not be included in calculation of NPV and total
cost of ownership. The lowest evaluated Financial Proposal (Fmin) will be given
the maximum financial score (Fn) of 100 points. The financial scores (Fn) of the other
Financial Proposals will be calculated as per the formula for determining the financial
scores given below:

3.6.3 Final Evaluation of Bid

Proposals will be ranked according to their combined technical (Tb) and financial (Fn)
scores using the weights (T = 0.70 the weight given to the Technical bid and P = 0.30
the weight given to the Financial Proposal; T + P = 1). The final evaluation will be
based on Final Score which shall be calculated as shown below:
Final Score (S) = Tn x T + Fn x P
The bidder achieving the highest Final Score (S) will be invited for negotiations for
awarding the contract. In case of a tie where two or more bidders achieve the same
highest combined technical and financial score, the bidder with the higher normalized
technical score will be invited first for negotiations for awarding the contract.
8. Negotiations
After completion of the evaluation process, Gujarat RERA may enter into negotiations
with the highest Final Score (S) Bidder. GUJARAT RERA reserves the right to award the
contract, based on initial offers received or otherwise, without discussion and without
conducting any further negotiations. Further, the successful bidder shall not reassign
any award made as the result of this bid.
9. Award of Contract
1. Gujarat RERA will award the contract to the successful bidder decided as per the
evaluation procedure mentioned above.
2. On acceptance of Proposal for awarding the contract, GIPL/Gujarat RERA will notify
the successful bidders in writing that their proposal has been accepted and
Contract Agreement will be signed.
3. In case the successful bidder does not confirm the acceptance of the assignment
within the stipulated time, Gujarat RERA has the right to engage the next highest
Final Score (S) Bidder for the assignment and so on and so forth.
4. Gujarat RERA shall have the right and authority to negotiate / add certain terms
with the successful bidder before signing of the Contract. After signing of the
Contract Agreement, no variation in or modification of the term of the Contract
shall be made except by written amendment signed by all the parties. Within 15
days of receipt of the Contract Form, the successful bidder shall sign and date the
contract and return it to GIPL/GUJARAT RERA.
5. GUJARAT RERA reserves the right to reject any or all bids OR split the job between
more than one bidder OR issue work order in full or parts with respect to the scope
of work without assigning any reason thereof.
6. During evaluation of bids, GIPL/GUJARAT RERA, GANDHINAGAR may, at its
discretion, ask the Bidder for a clarification of its bid. GIPL/GUJARAT RERA,
GANDHINAGAR may also ask for rate analysis of any or all items and if rates are
found to be unreasonably low or high, the bid shall be treated as non-responsive
and hence liable to be rejected. The request for a clarification and the response
shall be in writing and no change in prices or substance of the bid shall be sought,
offered or permitted.

7. An affirmative determination will be a prerequisite for the award of the contract to


the Bidder. A negative determination will result in rejection of Bidder’s bid, in
which event GIPL/GUJARAT RERA, GANDHINAGAR will proceed to the next highest
Final Score (S) Bidder evaluated bid to make a similar determination of the
Bidder’s capabilities to perform the contract satisfactorily.
8. GUJARAT RERA, GANDHINAGAR shall reject a proposal for award if it determines
that the Bidder recommended for award has engaged in corrupt or fraudulent
practices and same shall be conveyed to Gujarat RERA or black listed by any of the
Government of Gujarat department / other organizations in competing for the
contract in question.
9. GUJARAT RERA, GANDHINAGAR shall declare a firm ineligible, and blacklisted
either indefinitely or for a stated period of time, to be awarded a contract if it at
any time determines that the firm has engaged in corrupt and fraudulent practices
in competing for, or in executing, a contract.

10. Performance Bank Guarantee


1. The successful Bidder has to furnish a security deposit so as guarantee his/her
(Bidder) performance of the contract.
2. The Successful Web developer has to submit Demand Draft for Performance
Bank Guarantee of 10% of the Contract Value within 10 days from the receipt
of notification of award from “Gujarat RERA” from the nationalized bank
including IDBI Bank / Private Banks – Axis Bank, HDFC Bank & ICICI bank and
other banks which is specified in Finance Department, GR. No:
EMD/10/2018/18/DMO dated 16/04/2018 operating in India having branch at
Gandhinagar/Ahmedabad. PBG shall be submitted in accordance with the
Conditions of the Contract, in the performance security Form provided in the
bidding documents in the Performa prescribed in the Tender.
3. The Performance Bank Guarantee will be valid up to end of contract period
plus 6 months.
4. The O & M support will start after achieving all the milestones as mentioned in
table of clause 21.8. The O&M period shall be for three years after a 1 year
warranty period post GO live. Gujarat RERA may at its discretion, place work
order for O&M services at the start of each year, based on satisfactory
performance of the bidder. The decision about extension of O&M support
beyond initial period of one year shall be at the discretion Gujarat RERA.
5. The proceeds of the performance security shall be payable to GUJARAT RERA,
GANDHINAGAR as compensation for any loss resulting from the Service
Provider’s failure to complete its obligations under the Contract.
6. The Performance Bank Guarantee shall be denominated in Indian Rupees.

7. The Performance Security will be discharged by GUJARAT RERA,


GANDHINAGAR and returned to the Bidder on completion of the bidder’s
performance obligations under the contract in all manners.
8. No interest shall be payable on the PBG amount. GUJARAT RERA,
GANDHINAGAR may invoke the above bank guarantee for any kind of
recoveries, in case; the recoveries from the bidder exceed the amount payable
to the bidder.
11. Termination for Default or Otherwise
GUJARAT RERA may, without prejudice to any other remedy for breach of contract,
may terminate the contract in whole or in part by writing a notice as default to the
bidder:
1. If the Service provider fails to perform any or all of the design, development
works within the period(s)/schedule specified in the Contract,
2. If the Service provider fails to perform as per the performance standards.
3. If the Services provider, in the judgment of GUJARAT RERA has engaged in
corrupt or fraudulent practices in competing for or in executing the
Contract.
4. All notices shall be communicated in writing by registered post with AD as
well as email, addressed to the signatory of this agreement with a copy to
the head of the other party’s’ organization as well as Chief Financial officer.
12. Risk Purchase:
In case of continued dissatisfactory performance of the service provider, GUJARAT
RERA may, at its discretion, after giving due opportunity in writing to cure the
lapses, terminate the agreement with the service provider. GUJARAT RERA shall be
free to appoint another service provider for the balance of the scope of works at
the Risk, Cost and consequences of the defaulting Service provider. All costs
incurred by GUJARAT RERA in getting services delivered by the new service
provider shall be recovered from the dues OR performance bank guarantee OR
both payable to the defaulting service provider.

13. Confidentiality:
The Parties agree that Confidential Information exchanged shall be kept
confidential and shall not be disclosed or given to any third party or made use of in
any manner otherwise than for the purposes agreed herein, during and after the
expiry or termination of this Agreement without the prior written consent of the
disclosing Party. The aforementioned undertaking does not apply to information:
(a) already known or independently obtained by the receiving Party, without an
obligation to maintain its confidentiality;
(b) publicly known or becomes publicly known through no breach of this
Agreement;

(c) required to be disclosed pursuant to a lawful order of a court or government


agency or regulation of a stock exchange, provided the receiving Party provides
the disclosing Party with written notice of such order prior to disclosure and
within such time as to allow the disclosing Party reasonable opportunity to oppose
such disclosure before a court or agency of competent jurisdiction.
(d) the information is received from a third party who lawfully acquired such
information without restriction, and without a breach of this Agreement, by the
Receiving Party or
(e) the information independently developed by the receiving party.
13.1 The Parties shall use or permit to use Confidential Information solely in connection
with the Proposal and not for its own or any third party benefit provided that the
Parties shall be entitled to disclose Confidential Information to those of its
employees (under equivalent confidentiality undertakings), if any, to whom and to
the extent such disclosure is reasonably necessary for the purposes of this
Agreement.
13.2 The obligation to protect Confidential Information under this clause shall survive
any expiry or termination of this Agreement and for a period of two (2) years
thereafter.
14. Corrupt or Fraudulent Practices:
1. GUJARAT RERA, GANDHINAGAR requires that the bidders under this tender
observe the highest standards of ethics during the execution of such contracts.
In pursuance of this policy, GUJARAT RERA, GANDHINAGAR defines for the
purposes of this provision, the terms set forth as follows:
o “Corrupt practice” means the offering, giving, receiving or soliciting of
anything of value to influence the action of the GUJARAT RERA,
GANDHINAGAR official in the selection process or in contract execution;
and
o “Fraudulent practice” means a misrepresentation of facts in order to
influence a selection process or an execution of a contract to the
detriment of GUJARAT RERA, GANDHINAGAR, and includes collusive
practice among bidders (prior to or after bid submission) designed to
establish bid prices at artificial non-competitive levels and to deprive
GUJARAT RERA, GANDHINAGAR of the benefits of the free and open
competition.

Gujarat RERA has been using IT systems since its inception to engage and facilitate its various
stakeholder in an effort to improve compliance and ease of doing business as well as
protecting interest of buyers of the various kinds of property. It has got a portal
www.gujrera.gujarat.gov.in. Also for internal circulation and processing of documents for
approvals and other actions, it has got developed an e file system. The list of current systems,
the technology used and the available hardware is placed at annexure to this document.
Bidders are advised to visit the Gujarat RERA portal to get proper understanding of the
functioning of the organization. Bidders can also understand the vision and aspirations of the
organization from the annual report 2017-18, which is also available on the portal. The scope
of work given in this section is an effort to achieve higher orders of excellence & efficiencies,
streamlining the processes, protecting buyers’ interest and connecting the data points from
variety of data sources to get meaning full actionable insights and early alerts of the
impending problem by building the State of the Art technology system.

The IT Vision of Gujarat RERA is to build a state of art ‘Information Technology System’ with
robust and secure IT Infrastructure which is flexible in meeting objectives of Gujarat RERA. The

access information for all users at all levels for better information and decision making.

complaint for action to concerned, track the complaint to closure with linked
history of all actions and judgments / interim orders etc. and making it a single
point source for complete information.

developer for the project with System generated alert on every deviation from the
prescribed norms.

4. Overview of the Requirements


GUJARAT RERA has a full-fledged front end web portal and the MIS reports generated
from the same data. It also has got a mini version of e filing system. GUJARAT RERA is
looking at development of software system to facilitate back end processing of the
received request/ registrations/ filings and complaints, its digital flow to concern as per
the assigned roles, responsibilities, delegation of power, Business rules for processing and
within stipulated time frames. RAMPS should enable defined users to track every

document at every stage and see the e-file with proper audit trails tagged to the
document. The System should leverage data analytics techniques to extract meaningful
trends, behavior of various applicants, and developers based on the documents and
generate exceptions based on defined levels of tolerances. The system should also have
an interface with google maps for enabling viewing of the projects with all the details in
various user friendly and defined permutations and combinations. Some of the reports,
based on approval of GUJARAT RERA must be published on the portal for larger
consumption and some reports may be confined for internal purposes only. Data
analytics should provide real time insights into the status of various operational and key
performance areas of GUJARAT RERA. The GUJARAT RERA Approval Management and
Processing System (RAMPS) should meet the technical specifications/features as listed in
this section.
Following are some of the expected tangible outcomes from the Solution. These will
evolve around available data and largely would be known by the end of the user
requirement analysis and few may evolve as project progresses.

1. Management’s dashboard should have analytical view of data with drill down
functionality and user chosen parameters.
2. Solution should be robust, secure and scalable and should have user friend
interface.
3. It should improve efficiency with real time analytics and reduces cost and less
paper work for admission.
4. It should increase interaction with all Stakeholders and should reduce
administration efforts.
5. It should increase performance of GUJARAT RERA stakeholders by analytical view
of performance indicators in individual dashboard.
6. All Stakeholders must be able to easily access and track status of their requests and
applications, performance/ relevant information in just a click and should provide
transparency. Information to be made accessible to various stakeholder shall be
governed by NEED TO KNOW basis and as explicitly approved by Gujarat RERA.
7. System should be user friendly, attractive and fast to access / fetch records, with
drill down facilities for historical data.
8. There should be in-depth reporting facility with multiple filter option and should
also have import export and email feature with various document/report formats.

5. Available Data Sources


Following are the minimum data sources that need to be leveraged for meeting the
objectives of Gujarat RERA. These data sources would increase and expand with passage
of time.
a. Registration data of the users of the portal
b. Registration data of developers and Projects on the web portal Application
c. Quarterly and Annual filing by project developers
d. Notices, queries and notifications for every property

6. Scope of Work

Scope of work for system development is derived from the stated strategic objectives and
the expected outcomes described in above sub sections. Every effort has been made to
represent the objectives in the items of scope below, however bidders are advised to
include additional items in scope, that are not listed explicitly herein below, if in their
understanding, the scope given below is not covering delivery of systems for achieving
the desired outcomes.
1. Analysis and suggestions for improvement for the current IT systems and Web
portal of Gujarat RERA.
2. Periodically review requirements for modifications/ additions or new formats to
the GUJARAT RERA portal and various information seeking formats to meet the
objectives of analytics.
3. Undertake system and process reengineering for all the processes and recommend
improvements to achieve efficiency and ease of doing business.
4. Draft SOP for handling non-compliant promoters/ defaulter / counseling / repeat
defaulters/ waiver or dilution of penalties/ exemptions from compliances.
5. Assist in interpretation, causal analysis and suggest corrective actions based on
trends available from BI and data analytics
6. Development of portal for enabling filings of various kinds as required under the
act by various stakeholders, as per the prescribed format. Portal should system
based checks and validations to ensure application submitted are complete and
correct. Incomplete applications and/or applications with incorrect data should not
be allowed to be submitted. All such errors should be highlighted to user in
different color.
7. All attachments should be available for view and acceptance by the respective
approving officer as per assigned role. An indicative Check list of possible
attachments for application filing for various purposes is at annexure.
8. Development of application software to meet the e file processing requirements
similar to functionalities of e office or integrated workflow and document
management software.
9. Development of applications for Online submission, auto processing of the
applications and returns for errors/ omissions and wrong information ( as validated
through web-services with other external systems), Suo moto complaint
registration, auto issuance of preliminary notices to the defaulting party for non-
compliance and tracking them to closure.

Bidder may make use of the same for operating the new system. Hence the
proposed bill of material should factor the existing IT infrastructure.
34. One Year of warranty support post Go Live and 3 years of Operation &
maintenance support of complete solution including hardware and licenses after
the warranty period.
35. Improvements and enhancements in the solution warranted by change in Act/
rules/ and efficiency requirements efficiency during the entire period of contract
including regular additions, up-dates & Improvements upon directions from
GUJARAT RERA.
36. SP should deploy a team of experienced professions at GUJARAT RERA office with
experience as defined in the subsequent section. -, each for the domain experience
doubling up as Project manager, e governance experience, Software development
experience in the proposed technology, Data Analytics and reporting framework
and Infrastructure management from the start of the project till go LIVE. For the
balance period of contract only 2 person would be required from the old team.
These personnel should be exclusively work for GUJARAT RERA. CVs of 5 resources
to be engaged in software Development should also be submitted and they should
be available during pre- planned meetings for required duration not exceeding 5
days per instance from start till end of warranty phase. These should also be
available on call and work exclusively for GUJARAT RERA.
37. Submission of Weekly progress report covering current status, new tasks added,
stats of previous task along with estimated time and plan for closure of
outstanding items for action.

The indicative list of expected reports/outcomes and software development tasks are
placed at Annexure 10 to this document which shall also be part of scope of work and
deliverables.

7. Key Required Technical Features:

n. All reports / Analytics should have drill out from top view/high level aggregated
view till the last level of details.
o. All integrated views, to the extent relevant must be show on the google maps.
p. The report should be exportable to multiple formats like PDF, excel etc. for user
comfort and further analysis.
q. The software should be Unicode compliant and support both English & Gujarati
r. Security best practices to be adhered to and delivered as per government
guidelines.
s. Use of open source technologies to minimize cost of license. The use of Open
Source Software should be as per the Framework on Open Source Software
issued by Govt. of India.

easy integration with other external systems viz PAN card, Company Registrar,

u. Should be compatible to all major browsers (i.e. Firefox, Internet explorer, opera,
Google Chrome, Safari etc.)
v. Must be optimized for Search Engines (Meta-tags, Dynamic Link Creations, and
Dynamic Titles etc.) and also search ability within website.
w. Sufficient security measures should be applied against vulnerabilities e.g. hacking /
sql-injection-attack etc.
x. The proposed Portal and Mobile Application should be Platform Independent :
Should support all standard Operating systems ( RHEL , Windows , Ubuntu , Suse
Linux ), Core Platform/Framework should be database independent and support
all standard RDBMS viz Oracle , Postgres , MySql, MSSQL, IBM DB2 etc. and be
middleware independent.
y. The proposed Mobile Application should be on hybrid model and support all
standard mobile platform

10. Security Audit


The System should be hosted and released only after undergoing the Security Audit as
per the guidelines of Government of India and GIPL. GUJARAT RERA, may propose
empaneled security auditor of CERT-In, Govt. of India for Security audit. Payment of
Security audit would be borne by GUJARAT RERA. Developer should be responsible to fix
the vulnerabilities found even after the hosting is completed till the completion of its
contract period with GUJARAT RERA, GANDHINAGAR.

11. Requirement of Software licenses and Hardware for Hosting


The hosting will need to be done in Gujarat State Data Centre. The bidder shall, based on
scope of work, no. of users, the concurrency, and response time SLAs, and 1:1 BCP
requirements, prepare the bill of material comprising of the required hardware, security,
communication and off the shelf software/ licensed software/ utility/tools etc. Successful
bidder shall be responsible to ensure that the SLAs and loads are handled as per the
projections mentioned herein. Any additionalities required in IT infrastructure to achieve
SLAs, if not in the bill of material, shall be procured and installed at successful bidders
cost and risk. As stated earlier, list of existing IT infrastructure is placed at annexure to
this document and can be factored for use while trying to minimize the IT infrastructure
cost implications. The IT infrastructure should be in High Availability mode with no point
of single failure at primary site.

Unpriced bill of material is required to be submitted along with the technical bid clearly
indicating the item description, brand, make, model, quantity required and specifications.
This will be used to evaluate sufficiency and adequacy of the IT infrastructure to handle
loads.

12. Operational Acceptance


Successful completion of the contract will be evaluated through a series of acceptance
tests performed with all the aspects of the system/sub systems/functionalities:

 Solution provider must host the services from its own testing server/cloud in
development and testing phase.
 In the Go-live phase, Solution provider will have to manage and roll out a beta
version/stage where the system will be made available and restricted only to the
officials of GUJARAT RERA through an appropriate mechanism on the web and
conduct user acceptance testing of the Solution based on test cases developed by the
Bidder in consultation with Gujarat RERA and are also validated by Gujarat RERA.
Based on the test results, required changes will be carried out and tested. Post this,
Gujarat RERA analytics platform shall be officially launched and operational
acceptance will be complete.
 In order to accept the system, Gujarat RERA must be satisfied that all of the work has
been completed and delivered to Gujarat RERA’s complete satisfaction and that all
aspects of the system perform acceptably. The technical/functional/logical
acceptance of the system/end to end solution will only be certified when the
proposed system is installed and configured according to the design and that all the
detailed procedures of operating them have been carried out by the Bidder in the
presence of Gujarat RERA IT & Management team.

13. One year of Warranty Support post Go live


Service provider shall offer warranty support for a period of one year. All complaints,
feedback and suggestions, received from various users’, be it related to bugs/ defects/
insufficiency of requirements/missing information/look and feel/ user friendliness/
slow system response times etc. during this period shall be rectified and deployed to
the satisfaction of GUJARAT RERA. These shall not be treated as Change request.

14. Operations/Support and Maintenance


The Successful bidder shall maintain and support the Solution for a period of 3 year after
the successful operational acceptance without any additional cost. This may be extended
further period of two years at the same rate based on satisfactory performance.

The Operation/Support and Maintenance will consist of:


 Resolution of errors / bugs (if any), platform updates, implementation of security
patches, quarterly security test, changes in the platform that may be necessary due
to legal / statutory changes/related Directives of GUJARAT RERA etc.
 Providing all software updates and patches released by the OEM, if relevant, update
and patch management, resolution of any issues / problems with the solution /
software etc.

 Changes in the software system/reporting framework warranted either because of


change in act or rules or because of felt need, shall be part of the operations and
maintenance and no separate costs shall be payable.
 Deployment of resources to meet service requirements and service level
requirements.
 Successful bidder shall provide a dedicated project manager during the period of the
contract that should be present for discussions, important meetings and should act
as one point contact for GUJARAT RERA, GANDHINAGAR.

No extra cost shall be remunerated by GUJARAT RERA, GANDHINAGAR on account of


such maintenance activities mentioned herein above.

15. Change Request Orders


 During the development and O & M phase, any change in scope of work, or in design
and development of reports/Decision Support systems (DSS) or of Management
Information system (MIS) shall not be construed as change Request order and instead
will become part of scope of work accompanying this bid document.
 Gujarat RERA may, at any time, by written order given to the SP make changes within
the general scope of the Contract – in any one or more of the following:
o Designs, specifications, requirements of which software or service to be
provided under the Contract are to be specifically developed / rendered for
Gujarat RERA;
o The place of delivery; and/or the Services to be provided by the agency.
o The bidder should be responsible for changes in system user Interface and due
to change of legal/statutory/GR/Any ACT etc. changes issued by govt. time to
time during the contract period.
o Once the change request is developed and implemented, it will become the
part of the Software application/ Analytics platform without any additional cost
to Gujarat RERA.
o Any change during the operation and maintenance period should not be
considered as a change request.

16. Training
The successful bidder shall provide hand on training to all users in accessing the reports/
dash board- based on user requirements including training to generate dynamic
reports/customized reports.

17. Copyright and IPR

 Any software, hardware, data, patent, IPR etc. shall be absolute property of GUJARAT
RERA, GANDHINAGAR. The Successful bidder will transfer all Intellectual Property
Rights of the Software to Gujarat RERA except for the base product, if being supplied
as part of the solution. However in such a case, the base product along with its

updates/upgrades must be made available to Gujarat RERA, immediately upon the


release of the new version, on irrevocable perpetual basis, without any year on year
cost implications. The SP shall also be liable to migrate the system to new version with
same functionality and with terms applicable to old system.
 The bidder shall deposit the source code of the entire solution within Five (5) days
from the date of acceptance of the system. The same must be accompanied with
proper documentation. Updated source code and documentation along with change
history should be periodically submitted every anniversary of the GO live and the last
should be before the last payment due date. The source code supplied shall at all
times be a complete, accurate and up-to-date copy corresponding exactly to the
current production release of the software along with complete document- URS SRS,
change Management , data base structure, Data base, Code etc.
 It shall be the prerogative of Gujarat RERA, without any obligations, to gift/sell/grant
access to these systems and subsystems other statutory authorities in view of the
complete ownership of the IPR and copy rights.

18. Place of Performance


The Successful bidder shall perform a majority of the work at its own facility but must
deploy technical team at Gujarat RERA office, Gandhinagar. Additionally, all project
reviews will be held at the Gujarat RERA and attended by the bidder. GUJARAT RERA,
GANDHINAGAR shall provide and arrange for meeting spaces within its facility for all
required bidder meetings. Once the project reaches the training phase, all training shall
be conducted at the GUJARAT RERA, GANDHINAGAR. Bidder must submit the team
structure, names, designation and roles of every resource deployed on this project, time
and task allocation and place of work. Resources shown herein must be clearly marked as
full time resources or part time resources. For part time resources the time allocation to
this project must be declared at the bid stage.

19. Documentation
The project team shall provide the following documentations in hard as well as soft copies:
 Detail Project Plan.
 Fortnightly progress reports.
 System Requirement Specification (SRS) document containing detailed
requirement capture and analysis including Functional Requirement Specification
(FRS), Interface Specifications, and application security requirements.
 Complete Source Code with required documentation. Two sets of User manual (i.e.
two hard & soft copies in English language) for administration and management of
website.
 Test Plans and Test cases (including Unit Test Plan, System/Integration Test Plan,
User Acceptance Test Plan).
 Original Security Audit report and Clearance Certificate

20. Contract period:

22. Service Level Agreement [SLA] and Penalty Clause:


The purpose of this Service Level Agreement is to clearly define the levels of service
which shall be provided by the Service Provider to Gujarat RERA for the duration of
the contract for providing End to End solution, Support & Maintenance against the
stated scope of work. Gujarat RERA shall regularly review the performance of the
services being provided by the Service Provider and the adherence of this SLA.

SLA categories:
The Service Providers shall ensure provisioning of all required services while monitoring
the performance of the same to effectively comply with the performance levels. The
services provided by the Service Provider shall be reviewed by Gujarat RERA against
this SLA. The Service Provider shall:
 Promptly and Periodically Report all problems- either reported by GUJARAT
RERA or any other stakeholder as well as identified by the solutions team in
internal reviews.
 Submit- resolution plan/solution and timelines
 Discuss escalated problems, new issues and matters still outstanding for
resolution.
 Review of statistics related to rectification of outstanding issues and
agreed changes.
 Obtain suggestions for changes to improve the service levels.

Service level penalties related to Implementation:

We undertake, if our bid is accepted, to provide services for Analysis, Designing,

Annexure 9 - General Terms and Conditions


9.1 Application
These general conditions shall apply to the extent that provisions in other parts Contract
do not supersede them. For interpretation of any clause in the RFP or Contract
Agreement, the interpretation of the GIPL/GUJARAT RERA shall be GIPL/GUJARAT RERA
final and binding on the Service Provider.

9.2 Relationship between parties


Nothing mentioned herein shall be constructed as relationship of master and servant or of
principal and agent as between the ‘GIPL/GUJARAT RERA’ and ‘the Service Provider’. The
Service Provider subject to this contract for selection has complete charge of personnel,
performing the services under the Project executed for GIPL/GUJARAT RERA from time to
time. The Service Provider shall be fully responsible for the services performed by them or
on their behalf hereunder.

9.3 Standards of Performance


The Service Provider shall give the services and carry out their obligations under the
Contract with due diligence, efficiency and economy in accordance with generally
accepted professional standards and practices. The Service Provider shall always act in
respect of any matter relating to this contract as faithful advisor to GIPL/GUJARAT RERA.
The Service Provider shall abide by all the provisions/Acts/Rules etc. of information
Technology prevalent and amendments released from time to time in the country. The
service provider shall also adhere to all technical standards and guidelines, including but
not limited to standards for data protection, user friendliness and security, prescribed by
information and Technology Ministry of Government of India The Service Provider shall
also conform to the standards laid down in RFP in totality.

9.4 Delivery and Documents


The Service Provider shall submit all the deliverables on due date as per the delivery
schedule. No party shall, without the other party’s prior written consent, disclose contract,
specifications, plan, pattern, samples or other documents to any person other than an
entity employed by the affected party for the performance of the contract. In case of the
termination of the contact, all the documents prepared by the Service Provider under this
contract shall become property of GIPL/GUJARAT RERA. The Service Provider shall not
retain copy of such documents, and shall not use them anywhere in whatever context..

9.5 Service Provider Personnel


The Service Provider shall employ and provide such qualified and experienced personnel
as may be required to perform the services for the project. This is a specialized domain of
‘e Governance’ and it is mandatory from the Service Provider to deploy the personnel,
who have adequate knowledge and experience in the domain related with this project.

9.6 Applicable Law


Applicable Law means the laws and any other instruments having the force of law in India
as they may be issued and in force from time to time. The contracts shall be interpreted in
accordance with the laws of the Union of India and that of State of Gujarat

9.7 Use of Contract Documents and Information


1. The service provider shall not, without GIPL/GUJARAT RERA’s prior written consent,
disclose the Contract, or any provision thereof, or any specification, plan, pattern,
sample or information furnished by or on behalf of the in connection therewith, to
any person other than a person employed by the service provider in performance of
the Contract. Disclosure to any such employed person shall be made in confidence
and shall extend only so far as may be necessary for purposes of such performance.
2. The service provider shall not, without GIPL/GUJARAT RERA’s prior written consent,
make use of any document or information except for purposes of performing the
Contract.
3. Any document, other than the Contract itself, shall remain the property of
GIPL/GUJARAT RERA and shall be returned (in all copies) to GIPL/GUJARAT RERA on
completion of the service provider’s performance under the Contract if so required
by GUJARAT RERA.
4. The service provider shall permit GUJARAT RERA to inspect the service provider’s
accounts and records relating to the performance of the service provider and to have
them audited by auditors appointed by GUJARAT RERA, if so required by GUJARAT
RERA.
9.8 Governing Language
The Contract shall be written in English Language. English version of the Contract shall
govern its interpretation. All correspondence and other documents pertaining to the
contract, which are exchanged between the parties, shall be written in the English
Language.

9.9 Intellectual Property Rights


1. All the deliverables (including source code) submitted by Service Provider under the
contract will be the property of GIPL/GUJARAT RERA except for base product- for

which irrevocable perpetual license to use needs to be transferred to Gujarat RERA.


Service provider shall not only provide updated versions as soon as it is release with
out any cost, but also shall migrate the entire system to new version of the base
product.

3. The service provider shall indemnify GIPL/GUJARAT RERA against all third-party
claims of infringement of copyright, patent, trademark or industrial design rights
arising from use of the Goods or any part thereof in India.
4. All the Deliverables and the Application Software developed by SERVICE PROVIDER
for GIPL/GUJARAT RERA, then the copyright/IPR of that software/deliverable will be
with the GIPL/GUJARAT RERA. The bidder shall not sell or use (fully / partly) that
software for service for other customers.
5. While passing on the rights (license) of using any software/software tool, the service
provider shall ensure that such rights are inclusive of the use of that software for
development in addition to deployment.
6. The software licenses supplied by SERVICE PROVIDER shall be genuine, perpetual, full
use and should provide patches, fixes, security updates directly from the Original
Equipment Manufacturer at no additional cost to the GIPL/GUJARAT RERA for the
entire period of contract. All the licenses and support should be in the name of
GIPL/GUJARAT RERA from the date of procurement
7. In the event of any claim asserted by a third party of infringement of copyright,
patent, trademark or industrial design rights arising from the use of the Goods or any
part thereof in India the service provider shall act expeditiously to extinguish such
claim. If the service provider fails to comply and GIPL/GUJARAT RERA is required to
pay compensation to a third party resulting from such infringement, the service
provider shall be responsible for the compensation including all expenses, court costs
and lawyer fees. GIPL/GUJARAT RERA will give notice to the service provider of such
claim, if it is made, without delay
9.10 Inspections and Tests
1. GIPL/GUJARAT RERA or its representative shall have the right to inspect and/or to
test the software or work of the service provider to confirm their conformity to the
Contract specifications.
2. As Per Govt. of Gujarat Circular Dated 10th March 2006, The Software Must Be
Tested At Eqdc, Gidc, Gandhinagar Or At The Location Specified By GIPL/Gujarat Rera
At The Cost Of Service Provider. The Service Provider Must Include Testing Cost In
Their Financial Bid. The Different Types Of Tests That Has To Be Performed Through
Eqdc/Other Competent Agency Are As Mentioned Below:

Application Security Audit:

In addition to inspection & testing, SERVICE PROVIDER shall also be responsible to get
application security audited by CERT-In Empanelled application security Auditors at the
cost of Service provider and submit the Security Audit Clearance Certificate issued by
CERT-In Empanelled Security Auditors.

1. The Service Provider must submit the test results to GIPL/GUJARAT RERA.
2. Should any inspected or tested software fail to conform to the specifications,
GUJARAT RERA may reject the software and the service provider shall either
replace/redevelop the rejected software or make alterations necessary to meet
specification requirements free of cost to GIPL/GUJARAT RERA.
3. GIPL/GUJARAT RERA’s right to inspect test and, where necessary, reject the software
/ deliverable after the software deployment at Project Site shall in no way be limited
or waived by reason of the software previously been inspected, tested and passed by
GIPL/GUJARAT RERA for its representative prior to the software deployment.
4. No clause in the RFP document release the service provider from any warranty or
other obligations under this Contract.
5. The inspection of the working of the developed software shall be carried out to check
whether the software is in conformity with the requirements described in the
contract. The tests will be performed after completion of installation and
commissioning of all the software at the site of installation. During the test run of
software no malfunction, partial or complete failure of any module of software or
bugs in the software is expected to occur. All the software should be complete and
no missing modules/sections will be allowed. The service provider shall maintain

necessary logs in respect of the result of the test to establish to the entire
satisfaction of GIPL/GUJARAT RERA, the successful completion of the test specified.
An average uptime efficiency of 99% for the duration of test period shall be
considered as satisfactory. On successful completion of acceptability test and after
GUJARAT RERA is satisfied with the working of the software on the, the acceptance
certificate of GUJARAT RERA will be issued. The date on which such certificate is
signed shall be deemed to be the date of successful commissioning of the software.
6. Before the Application modules are taken over by GUJARAT RERA, the service
provider shall supply operation manuals. These shall be in such details as will enable
GUJARAT RERA to use the software as stated in the specifications. The
documentation shall be in the English/Gujarati language and in such form and
numbers as stated in the contract document. Unless and otherwise agreed, the
software shall not be considered to be complete for the purpose of taking over until
such documentation has supplied to GIPL/GUJARAT RERA.
9.11 Sub Contracts and Assignments
No Sub Contracting shall be allowed for this project except for data entry jobs, if any.
Service Provider shall also not assign the project to any other agency, in whole or in part,
to perform its obligation under the Contract

9.12 Warranty
1. If any module of developed software gives continuous trouble and runtime or logical
errors, during the warranty period, the service provider shall rectify the problems
without any additional cost to GUJARAT RERA. The Service Provider has to make the
suitable changes in solution as per the change requests (Any number/unlimited)
received from users during warranty period without any extra cost to GUJARAT RERA.
2. The warranty period will be for one year from the date of ‘Go-live’. After one year of
warranty, the operation and maintenance support will start. The duration of the
O&M support will be for three years after the completion of the warranty period of 1
year.
3. The SERVICE PROVIDER hereby represents and warrants that the Software as
delivered does not and will not infringe any Intellectual Property Rights held by any
third party and that it has all necessary rights, or at its sole expense shall have
secured in writing all transfers of rights and other consents necessary to make the
assignments, licenses and other transfers of Intellectual Property Rights and the
warranties set forth in the Contract, and for GIPL to own or exercise all Intellectual
Property Rights as provided in the Contract. Without limitation, the Vendor shall
secure all necessary written agreements, consents and transfers of rights from its

employees and other persons or entities whose services are used for development of
the Software.
4. The service provider shall provide software maintenance services during the period
of Operation & Maintenance.
5. Change request shall not be paid separately

9.13 Performance Assessment

This RFP is for selection of the Service Provider for execution of the assignments from time
to time. If during execution of the Project, following Problems are to be found, then a
penalty of 0.5% of the contract value per week (subject to maximum of 10%) may be
imposed by GIPL/GUJARAT RERA, which will be the part of Project specific RFP and Terms
of Reference:

1. Quality of deliverable is not up to the mark, (till the quality is improved to the
required extent)
2. Delays in deliverables
3. Not assigning adequate resources in time
4. Not engaging resources on a dedicated basis, even when required.
5. Assigning resources that do not meet the clients requirements
6. Inadequate interaction with the client department
7. The work is either not complete or not completed satisfactorily as per the
approved time schedule or the quality of deliverable.
9.14 Suspension
GIPL/GUJARAT RERA may, by in written notice to Service Provider, suspend all payments
to the Service Provider hereunder if the Service Provider fails to perform any of its
obligations under this contract including the carrying out of the services, provided that
such notice of suspension.
1. Shall specify the nature of failure.
2. Shall request the Service Provider for remedy of such failure within a period
not exceeding thirty (30) days after receipt by the Service Provider of such
notice of failure.
9.15 Termination
Under this Contract, GIPL/GUJARAT RERA may, by written notice terminate the Service
Provider in the following ways:

1. Termination by Default for failing to perform obligations under the Contract of


if the quality is not up to the specification or in the event of non adherence to
time schedule.
2. Termination for Convenience: GUJARAT RERA/GIPL by written notice sent to
the service provider, may terminate the Contract, in whole or in part, at any
time for its convenience. The notice of termination shall specify that
termination is for GUJARAT RERA/GIPL’s convenience, the extent to which
performance of the service provider under the Contract is terminated, and the
date upon which such termination becomes effective.

a. The software that is complete and ready for rendering / deployment


within 30 days after the service provider’s receipt of notice of
termination shall be accepted by GUJARAT RERA/GIPL at the Contract
terms and prices. For the remaining services, GUJARAT RERA/GIPL may
elect:
i. To have any portion completed and delivered at the Contract
terms and prices; and/or
ii. To cancel the remainder and pay to the service provider an
agreed amount for partially completed software and for
software previously procured by the service provider.
3. Termination for Insolvency: GUJARAT RERA/GIPL may at any time terminate
the Contract by giving written notice to the service provider, if the service
provider becomes bankrupt or otherwise insolvent. In this event, termination
will be without compensation to the Supplier / service provider, provided that
such termination will not prejudice or affect any right of action or remedy
which has accrued or will accrue thereafter to GUJARAT RERA/GIPL.
In all the three cases termination shall be executed by giving written notice to the
Service Provider. Upon termination of the contract, payment shall be made to the
Service Provider for:

1. Services satisfactorily performed and reimbursable expenditures prior to the


effective date of termination
2. Any expenditure actually and reasonably incurred prior to the effective date of
termination
No consequential damages shall be payable to the Service Provider in the event of
such termination.

9.16 Force Majeure

Notwithstanding anything contained in the RFP, the Service Provider shall not be liable for
liquidated damages or termination for default, if and to the extent that, it’s delay in
performance or other failures to perform its obligations under the agreement is the result
of an event of Force Majeure.

For purposes of this clause “Force Majeure” means an event beyond the control of the
Service Provider and not involving the Service Provider’s fault or negligence and which was
not foreseeable. Such events may include wars or revolutions, fires, floods, epidemics,
quarantine restrictions and freight embargos. The decision of the GIPL/GUJARAT RERA
regarding Force Majeure shall be final and binding on the Service Provider.
Force Majeure means such of the following factors which substantially affect the
performance of the contract such as natural phenomena, including but not limited to
floods, draughts, earthquakes and Epidemics; acts of any Government, domestic or
foreign, including but not limited to war, declared or undeclared, quarantines, embargoes;
illegal strikes and legal lockouts in respect of scope of work provided;

If a Force Majeure situation arises within fifteen (15) days from the occurrence, the
Service Provider shall promptly notify to the GIPL/GUJARAT RERA in writing, of such
conditions and the cause thereof. The successful bidder shall not be liable for delays in
performing their obligations resulting from any Force Majeure cause as referred to and /
or defined above.

However if such an event lasts for a period of 90 days or more then either party shall have
an option to terminate this Agreement forthwith without any liability after intimating the
other party of the same. The successful bidder shall however be entitled to receive
payments for all the services rendered by it under this Agreement prior to termination of
contract.

Unless otherwise directed by the GIPL/GUJARAT RERA in writing, the Service Provider shall
continue to perform its obligations under the agreement as far as reasonably practical,
and shall seek all reasonable alternative means for performance not prevented by the
Force Majeure event.

9.17 Resolution of Disputes


If any dispute arises between parties, then there would be two ways for resolution of the
dispute under the Contract.

9.18 Amicable Settlement

Performance of the Contract is governed by the terms the conditions of the Contract,
however at times dispute may arise about any interpretation of any term or condition of
Contract including the scope of work, the clauses of payments etc. In such a situation
either party of the contract may send a written notice of dispute to the other party. The
party receiving the notice of dispute will consider the notice and respond to it in writing
within 30 days after receipt. If that party fails to respond within 30 days, or the dispute
cannot be amicably settled within 60 days following the response of that party, then
following clause shall become applicable.

9.19 Resolution of Disputes


In the case dispute arising between the GIPL/GUJARAT RERA and the Service Provider,
which has not been settled amicably, any party can refer the dispute for Arbitration under
(Indian) Arbitration and Conciliation Act, 1996. Such disputes shall be referred to Arbitral
Tribunal as prescribed by Ministry of Law, Government of India. The Indian Arbitration and
Conciliation Act, 1996 and any statutory modification or re-enactment thereof, shall apply
to these arbitration proceedings.

Arbitration proceedings will be held in India at Ahmedabad and the language of the
arbitration proceeding and that of all documents and communications between the
parties shall be in English. The decision of the majority of arbitrators shall be final and
binding upon both the parties. All arbitration awards shall be in writing and shall state the
reasons for the award. The expenses of the arbitration as determined by the arbitrators
shall be shared equally by the GIPL/GUJARAT RERA and the Service Provider. However, the
expenses incurred by each party in connection with the preparation, presentation shall be
borne by the party itself.

9.20 Taxes and Duties


1. The service provider shall bear and pay all taxes, duties, levies, cess and
charges assessed on the service provider or their employees by all municipal, state
or national government authorities in connection with the contract in and outside
of the country where the site is located and no adjustment or variation will be
allowed for changes thereof.
2. For the payment of taxes as specified in the price bid, the service provider shall
be required to charge taxes at the rate applicable from time to time.
3. For the purpose of the Contract, it is agreed that the Contract Price specified in
LOI / Contract Agreement is based on the taxes, duties, levies and charges
prevailing on the date of bid submission in India and Gujarat where the site is
located (unless otherwise revised by mutual consent).

4. The Contract Price shall be deemed to be firm and valid for the entire duration
of the Contract till the completion of scope of work under this Contract unless it is
due to change in tax law.
5. The Contract Price may be varied due to situations giving rise to change in Tax
Law arising between the date of bid submission and the contractual date of supply
of the Goods and / or performance of the Services under the contract. The Indirect
Taxes that shall be considered for Change in Tax Law shall be included but not
limited to the following taxes leviable on the direct transaction between the
service provider and the GUJARAT RERA unless specified otherwise:

• CGST, SGST & IGST

6. Further, such variation shall be made only in respect of taxes (both nature and
quantum) originally factored by the service provider in their initial bid offer, unless
the tax sought to be recovered is a new tax arising on account of Change in Tax
Law which was not in force on the date of bid submission.
7. No variation shall be allowed on account of any taxes applicable outside India.
8. Billing can be done from Gujarat or anywhere in India.

service tax (GST) legislation or any such other legislations as may be relevant from
time to time.
10. Each party hereto, agrees to indemnify and keep indemnified and saved
harmless at all times the other party against any loss, cost, expenses or damage
suffered or incurred by it, by reason of its failure to pay taxes, duties, etc. which it
is obliged to pay pursuant to the provisions of this clause and / or arising out of its
failure to comply with its obligations under this clause.
11. Tax deductions at source will be made by the GUJARAT RERA on payments
made to the service provider, as per the applicable Central and State laws.
12. All payments to the service provider shall be subject to applicable withholding
(whether applicable as of the date of this Contract or imposed /required by any
municipal, local, state or national government authorities or any other
Government Instrumentality at any time during the subsistence of the Contract) or
statutory deductions as required in respect of income tax as well as any other
Taxes (including but not limited to Building and Other Construction Workers’
Welfare Cess). The GUJARAT RERA shall issue necessary tax deduction /
withholding certificates to the service provider. If the service provider obtains
appropriate lower withholding orders (as per GUJARAT RERA’s satisfaction),
withholding may be carried out at such lower rates.
13. The risk of all tax positions taken by the service provider shall be borne solely
by the service provider.

14. Service provider shall strictly and in a timely manner, adhere to and undertake
all acts, omissions and compliances required under the applicable GST laws to
ensure that GUJARAT RERA is able to avail the Input Tax Credit / set off / rebate /
refund of the GST (along with cesses and surcharges, if relevant) applicable on the
supplies made by the Service provider to the fullest extent possible under law. In
this regard, without limiting the generality of the foregoing obligation in any
manner whatsoever, GUJARAT RERA reserves the right to specify, for the supplies
envisaged under this Contract by the Service provider, the particular compliances
to be undertaken (including aspects like (i) whether Service provider should charge
IGST or CGST-plus-SGST; (ii) from where the billing should be undertaken and to
which registration of GUJARAT RERA; (iii) whether the Service provider should be
responsible to generate the E-Way Bill; (iv) the format of invoices / credit and debit
notes / advance receipt vouchers; (v) maintenance of ‘Compliance Rating’ above a
specified threshold; etc) and the relevant timelines for such compliances based on
the applicable GST laws.

(a) The Service provider acknowledges that any failure in the foregoing obligations
(including undertaking the ones specifically instructed by GUJARAT RERA, if any)
can cause significant losses to GUJARAT RERA in the form of loss of GST credit,
statutory interest liability on such credit loss (under applicable GST laws) and
adverse impact on compliance rating and thus, undertakes to carry out this
foregoing obligation with sincerity, due diligence and without any delay or demur.

(b) The service provider agrees that GUJARAT RERA will reimburse the GST
component on supplies received only when the corresponding credit has become
available in the electronic credit ledger of the relevant GST registration of GUJARAT
RERA.

(c) Without prejudice to any other indemnification obligation under this Contract,
the Service provider agrees to, at all times, to hold harmless and indemnify
GUJARAT RERA from and against all claims, liabilities, expenses, proceedings, costs
and losses that may be suffered or incurred by GUJARAT RERA which may arise out
of or in connection with any failure by the Service provider to adhere to its
obligations under clause (a) above. In this regard, the Service provider also hereby
indemnifies GUJARAT RERA from any costs, claim or liability arising out of any
claim or action or omission by any employee or consultant or agent or outsourced
staff of the Service provider.

9.21 Legal Jurisdiction

The contract shall be governed in accordance with the laws of India. Any dispute between the
parties arising out of the Contract shall be referred for determination by arbitration as
prescribed in the Arbitration & Conciliation Act, 1996 as amended from time to time. The
Arbitration Tribunal shall consist of a Sole Arbitrator to be appointed by GUJARAT RERA. The
Arbitration shall be conducted in English language and the venue of the arbitration shall be
Gandhinagar, Gujarat. Subject to the arbitration agreement as mentioned above, the Parties
submit to exclusive jurisdiction of courts at Gandhinagar, Gujarat in relation to any matter
arising out of this Agreement.
9.22 Binding Clause
All decisions taken by GIPL/GUJARAT RERA regarding the processing of this tender and
award of contract shall be final and binding on all parties concerned.

9.23 Notice
Any notice, request or consent required or permitted to be given or made pursuant to this
contract shall be in writing. Any such notice / request or consent shall be deemed to have
been given or made when delivered in person to an authorized representative of the party
to whom the communication is addressed, or when sent to such party at the Registered
address.

9.24 Insurance
i) General
The Service Provider shall at his own expense arrange, secure and maintain with reputable
insurance companies to the satisfaction of the GUJARAT RERA as follows. The Bidder at its
cost shall arrange, secure and maintain insurance as may be necessary and to its full value
for all such amounts to protect the works progress from time to time and the interest of
the GUJARAT RERA against all risks as detailed herein. The form and other limit of such
insurance as defined herein together with the under works thereof in each case shall be as
acceptable to the GUJARAT RERA. However, the responsibilities to maintain adequate
insurance coverage by the Service Provider till the date of Project Go-Live. However, it is
the responsibility of the GUJARAT RERA to provide adequate security to the onsite
solution once delivered by the Service Provider. The Bidder‘s failure to maintain adequate
insurance coverage shall not relieve of any of his responsibilities and obligations under this
contract. All costs on account of insurance liabilities covered under contract shall be
Bidder‘s account and shall be included in the contract price.

ii) Compliance of Labor / Employee related Acts:


The Service Provider shall be liable to adhere strictly all rules & regulations related to
employees / Labor laws such as Provident Fund, Employee State Insurance, and
Professional Tax etc.

iii) Any other insurance

The Service Provider shall also carry any and all other insurance, which he may be required
under any law or regulation from time to time without any extra cost to the GUJARAT
RERA.

iv) Accident or injury to workmen


GUJARAT RERA shall not be liable for or in respect of any damages or compensation
payable at law in respect or in consequences of any accident or injury to any workmen or
other person engaged by the Service Provider or Technology Partner or any sub-
contractor or sub Technology Partner.

v) Transit insurance
In respect of all items are to be transported by the Service Provider to the site of work, the
cost of transit insurance shall be borne by the Service Provider and the quoted price shall
be inclusive of this cost.

9.25 Limitation of Liability


The Service Provider shall not be liable to the GUJARAT RERA, whether in contract, tort, or
otherwise, for any indirect or consequential loss or damage, loss of use, loss of
production, or loss of profits or interest costs, provided that this exclusion shall not apply
to any obligation of the contractor to pay liquidated damages to the GUJARAT RERA. The
aggregate liability of the Service Provider to the GUJARAT RERA, whether under the
Contract, in tort or otherwise, shall not exceed the total Contract Price. Provided that this
limitation shall not apply:

1) To the cost of repairing or modifying the defective software solution / application


2) To any obligation of the supplier to indemnify the GUJARAT RERA with respect to patent
infringement
3) Non-compliance of applicable laws, including but not limited to laws relating to taxation
etc.
4) In case of negligence, breach, fraud, Gross Negligence or Willful Misconduct of the
service provider.
5) Breach of confidentiality requirements set forth in this Contract or Applicable Law
The provisions of this Clause shall survive termination or expiry of the Contract.

6) Clause establishing clear linkage between Registered AFS and Sale deed is to be

 In form B the following points should be kept in mind;

1) The affidavit has to be on Rs. 100 stamp paper or with appropriate stamp franking.
2) Affidavit has to specify the promoter name, project name and project details like
TP, FP number or Revenue survey number.
3) Affidavit should be notarized with photograph of authorized signatory with the
two signatures at appropriate places.
4) In an affidavit in case of any encumbrance on the project, mention details in point
number 2 of the Form B and also submit mortgage deed with certificate of
encumbrance.
5) Verify the project end date as per project schedule and application Form-A input
with implementability.
Financial Documents
 Form 1 (Architect’s Certificate)
1) Name of person issuing Certificate in Architect’s certificate and person giving
declaration under the said Form should be same.
2) Form-1 certified by Practicing Architect having COA registration (other than promoter
himself) is to be provided.
3) Form 1 and Form 2 is required to be certified by different persons. (i.e. Architect
certifying Form 1 should not certify Form 2 and vice-versa).

Form 2 (Engineer’s Certificate)

1) Engineer certificate covering only the cost of construction and cost of


internal/external development in Table A and Table B respectively (cost components
such as land cost, on-site expenditure, cost of machineries and equipment, payment
towards taxes, cess, fees, charges, premiums, interest etc. should not be included) is
to be provided.
2) Form-2 certified by registered Engineer (other than promoter himself) is to be
provided.
3) Name of Quantity Surveyor should be mentioned in Para 1 and 2 of Form: 2 (Name in
both the paragraphs should be same).
4) Name of person issuing Certificate in Engineer’s certificate and person giving
declaration under the said Form should be same.
5) Site Verification date for Form: 2 is required to be in conjunction with site visit date
of Architect for Form: 1.
6) Actual Cost of Construction Incurred and Paid till Date as per Books of Accounts in
CA’s Certificate (1.ii.a.(ii)), is required to be not more than total cost incurred as
certified at Para 3 in Engineer's Certificate.
7) Form 1 and Form 2 is required to be certified by different persons. (i.e. Architect
certifying Form 1 should not certify Form 2 and vice-versa).

Form 3 (CA’s Certificate)


1) Breakup of costs towards TDR purchase, FSI purchase, stamp duty, registration
charges etc. are required to be provided under subheads of land cost (1.i).
2) Breakup of costs towards onsite expenditure, payment of taxes, interest etc. are
required to be provided under subheads of development cost (1.ii)
3) Land cost estimated as per Authority's Directives is to be provided.
4) Amount mentioned in Para 7 of Form: 3 is required to be as per Circular No. 2 (i.e.
amount should be lower of cost incurred till date and amount received from sold
inventory).
5) Inventory (Unit) details in Form 3 is required to be consistent with Forms 1, Form 2
and Commencement Certificate (layout plan), in accordance with the unit number
and its use.
6) Land Cost and Development cost estimated as per Circular No. 2 for Society
Redevelopment Project is to be provided.
7) Date of verification of books of accounts as per Form: 3 should be in conjunction with
site verification date as per Form: 1 and Form: 2.
8) A separate Bank Account should be opened and provided with the Project
Registration Application. The same Bank Account has to be operated during project
life cycle as per GUJARAT RERA Bank Account Directions
9) Actual Cost of Construction Incurred and Paid till Date as per Books of Accounts in
CA’s Certificate (1.ii.a.(ii)), is required to be not more than total cost incurred as
certified at Para 3 in Engineer's Certificate.
