Government of India has enacted the Real Estate (Regulation and Development) Act 2016 and
all the sections of the Act shall come into force with effect from May 1, 2017. Under this Act,
Government of Gujarat established Gujarat Real Estate Regulatory Authority (GUJARAT RERA),
for regulation and promotion of real estate sector in the State of Gujarat. The key provisions
of Gujarat Real Estate (Regulation and Development) Act, 2016 are as follows:
The appropriate Government shall also establish Appellate Tribunal to hear appeals
from the decisions, directions or orders of the Real Estate Regulatory Authority. Any
person aggrieved by any direction or decision or order made by the Authority or by an
adjudicating officer may file an appeal before the Appellate Tribunal and the appeal
shall be dealt with by it as expeditiously as possible and endeavor shall be made by it
to dispose of the appeal within a period of sixty days.
No promoter shall advertise, market, book, sell or offer for sale, or invite persons to
purchase in any manner any plot, apartment or building, as the case may be, in any
real estate project or part of it, in any planning area within Gujarat, without registering
the real estate project with the Gujarat Real Estate Regulatory Authority (GUJARAT
RERA). Promoter of ongoing real estate projects, in which all buildings as per
sanctioned plan have not received Completion Certificate, shall also be required to be
registered for such phase of the project which consists of buildings not having
occupation or completion certificate.
If any promoter fails to register as per Act, he shall be liable to a penalty which may
extend up to ten per cent of the estimated cost of the real estate project. On
continued violation, he shall be punishable with imprisonment for a term which may
extend up to three years or with fine which may extend up to a further ten per cent of
the estimated cost of the real estate project, or with both.
Apart from Registration, the promoters shall be required to provide quarterly updates
on the status of the project to the authority.
4. Filing of complaints
Any aggrieved person may file a complaint with GUJARAT RERA or the adjudicating
officer, as the case may be, with respect to any registered real estate project, for any
violation or contravention of the provisions of this Act or the rules and regulations
made there under. The Authority shall establish an adjudicating mechanism for speedy
redressal of such complaints.
Any person aggrieved by any direction or decision or order made by GUJARAT RERA or
by an adjudicating officer may file an appeal before the Appellate Tribunal
Any person aggrieved by any decision or order of the Appellate Tribunal, may file an
appeal to the High Court
5. Financial Discipline
The Act strives to ensure greater financial discipline in the real estate sector. Some of
its provisions are as follows:
o A promoter shall not accept more than ten per cent of the cost of the apartment,
plot, or building as the case may be, as an advance payment or an application fee,
from a person without first entering into a written agreement for sale with such
person and register the said agreement for sale.
o Seventy per cent of the amounts realized for the real estate project from the
allottees, from time to time, shall be deposited in a separate account to be
maintained in a scheduled bank to cover the cost of construction and the land
cost and shall be used only for that purpose
o Withdrawal from such accounts shall be in proportion to the percentage of
completion of the project, which shall be certified by an engineer, an architect and
a chartered accountant in practice.
o Promoter to compensate buyer for any false or incorrect statement with full
refund of property cost with interest
o Project Accounts to be Audited / FY. Copy to be submitted to GUJARAT RERA
o Provision for GUJARAT RERA to freeze project bank account upon non-compliance
o Provision for stronger financial penalties for GUJARAT RERA non-compliances
6. Transparency
The Act shall drive great transparency in the real estate sector as follows:
o sanctioned plans, layout plans, along with specifications, approved by the
competent authority
o Proposed Plan, Proposed Layout Plan of the whole project and Floor Space Index
proposed to be consumed in the whole project, as proposed by the promoter
o Proposed Number of building(s) or wing(s) to be constructed and sanctioned
number of the building(s) or wing(s).
o The stage wise time schedule of completion of the project, including the
provisions for civic infrastructure like water, sanitation and electricity.
o Quarterly update of the list of number and types of apartments or plots, as the
case may be, booked
o Quarterly update of the list of number of covered parking, garages booked;
o Quarterly update of the list of approvals taken and the approvals which are
pending subsequent to commencement certificate;
o Quarterly update of the status of the project; and
Such other information and documents as may be specified by the regulations
made by GUJARAT RERA.
Gujarat RERA is soliciting proposals for development of IT systems to administer
the responsibilities and duties enshrined in this act in a transparent, efficient,
citizen friendly manner, foster trust amongst buyers of properties, enable
conducive environment for compliance for the project developers, help guide
urban planning and approval process and facilitate investments in real estate
sector.
SECTION II: GENERAL TERMS AND CONDITION, ELIGIBILITY CRITERIA AND PREPARATION
OF BIDS
1. General Terms and Conditions and Instruction to Bidders:
a. All bids must be submitted online on https://gipl.nprocure.com website. No physical
bid will be accepted.
b. Bid processing fees (non-refundable) shall be submitted in the form of Demand Draft
in the name of “Guj Info Petro Ltd.” payable at Gandhinagar.
c. EMD shall be submitted in the form of Demand Draft OR in the form of an
unconditional Bank Guarantee (which should be valid for 9 months from the last date
of bid submission) of All Nationalized Bank including the public sector bank or Private
Sector Banks or banks (operating in India having branch at Ahmedabad/ Gandhinagar)
as per the G.R. no. EMD/10/2018/18/DMO dated 16/04/2018 issued by Finance
Department or further instruction issued by Finance department time to time in the
name of “Guj Info Petro Ltd.” payable at Gandhinagar (as per prescribed format given
at as per prescribed format given at Annexure 6) and must be submitted along with
the covering letter.
d. Bidder shall submit the Affidavit -Self Declaration physically at GIPL in Original on
Non‐ Judicial stamp paper of Rs. 100/‐ duly attested by Magistrate / Notary with EMD
& Bid processing fees (as per prescribed format given at Annexure 7).
e. This RFP document is not transferable.
f. Pre‐qualification / Eligibility details & Technical Bids will be opened in the presence
of Bidder’s or their representatives who attend on the specified date and time.
g. The bidder, who intends to participate in this bid, is required to follow the
below mentioned stages:
o Pre Bid Conference
o Technical & Financial Bid Submission
o Opening of Technical Bid
o Evaluation of Technical bid (70% weightage)
o Technical Presentation for eligible bidders
o Opening of Financial bids of all qualified bidders.
o Award of LOI followed by Performance Bank Guarantee submission, issuance of
work order & agreement signing.
h. Minimum absolute technical score to qualify for commercial/financial evaluation is 70
out of a total of 100 marks for technical scoring.
i. An undertaking from the Bidder stating the compliance with all the conditions and
Technical Specifications of the Bidding Document will be required since no deviation
will be acceptable to GUJARAT RERA. Any deviation from the same will lead to the
disqualification.
j. The bidder achieving the highest combined technical and financial score will be invited
for negotiations and awarded contract.
k. “Applicable Law” means the laws and any other instruments having force of law
in India as they may be issued force and in force from time to time.
l. “Proposals” means proposals submitted by bidders in response to this RFP .
m. “Tendering authority” means Guj Info Petro Ltd., Gandhinagar.
n. “Competent Authority” means the Secretary, Gujarat RERA, Gandhinagar.

consortium member / Joint venture / subcontractor will not be considered as supporting
document.
3. Preparation of Bids
The Bidder shall bear all the costs associated with the preparation and submission of its
bid, and GIPL/GUJARAT RERA will in no case be responsible or liable for these costs,
regardless of conduct or outcome of bidding process.
5. Preparation of Bids
1. The Technical Bid and Financial Bid must be submitted online on
https://gipl.nprocure.com as per given format.
2. The Bidder shall submit the Technical Bid and Financial Bid as per format mentioned in
this document.
3. The bid documents and addendums (if any) together shall be considered as final.
A. Bid Prices:
1.1 The Bidder shall indicate the prices in the format mentioned in Financial Bid
separately showing applicable taxes. However for Net Present Value (NPV)
calculations for arriving at total cost of ownership, taxes shall not be included.
1.2 Following points need to be considered while indicating prices:
a. The prices quoted should be firm and also include, inland transportation,
insurance and other local costs incidental to delivery and
installation/commissioning of the goods and services to their final destination
within the state of Gujarat.
b. The rates of any Indian duties, GST or other taxes which will be payable by
the Client on the goods(if any) if this contract is awarded, and hence
should be quoted separately.
c. The taxes are extra and payable as applicable at the time of invoicing.
d. Invoicing shall be from Gujarat only.

2.2 Bidders shall submit the affidavit physically to GUJARAT RERA IN ORIGINAL on
Non‐ Judicial Stamp Paper of Rs. 100/‐ duly attested by Magistrate/ Notary with
and EMD. (as per prescribed format given at Annexure 7).
2.3 Proposals not accompanied by EMD & Bid processing fees shall be rejected as
non‐responsive.
2.4 The successful bidder’s bid security will be discharged from GIPL only after the
signing of the contract and submission of performance security.
2.5 Disqualified (at any stage) / Unsuccessful bidder’s EMD will be discharged /
refunded as promptly as possible, but not later than 30 days of the validity
period of the bid.
2.6 No exemption for submitting the EMD will be given to any agency.
2.7 The EARNEST MONEY DEPOSIT shall be forfeited:
a. If a Bidder withdraws its bid during the period of Bid validity specified by the
Bidder on the Bid Form.
b. Or in case of a successful Bidder, if the Bidder fails to sign the Contract; or to
furnish the performance security.
C. Clarification on RFP
3.1 A prospective Bidder requiring any clarification on his queries submitted on the
date indicated under this document. GIPL will respond to any request for the
clarification of any bidding documents, which receives before date mentioned for
submission of queries.
3.2 The queries should necessarily be submitted in the following format:

6. Submission of Bids
1. All bids must be submitted mandatorily online as per the formats mentioned in bid
document.
2. Bids (both in online & the physical form) must be submitted on time, no bids will be
accepted after the date and time mentioned in the [Section-II].
Note:
Minimum 70 marks out of 100 marks required to qualify for the financial bid
opening.
70% weightage of technical score and 30% weightage of financial score will be
considered for the final evaluation.
Technical submission should have details of each of the above items with
make/brands as applicable.
After presentation, each bidder will have to submit the copy of the
presentation and necessary documents to the authorized person of
GIPL/GUJARAT RERA, GANDHINAGAR without fail to avoid scoring based on
documentation only.
The bids will be evaluated on a Quality and Cost Based Selection [QCBS] basis. The
proposals will be ranked according to their combined technical and financial scores
using weights. GUJARAT RERA is open to Service providers for providing live
demonstrations of the proposed system/ similar system developed by them. This is an
opportunity to demonstrate their recommended implementation approach to meeting
the GUJARAT RERA's needs and verify understanding, assess value, and evaluate
suitability.
3.6.1 Technical Bid Evaluation:
The technical score of a bidder ‘Tb’ will be assigned to the bidder & it will be awarded
based on the Technical Evaluation Criteria as specified above. GIPL/Gujarat RERA
decision in this regard shall be final & binding and no further discussion will be held
with the bidders whose bids are technically disqualified / rejected. Bidders with
technical score of 70 Marks and above will qualify for the evaluation in the commercial
bids. The total technical scores achieved by the bidders shall be shared with the
bidders & under no circumstances the breakup of the technical score shall not be
shared with the bidders.
NPV shall be calculated at discounted rate of 8 % per annum for all future
expenditures ( towards resources, hardware software, tools etc.) that would be
required to run the system for the 1 year warranty period and 3 years of post-
implementation support from the Go-Live date to determine total cost of ownership.
For calculations purposes, taxes shall not be included in calculation of NPV and total
cost of ownership. The lowest evaluated Financial Proposal (Fmin) will be given
the maximum financial score (Fn) of 100 points. The financial scores (Fn) of the other
Financial Proposals will be calculated as per the formula for determining the financial
scores given below:
Normalized Financial Score (Fn) = 100 x Fmin / Fb
Proposals will be ranked according to their combined technical (Tb) and financial (Fn)
scores using the weights (T = 0.70 the weight given to the Technical bid and P = 0.30
the weight given to the Financial Proposal; T + P = 1). The final evaluation will be
based on Final Score which shall be calculated as shown below:
Final Score (S) = Tn x T + Fn x P
The bidder achieving the highest Final Score (S) will be invited for negotiations for
awarding the contract. In case of a tie where two or more bidders achieve the same
highest combined technical and financial score, the bidder with the higher normalized
technical score will be invited first for negotiations for awarding the contract.
8. Negotiations
After completion of the evaluation process, Gujarat RERA may enter into negotiations
with the highest Final Score (S) Bidder. GUJARAT RERA reserves the right to award the
contract, based on initial offers received or otherwise, without discussion and without
conducting any further negotiations. Further, the successful bidder shall not reassign
any award made as the result of this bid.
9. Award of Contract
1. Gujarat RERA will award the contract to the successful bidder decided as per the
evaluation procedure mentioned above.
2. On acceptance of Proposal for awarding the contract, GIPL/Gujarat RERA will notify
the successful bidders in writing that their proposal has been accepted and
Contract Agreement will be signed.
3. In case the successful bidder does not confirm the acceptance of the assignment
within the stipulated time, Gujarat RERA has the right to engage the next highest
Final Score (S) Bidder for the assignment and so on and so forth.
4. Gujarat RERA shall have the right and authority to negotiate / add certain terms
with the successful bidder before signing of the Contract. After signing of the
Contract Agreement, no variation in or modification of the term of the Contract
shall be made except by written amendment signed by all the parties. Within 15
days of receipt of the Contract Form, the successful bidder shall sign and date the
contract and return it to GIPL/GUJARAT RERA.
5. GUJARAT RERA reserves the right to reject any or all bids OR split the job between
more than one bidder OR issue work order in full or parts with respect to the scope
of work without assigning any reason thereof.
6. During evaluation of bids, GIPL/GUJARAT RERA, GANDHINAGAR may, at its
discretion, ask the Bidder for a clarification of its bid. GIPL/GUJARAT RERA,
GANDHINAGAR may also ask for rate analysis of any or all items and if rates are
found to be unreasonably low or high, the bid shall be treated as non-responsive
and hence liable to be rejected. The request for a clarification and the response
shall be in writing and no change in prices or substance of the bid shall be sought,
offered or permitted.
13. Confidentiality:
The Parties agree that Confidential Information exchanged shall be kept
confidential and shall not be disclosed or given to any third party or made use of in
any manner otherwise than for the purposes agreed herein, during and after the
expiry or termination of this Agreement without the prior written consent of the
disclosing Party. The aforementioned undertaking does not apply to information:
(a) already known or independently obtained by the receiving Party, without an
obligation to maintain its confidentiality;
(b) publicly known or becomes publicly known through no breach of this
Agreement;
The IT Vision of Gujarat RERA is to build a state of art ‘Information Technology System’ with
robust and secure IT Infrastructure which is flexible in meeting objectives of Gujarat RERA. The
Solution should improve efficiency, consistency and effectiveness of various process and
services and should also reduce turnaround time and to meet the demands of the
stakeholders. It should also enhance transparency and accountability. The ICT based platform
should enable People, Process and System to integrate with each other for real time updates
and provide actionable reports and analytics with a secured access. The system should be
robust, secure, scalable, expandable, user friendly, mobile enabled, and should be easy to
access information for all users at all levels for better information and decision making.
Gujarat RERA wants to use information technology and Data analytics to minimize manual
interventions for tasks that can be driven by the system and enhance quality of processing
and decision making. Following are the key objectives
document at every stage and see the e-file with proper audit trails tagged to the
document. The System should leverage data analytics techniques to extract meaningful
trends, behavior of various applicants, and developers based on the documents and
generate exceptions based on defined levels of tolerances. The system should also have
an interface with google maps for enabling viewing of the projects with all the details in
various user friendly and defined permutations and combinations. Some of the reports,
based on approval of GUJARAT RERA must be published on the portal for larger
consumption and some reports may be confined for internal purposes only. Data
analytics should provide real time insights into the status of various operational and key
performance areas of GUJARAT RERA. The GUJARAT RERA Approval Management and
Processing System (RAMPS) should meet the technical specifications/features as listed in
this section.
Following are some of the expected tangible outcomes from the Solution. These will
evolve around available data and largely would be known by the end of the user
requirement analysis and few may evolve as project progresses.
1. Management’s dashboard should have analytical view of data with drill down
functionality and user chosen parameters.
2. Solution should be robust, secure and scalable and should have user friend
interface.
3. It should improve efficiency with real time analytics and reduces cost and less
paper work for admission.
4. It should increase interaction with all Stakeholders and should reduce
administration efforts.
5. It should increase performance of GUJARAT RERA stakeholders by analytical view
of performance indicators in individual dashboard.
6. All Stakeholders must be able to easily access and track status of their requests and
applications, performance/ relevant information in just a click and should provide
transparency. Information to be made accessible to various stakeholder shall be
governed by NEED TO KNOW basis and as explicitly approved by Gujarat RERA.
7. System should be user friendly, attractive and fast to access / fetch records, with
drill down facilities for historical data.
8. There should be in-depth reporting facility with multiple filter option and should
also have import export and email feature with various document/report formats.

f. Social media and Websites of the Developers and Projects
g. Portals of Bank and Financial institutions
h. Relevant data available through web services or in public domain from other
government/ regulatory organizations.
6. Scope of Work
Scope of work for system development is derived from the stated strategic objectives and
the expected outcomes described in above sub sections. Every effort has been made to
represent the objectives in the items of scope below, however bidders are advised to
include additional items in scope, that are not listed explicitly herein below, if in their
understanding, the scope given below is not covering delivery of systems for achieving
the desired outcomes.
1. Analysis and suggestions for improvement for the current IT systems and Web
portal of Gujarat RERA.
2. Periodically review requirements for modifications/ additions or new formats to
the GUJARAT RERA portal and various information seeking formats to meet the
objectives of analytics.
3. Undertake system and process reengineering for all the processes and recommend
improvements to achieve efficiency and ease of doing business.
4. Draft SOP for handling non-compliant promoters/ defaulter / counseling / repeat
defaulters/ waiver or dilution of penalties/ exemptions from compliances.
5. Assist in interpretation, causal analysis and suggest corrective actions based on
trends available from BI and data analytics
6. Development of portal for enabling filings of various kinds as required under the
act by various stakeholders, as per the prescribed format. Portal should system
based checks and validations to ensure application submitted are complete and
correct. Incomplete applications and/or applications with incorrect data should not
be allowed to be submitted. All such errors should be highlighted to user in
different color.
7. All attachments should be available for view and acceptance by the respective
approving officer as per assigned role. An indicative Check list of possible
attachments for application filing for various purposes is at annexure.
8. Development of application software to meet the e file processing requirements
similar to functionalities of e office or integrated workflow and document
management software.
9. Development of applications for Online submission, auto processing of the
applications and returns for errors/ omissions and wrong information ( as validated
through web-services with other external systems), Suo moto complaint
registration, auto issuance of preliminary notices to the defaulting party for non-
compliance and tracking them to closure.
22. System should have functionality to allow citizens to register and join the
seminars, conferences and skill trainings as per the published schedule.
23. Development of Mobile App - ‘GUJARAT RERA Sahyogi ’ to allow easy access to
the public on portable devices and facilitate citizens to report complains, track
status, send reminders and check on particulars of property in a convenient
manner.
24. Development of reporting framework with data analytics/BI and dash boards to
provide integrated view of data meeting the requirement of various types of
stakeholder in various permutations and combinations to track the key result areas
linked with objectives.
25. Data categorization, tagging, cleaning, identifying error, and preparation of the
database from various sources for use in reporting framework and generation of
cross cutting analytical reports to deliver integrated view.
26. Analytical reports based on data from multiple sources, showing projects with
signs of significant non progress/financial distress to safeguard the interests of
allottees and providing early warnings on projects with deteriorating health.
27. Analyze complaint data and non-compliances and delays to identify opportunities
for procedural improvements/ regulatory advisories for UDD.
28. Analyse project data to identify direction of growth for the city on real time basis
with filing for registrations.
29. Development of Integration/ data exchange systems through web services for
a. GIS integration : Geo tagging of Project on Maps with focus on different
attributes
b. NSDL system for PAN validation
c. SMS, eMail & payment gateways
d. ODPS system : For Capture of Online Commencement Certificates and
Scrutiny reports
30. Integration of key functionalities with "GUJARAT RERA Sahyogi" Mobile App
31. Implementation of Digital signature for Form signing :
a. eSigned Form 1, 2, 3 Development and Integration with Project Application
b. eSigned Form 1, 2, 3 Integration with Project Alteration

32. Undertake user requirement understanding & Requirement Analysis, System
analysis, Prototyping, software design, & development, testing, documentation,
configuration, and implementation of the system covering the objectives and
expected outcomes from the system.
33. Supply, installation, support and maintenance of the system software/hardware/
tools/utilities in required quantities to support the system for the period of
contract as per the SLAs for the defined no. of users. List of existing hardware,
software licenses and the subsystems running on the same is given in annexures.
Bidder may make use of the same for operating the new system. Hence the
proposed bill of material should factor the existing IT infrastructure.
34. One Year of warranty support post Go Live and 3 years of Operation &
maintenance support of complete solution including hardware and licenses after
the warranty period.
35. Improvements and enhancements in the solution warranted by change in Act/
rules/ and efficiency requirements efficiency during the entire period of contract
including regular additions, up-dates & Improvements upon directions from
GUJARAT RERA.
36. SP should deploy a team of experienced professions at GUJARAT RERA office with
experience as defined in the subsequent section. -, each for the domain experience
doubling up as Project manager, e governance experience, Software development
experience in the proposed technology, Data Analytics and reporting framework
and Infrastructure management from the start of the project till go LIVE. For the
balance period of contract only 2 person would be required from the old team.
These personnel should be exclusively work for GUJARAT RERA. CVs of 5 resources

be available during pre- planned meetings for required duration not exceeding 5
days per instance from start till end of warranty phase. These should also be
available on call and work exclusively for GUJARAT RERA.
37. Submission of Weekly progress report covering current status, new tasks added,
stats of previous task along with estimated time and plan for closure of
outstanding items for action.
The indicative list of expected reports/outcomes and software development tasks are
placed at Annexure 10 to this document which shall also be part of scope of work and
deliverables.
i. Complaint with office procedure manual and rules for maintenance of files.
j. Users should be able to view, extract, process and send all analytical reports to
intended recipients with a single click.
k. It should also provide Single Sign-on platform for secure access for stakeholders.
l. Reports and analytics should provide a graphical as well as tabular view.

parameters with search criteria with respect to more than, less than or equal to

p. The report should be exportable to multiple formats like PDF, excel etc. for user
comfort and further analysis.
q. The software should be Unicode compliant and support both English & Gujarati

s. Use of open source technologies to minimize cost of license. The use of Open
Source Software should be as per the Framework on Open Source Software
issued by Govt. of India.

Unpriced bill of material is required to be submitted along with the technical bid clearly
indicating the item description, brand, make, model, quantity required and specifications.
This will be used to evaluate sufficiency and adequacy of the IT infrastructure to handle
loads.
Solution provider must host the services from its own testing server/cloud in
development and testing phase.
In the Go-live phase, Solution provider will have to manage and roll out a beta
version/stage where the system will be made available and restricted only to the
officials of GUJARAT RERA through an appropriate mechanism on the web and
conduct user acceptance testing of the Solution based on test cases developed by the
Bidder in consultation with Gujarat RERA and are also validated by Gujarat RERA.
Based on the test results, required changes will be carried out and tested. Post this,
Gujarat RERA analytics platform shall be officially launched and operational
acceptance will be complete.
In order to accept the system, Gujarat RERA must be satisfied that all of the work has
been completed and delivered to Gujarat RERA’s complete satisfaction and that all
aspects of the system perform acceptably. The technical/functional/logical
acceptance of the system/end to end solution will only be certified when the
proposed system is installed and configured according to the design and that all the
detailed procedures of operating them have been carried out by the Bidder in the
presence of Gujarat RERA IT & Management team.
16. Training
The successful bidder shall provide hand on training to all users in accessing the reports/
dash board- based on user requirements including training to generate dynamic
reports/customized reports.
Any software, hardware, data, patent, IPR etc. shall be absolute property of GUJARAT
RERA, GANDHINAGAR. The Successful bidder will transfer all Intellectual Property
Rights of the Software to Gujarat RERA except for the base product, if being supplied
as part of the solution. However in such a case, the base product along with its

SLA categories:
The Service Providers shall ensure provisioning of all required services while monitoring
the performance of the same to effectively comply with the performance levels. The
services provided by the Service Provider shall be reviewed by Gujarat RERA against
this SLA. The Service Provider shall:
Promptly and Periodically Report all problems- either reported by GUJARAT
RERA or any other stakeholder as well as identified by the solutions team in
internal reviews.
Submit- resolution plan/solution and timelines
Discuss escalated problems, new issues and matters still outstanding for
resolution.
Review of statistics related to rectification of outstanding issues and
agreed changes.
Obtain suggestions for changes to improve the service levels.
Note:
The bidder has to adhere the individual milestones as mention above, the
cumulative penalty will be levied for the delayed weeks, at sole discretion of
Gujarat RERA. If delay exceeds maximum delay weeks at particular milestone,
the organization may decide to cancel the contract including forfeiture of
performance security in case of inordinate delay.
The SLA applicable after the implementation shall be purely measured on
the availability of the services/ reports and response time at platform.

The service provider has to supply minimum onsite manpower of the below mentioned profile

Proposed minimal Manpower Qualification Criteria: - The bidder has to submit detailed Cvs
with supporting documents of the proposed manpower for the project along with authorized
signatory on company’s round seal. Change in CV during the period proposed for deployment
is subject to levy of penalty as described in previous section.
The service provider also has to provide CV of 5 Software Developers (Offsite) working on
GUJARAT RERA project. GUJARAT RERA may call these manpower onsite as per project
requirement and for meetings. These are named 5 CVs till the end of the warranty phase
where after 2 of these 5 would be required to continue till the end of the contract. These are
committed CVs and bidder has to estimate the required team size, expertise to deliver the
software as per scope. All the manpower proposed to be deployed with roles and
responsibility as a matrix must be submitted in the technical proposal.

In addition to inspection & testing, SERVICE PROVIDER shall also be responsible to get
application security audited by CERT-In Empanelled application security Auditors at the
cost of Service provider and submit the Security Audit Clearance Certificate issued by
CERT-In Empanelled Security Auditors.
1. The Service Provider must submit the test results to GIPL/GUJARAT RERA.
2. Should any inspected or tested software fail to conform to the specifications,
GUJARAT RERA may reject the software and the service provider shall either
replace/redevelop the rejected software or make alterations necessary to meet
specification requirements free of cost to GIPL/GUJARAT RERA.
3. GIPL/GUJARAT RERA’s right to inspect test and, where necessary, reject the software
/ deliverable after the software deployment at Project Site shall in no way be limited
or waived by reason of the software previously been inspected, tested and passed by
GIPL/GUJARAT RERA for its representative prior to the software deployment.
4. No clause in the RFP document release the service provider from any warranty or
other obligations under this Contract.
5. The inspection of the working of the developed software shall be carried out to check
whether the software is in conformity with the requirements described in the
contract. The tests will be performed after completion of installation and
commissioning of all the software at the site of installation. During the test run of
software no malfunction, partial or complete failure of any module of software or
bugs in the software is expected to occur. All the software should be complete and
no missing modules/sections will be allowed. The service provider shall maintain
necessary logs in respect of the result of the test to establish to the entire
satisfaction of GIPL/GUJARAT RERA, the successful completion of the test specified.
An average uptime efficiency of 99% for the duration of test period shall be
considered as satisfactory. On successful completion of acceptability test and after
GUJARAT RERA is satisfied with the working of the software on the, the acceptance
certificate of GUJARAT RERA will be issued. The date on which such certificate is
signed shall be deemed to be the date of successful commissioning of the software.
6. Before the Application modules are taken over by GUJARAT RERA, the service
provider shall supply operation manuals. These shall be in such details as will enable
GUJARAT RERA to use the software as stated in the specifications. The
documentation shall be in the English/Gujarati language and in such form and
numbers as stated in the contract document. Unless and otherwise agreed, the
software shall not be considered to be complete for the purpose of taking over until
such documentation has supplied to GIPL/GUJARAT RERA.
9.11 Sub Contracts and Assignments
No Sub Contracting shall be allowed for this project except for data entry jobs, if any.
Service Provider shall also not assign the project to any other agency, in whole or in part,
to perform its obligation under the Contract
9.12 Warranty
1. If any module of developed software gives continuous trouble and runtime or logical
errors, during the warranty period, the service provider shall rectify the problems
without any additional cost to GUJARAT RERA. The Service Provider has to make the
suitable changes in solution as per the change requests (Any number/unlimited)
received from users during warranty period without any extra cost to GUJARAT RERA.
2. The warranty period will be for one year from the date of ‘Go-live’. After one year of
warranty, the operation and maintenance support will start. The duration of the
O&M support will be for three years after the completion of the warranty period of 1
year.
3. The SERVICE PROVIDER hereby represents and warrants that the Software as
delivered does not and will not infringe any Intellectual Property Rights held by any
third party and that it has all necessary rights, or at its sole expense shall have
secured in writing all transfers of rights and other consents necessary to make the
assignments, licenses and other transfers of Intellectual Property Rights and the
warranties set forth in the Contract, and for GIPL to own or exercise all Intellectual
Property Rights as provided in the Contract. Without limitation, the Vendor shall
secure all necessary written agreements, consents and transfers of rights from its
employees and other persons or entities whose services are used for development of
the Software.
4. The service provider shall provide software maintenance services during the period
of Operation & Maintenance.
5. Change request shall not be paid separately
This RFP is for selection of the Service Provider for execution of the assignments from time
to time. If during execution of the Project, following Problems are to be found, then a
penalty of 0.5% of the contract value per week (subject to maximum of 10%) may be
imposed by GIPL/GUJARAT RERA, which will be the part of Project specific RFP and Terms
of Reference:
1. Quality of deliverable is not up to the mark, (till the quality is improved to the
required extent)
2. Delays in deliverables
3. Not assigning adequate resources in time
4. Not engaging resources on a dedicated basis, even when required.
5. Assigning resources that do not meet the clients requirements
6. Inadequate interaction with the client department
7. The work is either not complete or not completed satisfactorily as per the
approved time schedule or the quality of deliverable.
9.14 Suspension
GIPL/GUJARAT RERA may, by in written notice to Service Provider, suspend all payments
to the Service Provider hereunder if the Service Provider fails to perform any of its
obligations under this contract including the carrying out of the services, provided that
such notice of suspension.
1. Shall specify the nature of failure.
2. Shall request the Service Provider for remedy of such failure within a period
not exceeding thirty (30) days after receipt by the Service Provider of such
notice of failure.
9.15 Termination
Under this Contract, GIPL/GUJARAT RERA may, by written notice terminate the Service
Provider in the following ways:
Notwithstanding anything contained in the RFP, the Service Provider shall not be liable for
liquidated damages or termination for default, if and to the extent that, it’s delay in
performance or other failures to perform its obligations under the agreement is the result
of an event of Force Majeure.
For purposes of this clause “Force Majeure” means an event beyond the control of the
Service Provider and not involving the Service Provider’s fault or negligence and which was
not foreseeable. Such events may include wars or revolutions, fires, floods, epidemics,
quarantine restrictions and freight embargos. The decision of the GIPL/GUJARAT RERA
regarding Force Majeure shall be final and binding on the Service Provider.
Force Majeure means such of the following factors which substantially affect the
performance of the contract such as natural phenomena, including but not limited to
floods, draughts, earthquakes and Epidemics; acts of any Government, domestic or
foreign, including but not limited to war, declared or undeclared, quarantines, embargoes;
illegal strikes and legal lockouts in respect of scope of work provided;
If a Force Majeure situation arises within fifteen (15) days from the occurrence, the
Service Provider shall promptly notify to the GIPL/GUJARAT RERA in writing, of such
conditions and the cause thereof. The successful bidder shall not be liable for delays in
performing their obligations resulting from any Force Majeure cause as referred to and /
or defined above.
However if such an event lasts for a period of 90 days or more then either party shall have
an option to terminate this Agreement forthwith without any liability after intimating the
other party of the same. The successful bidder shall however be entitled to receive
payments for all the services rendered by it under this Agreement prior to termination of
contract.
Unless otherwise directed by the GIPL/GUJARAT RERA in writing, the Service Provider shall
continue to perform its obligations under the agreement as far as reasonably practical,
and shall seek all reasonable alternative means for performance not prevented by the
Force Majeure event.
Performance of the Contract is governed by the terms the conditions of the Contract,
however at times dispute may arise about any interpretation of any term or condition of
Contract including the scope of work, the clauses of payments etc. In such a situation
either party of the contract may send a written notice of dispute to the other party. The
party receiving the notice of dispute will consider the notice and respond to it in writing
within 30 days after receipt. If that party fails to respond within 30 days, or the dispute
cannot be amicably settled within 60 days following the response of that party, then
following clause shall become applicable.
Arbitration proceedings will be held in India at Ahmedabad and the language of the
arbitration proceeding and that of all documents and communications between the
parties shall be in English. The decision of the majority of arbitrators shall be final and
binding upon both the parties. All arbitration awards shall be in writing and shall state the
reasons for the award. The expenses of the arbitration as determined by the arbitrators
shall be shared equally by the GIPL/GUJARAT RERA and the Service Provider. However, the
expenses incurred by each party in connection with the preparation, presentation shall be
borne by the party itself.
4. The Contract Price shall be deemed to be firm and valid for the entire duration
of the Contract till the completion of scope of work under this Contract unless it is
due to change in tax law.
5. The Contract Price may be varied due to situations giving rise to change in Tax
Law arising between the date of bid submission and the contractual date of supply
of the Goods and / or performance of the Services under the contract. The Indirect
Taxes that shall be considered for Change in Tax Law shall be included but not
limited to the following taxes leviable on the direct transaction between the
service provider and the GUJARAT RERA unless specified otherwise:
6. Further, such variation shall be made only in respect of taxes (both nature and
quantum) originally factored by the service provider in their initial bid offer, unless
the tax sought to be recovered is a new tax arising on account of Change in Tax
Law which was not in force on the date of bid submission.
7. No variation shall be allowed on account of any taxes applicable outside India.
8. Billing can be done from Gujarat or anywhere in India.
9. The service provider shall issue proper invoice as stipulated under the Goods &
service tax (GST) legislation or any such other legislations as may be relevant from
time to time.
10. Each party hereto, agrees to indemnify and keep indemnified and saved
harmless at all times the other party against any loss, cost, expenses or damage
suffered or incurred by it, by reason of its failure to pay taxes, duties, etc. which it
is obliged to pay pursuant to the provisions of this clause and / or arising out of its
failure to comply with its obligations under this clause.
11. Tax deductions at source will be made by the GUJARAT RERA on payments
made to the service provider, as per the applicable Central and State laws.
12. All payments to the service provider shall be subject to applicable withholding
(whether applicable as of the date of this Contract or imposed /required by any
municipal, local, state or national government authorities or any other
Government Instrumentality at any time during the subsistence of the Contract) or
statutory deductions as required in respect of income tax as well as any other
Taxes (including but not limited to Building and Other Construction Workers’
Welfare Cess). The GUJARAT RERA shall issue necessary tax deduction /
withholding certificates to the service provider. If the service provider obtains
appropriate lower withholding orders (as per GUJARAT RERA’s satisfaction),
withholding may be carried out at such lower rates.
13. The risk of all tax positions taken by the service provider shall be borne solely
by the service provider.
14. Service provider shall strictly and in a timely manner, adhere to and undertake
all acts, omissions and compliances required under the applicable GST laws to
ensure that GUJARAT RERA is able to avail the Input Tax Credit / set off / rebate /
refund of the GST (along with cesses and surcharges, if relevant) applicable on the
supplies made by the Service provider to the fullest extent possible under law. In
this regard, without limiting the generality of the foregoing obligation in any
manner whatsoever, GUJARAT RERA reserves the right to specify, for the supplies
envisaged under this Contract by the Service provider, the particular compliances
to be undertaken (including aspects like (i) whether Service provider should charge
IGST or CGST-plus-SGST; (ii) from where the billing should be undertaken and to
which registration of GUJARAT RERA; (iii) whether the Service provider should be
responsible to generate the E-Way Bill; (iv) the format of invoices / credit and debit
notes / advance receipt vouchers; (v) maintenance of ‘Compliance Rating’ above a
specified threshold; etc) and the relevant timelines for such compliances based on
the applicable GST laws.
(a) The Service provider acknowledges that any failure in the foregoing obligations
(including undertaking the ones specifically instructed by GUJARAT RERA, if any)
can cause significant losses to GUJARAT RERA in the form of loss of GST credit,
statutory interest liability on such credit loss (under applicable GST laws) and
adverse impact on compliance rating and thus, undertakes to carry out this
foregoing obligation with sincerity, due diligence and without any delay or demur.
(b) The service provider agrees that GUJARAT RERA will reimburse the GST
component on supplies received only when the corresponding credit has become
available in the electronic credit ledger of the relevant GST registration of GUJARAT
RERA.
(c) Without prejudice to any other indemnification obligation under this Contract,
the Service provider agrees to, at all times, to hold harmless and indemnify
GUJARAT RERA from and against all claims, liabilities, expenses, proceedings, costs
and losses that may be suffered or incurred by GUJARAT RERA which may arise out
of or in connection with any failure by the Service provider to adhere to its
obligations under clause (a) above. In this regard, the Service provider also hereby
indemnifies GUJARAT RERA from any costs, claim or liability arising out of any
claim or action or omission by any employee or consultant or agent or outsourced
staff of the Service provider.

The contract shall be governed in accordance with the laws of India. Any dispute between the
parties arising out of the Contract shall be referred for determination by arbitration as
prescribed in the Arbitration & Conciliation Act, 1996 as amended from time to time. The
Arbitration Tribunal shall consist of a Sole Arbitrator to be appointed by GUJARAT RERA. The
Arbitration shall be conducted in English language and the venue of the arbitration shall be
Gandhinagar, Gujarat. Subject to the arbitration agreement as mentioned above, the Parties
submit to exclusive jurisdiction of courts at Gandhinagar, Gujarat in relation to any matter
arising out of this Agreement.
9.22 Binding Clause
All decisions taken by GIPL/GUJARAT RERA regarding the processing of this tender and
award of contract shall be final and binding on all parties concerned.
9.23 Notice
Any notice, request or consent required or permitted to be given or made pursuant to this
contract shall be in writing. Any such notice / request or consent shall be deemed to have
been given or made when delivered in person to an authorized representative of the party
to whom the communication is addressed, or when sent to such party at the Registered
address.
9.24 Insurance
i) General
The Service Provider shall at his own expense arrange, secure and maintain with reputable
insurance companies to the satisfaction of the GUJARAT RERA as follows. The Bidder at its
cost shall arrange, secure and maintain insurance as may be necessary and to its full value
for all such amounts to protect the works progress from time to time and the interest of
the GUJARAT RERA against all risks as detailed herein. The form and other limit of such
insurance as defined herein together with the under works thereof in each case shall be as
acceptable to the GUJARAT RERA. However, the responsibilities to maintain adequate
insurance coverage by the Service Provider till the date of Project Go-Live. However, it is
the responsibility of the GUJARAT RERA to provide adequate security to the onsite
solution once delivered by the Service Provider. The Bidder‘s failure to maintain adequate
insurance coverage shall not relieve of any of his responsibilities and obligations under this
contract. All costs on account of insurance liabilities covered under contract shall be
Bidder‘s account and shall be included in the contract price.
The Service Provider shall also carry any and all other insurance, which he may be required
under any law or regulation from time to time without any extra cost to the GUJARAT
RERA.
v) Transit insurance
In respect of all items are to be transported by the Service Provider to the site of work, the
cost of transit insurance shall be borne by the Service Provider and the quoted price shall
be inclusive of this cost.

defined and approved access control and rights, to view, extract, processes for approval
(forward/ revert/ approve) and send to intended recipients with a straight push.
12. Grouping of complaints and grievances by type of complaint, Project Category, project,
region, and location, GUJARAT RERA official jurisdiction, developer etc. to status of
complaint, track response status, response type, cycle time to closure. The analytics
should display exceptions/deviations/ slippages with respect to agreed resolution
times as an alert. It should show cumulative status of the grievance/ complaint and
various sources of data - including but not limited to manual paper complaints, help
desk complaints received through calls, through mobile apps or on portals etc

The online application form should enable submission of all attachments before allowing it to
be submitted online. The list of expected details to be captured and attachments to be
submitted for the project registration application are given below:

Affidavit
1) The affidavit has to be on Rs. 100 stamp paper or with appropriate stamp franking.

two signatures at appropriate places.
4) In an affidavit in case of any encumbrance on the project, mention details in point
