PRAYER REQUESTS

Prayer was requested for Michael H Stevenson and his family, for
the people in Afghanistan, for the effectiveness of the new radio
transmitters in the Euro—Asia Division, for M T Bascom whose mother
passed away last night, and for Clarence E Hodges and Christian Record,
Inc. as the organization struggles with financial problems.

Prayer was offered by Roy Adams.

SYNOPSIS OF PROCESS OF ESTABLISHING STANDING COMMITTEES

Robert S Folkenberg presented a synopsis of the process that has


been taking place in establishing the standing committees. The
recommendations of the Commission on Governance have been followed
quite closely. Some committees are a little larger than intended due
to the need for wider representation. In most cases the standing
committees are core committees. The number attending the committees is
not limited to this group, however. All individuals who are
knowledgeable regarding the items on the agenda and the decisions that
must be made will be invited to attend the committee for that issue.

The terms of reference that were in hand in Perth were more


complete for some committees than for others. The members of all
committees are requested to study the existing terms of reference, to


expand them appropriately, and to make their recommendations to
Administrative Committee. It is hoped that this can be done within the
next 60 to 90 days.

INTERDIVISION TRAVEL REQUESTS

As of today there will be many actions that are final in


committees other than the General Conference Committee. Travel is one
of them. All overseas service requests will continue to come to
Matthew A Bediako's office for recording purposes—not for decisions.
These will be sent immediately to the head of the department of the
individual whose services have been requested. It will be the
responsibility of the chairman of the department to approve or deny the
request taking into consideration whatever criteria is developed by the
chairman of the department in consultation with the vice president, or
other officer, and in consultation with the rest of the staff. The
authority for determining to travel or not to travel will be a
decision of the head of the department. The Administrative Committee
will hold the department head accountable to ensure that travel is
authorized only within the constraints of the budgetary provisions.

COMMUNICATION OF COMMITTEE ACTIONS

Every committee chairman and secretary, at the time of the first


meeting, are being requested to consider which of the actions taken by
that committee are of sufficient import or of interest to the World
Church to send to General Conference Committee members. The minimum
that should be communicated is the actions that were previously voted
in General Conference Committee. Upon concluding the meeting and
writing the minutes of each committee, the pertinent, vital,
interesting, and the important items should be selected and extracted
from the minutes. These should then be placed in a separate file, put
into Word Perfect on a floppy disk, and sent to Secretariat. They will
then be put into a proper format (not rewritten), printed out, and sent
monthly.

REPORT

Robert S Folkenberg reported that while he was in the Philippines


recently he learned of a legal problem in which a dissident group is
trying to prevent our church from using its name, "Seventh—day
Adventist." Called "The Retained Nine," the dissident group retains 90
percent of its tithe to operate the local church and is willing to
contribute only the remaining 10 percent to some other organization.

When the dissident group discovered the church had not filed
certain annual corporate documents with the government, it registered
the name of the church with the Security Exchange. Later the group
filed a lawsuit in a regional court, which ruled in favor of the


dissidents. Consequently the Security Exchange ordered our local
mission to remove all identification signs on which our churches are
identified as "Seventh—day Adventist" churches.

In reality, the Seventh—day Adventist Church has been registered


in the Philippines since 1905, but only as the General Conference
Corporation of Seventh—day Adventists. The North Philippine Union has
initiated proceedings to attempt to reverse the Security Exchange's
ruling.

This issue should interest church leaders around the world. Some
years ago, when the Office of General Counsel suggested that local
legal entities of the church move to protect the name "Seventh—day
Adventist" by registering it with appropriate government agencies, some
thought that would be wasted effort because no other organization would
be interested in trying to register our name. But that has not turned
out to be the case.

At an appropriate time, possibly during Spring Meeting, we will


need to discuss this issue with the world leadership with the
recommendation that the church move to protect its use of the name
"Seventh—day Adventist" in every country where that is possible.

GENERAL CONFERENCE AUDITING SERVICE OPERATING BOARD

GENERAL CONFERENCE AUDITING SERVICE OPERATING BOARD

The Annual Council, which is the highest policy-making body of the


Seventh-day Adventist Church between General Conference sessions,
created an independent audit service in 1975, the General Conference
Auditing Service. The General Conference Auditing Service is
accountable to the General Conference Executive Committee through the
President of the General Conference.

It was the deliberate intent of the 1975 Annual Council for the
General Conference Auditing Service to function as an independent
professional body. A primary difference between the General Conference
Auditing Service and an independent firm of CPAs is that the General
Conference Auditing Service does not offer its services to the general
public as an independent CPA firm. General Conference Auditing Service
auditors are on the payroll of the worldwide administrative body of


the Seventh-day Adventist Church, the General Conference of Seventh-day
Adventists.

The General Conference Executive Committee has a line relationship


to the General Conference Auditing Service. However, due to the
complexity of operations, a General Conference Auditing Service
Operations Board shall have day-to-day nonprofessional administrative
oversight of the General Conference Auditing Service. The General
Conference's involvement with the General Conference Auditing Service
is consequently on an operational (such as: office space, personnel
relations, etc) level, rather than a professional auditing standard
setting level. The General Conference Auditing Service functions
independently in implementing the accounting and auditing standards of
the auditing profession.

In order to more effectively carry out the objectives for which


the General Conference Auditing Service was formed:

1. A General Conference Auditing Service Operating Board under


the chairmanship of the President of the General Conference shall be
appointed by the General Conference Executive Committee.

2. The purpose of the General Conference Auditing Service


Operating Board shall be to assist the General Conference Auditing
Service with the day-to-day nonprofessional aspects of the General
Conference Auditing Service.

Hospital Retirement Plan as follows:

"WHEREAS, on September 25, 1980, the General Conference of


Seventh-day Adventists, on its own behalf and on behalf of certain


Employers, adopted the Seventh-day Adventist Hospital Retirement Plan
("Plan"), and on February 26, 1981; August 6, 1981; May 13, 1982;
May 13, 1982; May 27, 1982; February 17, 1983; December 29, 1983;

December 29, 1983; December 27, 1984; April 24, 1985; June 11, 1987;
February 2, 1989; July 13, 1989; July 13, 1989; March 15, 1990,
May 24, 1990, December 5, 1991 and December 5, 1991 adopted Amendments
#1, #2, #3, #4, #5, #6, #7, #8, #9, #10, #11, #12, #13, #14, #15, #16,
#17 and #18 to the Plan;

"WHEREAS, the General Conference of Seventh-day Adventists finds


it in the best interests of Plan participants to generally freeze
benefits under the Plan, as of January 1, 1992, in light of the intent
of the participating Employers in the Plan to begin participating in
defined contribution plans, effective January 1, 1992;

"WHEREAS, Sherwood Park Nursing Home, which withdrew from the


Plan, effective January 1, 1991, intends to reenter the Plan as a
participating Employer as of January 1, 1991, solely for purposes of
vesting credit; and

"WHEREAS, the General Conference of Seventh-day Adventists desires


to make certain other changes to the Plan as so amended, it is hereby:
"RESOLVED, that the General Conference of Seventh-day Adventists,
pursuant to Plan Section 8.1, on its own behalf and on behalf of the
Employers set forth in Exhibit A hereto, hereby adopts the following
amendments to the Seventh-day Adventist Hospital Retirement Plan:
"1. Effective January 1, 1992, Plan Section 1.1 ('Benefit Rate
Factor') is amended by adding at the end thereof a new paragraph (i) as
follows:

'(i) Notwithstanding any other provision of this Section 1.1


or of this Plan, a Participant's Benefit Rate Factor shall be
determined without regard to calendar years after 1991."

"2. Effective January 1, 1992, Plan Section 1.19 ('Pension


Factor') is amended by replacing the words 'and beginning January 1,
1984, $1,230.00. As of July 1 of each calendar year beginning with
1984,' with the following words:

'For the period January 1, 1984, through December 31, 1985,


$1,230.00; for the period January 1, 1985, through December 31, 1985,
$1,263.00; for the period January 1, 1986, through December 31, 1986,
$1,295.00; for the period January 1, 1987, through December 31, 1987,
$1,326.00; for the period January 1, 1988, through December 31, 1988,
$1,360.00; for the period January 1, 1989, through December 31, 1989,
$1,409.00; for the period January 1, 1990, through December 31, 1990,
$1,461.00; for the period January 1, 1991, through December 31, 1991,
$1,510.00; and for the period January 1, 1992 through December 31,


1992, $1,548.00. As of January 1 of each calendar year beginning with
1993,'."

"3. Effective January 1, 1992, Plan Section 1.19 ('Pension
Factor') is amended by putting a period after '(2-1/2 percent)' and
deleting the words:

'or such greater percentage (not in excess of the percentage


increase in the Consumer Price Index described above) as the Committee
may determine; and provided further, however, that, in the discretion
of the Committee, any increase or decrease in the Pension Factor that
would otherwise be effective as of July 1 of a particular calendar
year may be postponed until January 1 of the next succeeding calendar
year.'"

"4. Effective January 1, 1992, Plan Section 1.24 ('Service


Credit') is amended by adding at the end thereof a new paragraph (g) as
follows:

'(g) No Service Credit shall be credited for periods after


December 31, 1991, except where this Plan expressly provides
otherwise.'"

"5. Effective January 1, 1992, Plan Section 3.3 ('Early


Retirement Benefit') is amended by adding at the end thereof a new
paragraph (c) as follows:

'(c) Solely for purposes of determining whether the


thirty-five (35) years of Service Credit requirement of (a) above is
satisfied, Section 1.24 (g) hereof shall not apply with respect to a
Participant who, on December 31, 1991, was at least fifty-two (52)
years of age and had at least twenty-five (25) years of Service Credit
under Section 1.24 hereof.'"
"6. Effective January 1, 1992, Plan Section 3.4 ('Disability
Retirement Benefit') is amended by adding at the end thereof a new
paragraph (h) as follows:

'(h) This Section 3.4 shall not apply, and no Disability


Retirement Benefit shall be paid, with respect to any Participant:

(1)Whose Retirement Benefit Starting Date, as defined


in (f) above, would be later than July 1, 1992; or

(2)Who did not become Disabled prior to January 1,


1992."

"7. Effective January 1, 1992, Plan Section 3.6 ('Surviving


Spouse Early Survivor Benefit') is amended by adding at the end
thereof a new paragraph (c) as follows:

'(c) This Section 3.6 shall not apply with respect to a


Participant who was not entitled to receive a Retirement Benefit under
Section 3.1, 3.3 or 3.5 hereof, with a Retirement Benefit Starting Date
prior to January 1, 1992."

"8. Effective January 1, 1992, Plan Section 3.7 ('Surviving


Spouse Benefit') is amended by adding at the end thereof a new
paragraph (e) as follows:

'(e) Notwithstanding any other provision of this Plan, no


Surviving Spouse Benefit shall be payable under this Section 3.7 to any
surviving spouse (including a former spouse) unless all of the
requirements for receiving such Surviving Spouse Benefit, including the
death of the Participant, occurred prior to January 1, 1992."

"9. Effective January 1, 1992, Plan Section 3.8 ('Surviving


Spouse Temporary Benefit') is amended by adding at the end thereof a
new paragraph (d) as follows:

'(d) This Section 3.8 shall not apply, and no Surviving


Spouse Temporary Benefit shall be paid, with respect to a Participant
who was not:

(1)Married throughout the entire calendar year 1991 to


the spouse referred to in (a) above; and

(2)Either:

(A)Entitled to begin receiving a Retirement


Benefit under Section 3.1, 3.3 or 3.5 hereof, with a Retirement
Benefit Starting Date prior to January 1, 1992; or

(B) Receiving a Disability Retirement Benefit


under Section 3.4 hereof on January 1, 1992, and continuously
thereafter.'"

"10. Effective January 1, 1992, Plan Section 3.9 ('Spouse


Allowance') is amended by adding at the end thereof a new paragraph (j)
as follows:

'(j) No Spouse Allowance shall be paid with respect to any


spouse to whom the Participant was not married throughout the entire
calendar year 1991."

"11. Effective January 1, 1992, Plan Section 3.10 ('Funeral


Allowance') is amended by adding at the end of paragraph (c) thereof
the following sentence:

• 'Notwithstanding any other provision of this Section 3.10, solely


in the case of a Funeral Allowance payable upon a death that occurs

after December 31, 1991, this (c) shall be applied by replacing the
words "thirty-five (35)" in each place they appear with the words
"forty (40)."'"

"12. Effective January 1, 1992, Plan Section 3.10 ('Funeral


Allowance') is amended by adding at the end thereof a new paragraph (e)
as follows:

'(e) This Section 3.10 shall not apply, and no Funeral


Allowance shall be paid, in any case where years of Service Credit or
Shared Service under (a) (1), (2), (3) or (4) above are computed with
respect to a Participant who was not, prior to January 1, 1992, either:

(1)Entitled to receive a Retirement Benefit under


Section 3.1, 3.3 or 3.5 hereof, with a Retirement Benefit Starting Date
prior to January 1, 1992; or

(2) Receiving a Disability Retirement Benefit under


Section 3.4 hereof on January 1, 1992, and continuously thereafter.'"

"13. Effective January 1, 1992, Plan Section 3.17 ('Retirement


Allowance') is amended by adding at the end thereof new paragraphs (f)
and (g) as follows:

'(f) Notwithstanding any other provision of this Plan, this


Section 3.17 shall not apply, and no Retirement Allowance shall be
payable under this Plan, with respect to a Participant who:

(1) As of his Retirement Benefit Starting Date, is not


eligible for a benefit under the "Adventist HealthCare Annuity Plan;"
and

(2)Was not, on December 31, 1991, at least age


fifty-five (55) with at least twenty-five (25) years of Service
Credit.

(g) Solely for purposes of (a) (2) above, Section 1.24 (g)
hereof shall not apply with respect to a Participant who, as of his
Retirement Benefit Starting Date, is eligible for a benefit under the
"Adventist HealthCare Annuity Plan."'"

"14. Effective January 1, 1992, Plan Article 11 ('Medical


Benefits') is amended by deleting Sections 11.1 through 11.3 thereof
and inserting in lieu thereof the following:

'Section 11.1 Health Care Assistance Plan Benefits. Benefits to


which an individual is otherwise entitled under the "Health Care
Assistance Plan for Participants in the Seventh-day Adventist Hospital


Retirement Plan," which is set forth in Appendix I of this Plan
("Medical Benefits"), shall be paid under this Article 11 solely in the
case of:

(a) A Participant who was entitled to receive a Retirement


Benefit under Section 3.1, 3.3 or 3.5 hereof, with a Retirement
Benefit Starting Date prior to January 1, 1992;

(b) A Participant who was receiving a Disability Retirement


Benefit under Section 3.4 hereof on January 1, 1992, and continuously
thereafter;

(c)A Participant who was an Employee on December 31, 1991,


and who, on that date, was at least age fifty-five (55) with at least
twenty-five (25) years of Service Credit; and

(d) Spouses and dependents of Participants described in (a),


(b) or (c) above.'"
"15. Effective January 1, 1992, Plan Section 11.4 is renumbered
as Plan Section 11.2."

"16. Effective January 1, 1992, Plan Section 11.5 ('Funding') is


redesignated as Plan Section 11.3; and the word 'The' following '(a)'
in such redesignated Section 11.3 is replaced with the words 'Prior to
January 1, 1992, the.'"

"17. Effective January 1, 1992, Plan Section 11.6 ('Separate


Accounts') is redesignated as Plan Section 11.4."
"18. Effective January 1, 1992, Plan Section 11.7
('Impossibility of Diversion') is redesignated as Plan Section 11.5,
and the reference in newly-designated Section 11.5 to 'Section 11.6' is
changed to 'Section 11.4."
"19. Effective January 1, 1992, Plan Section 11.8 ('Reversion
Upon Satisfaction of Liabilities'), is redesignated as Plan Section
11.6, and the reference in newly designated Plan Section 11.6 to
'Section 11.6' is changed to 'Section 11.4."
"20. Effective January 1, 1992, Plan Sections 11.9 ('The
Committee'), 11.10 ('Claims Procedure'), 11.11 ('Amendments'), 11.12
and 11.13 are redesignated as Plan Sections 11.7, 11.8, 11.9, 11.10 and
11.11, respectively."

"21. Effective January 1, 1992, Plan Article 11 ('Medical


Benefits') is amended by adding at the end thereof a new Section 11.12
as follows:

'Section 11.12. Accrued Pension Supplement


(a) An Accrued Pension Supplement will be provided to a
Participant who is not described in Section 11.1 above and who on
December 31, 1991 either:

• (1) Was an active Participant with at least fifteen
(15) years of Service Credit;

(2)Was an active Participant at least age sixty (60)


with at least ten (10) years of Service Credit;

(3)Was a terminated Vested Participant with at least


fifteen (15) years of Service Credit; or

(4)Was an active Participant with at least ten (10)


years of Service Credit and who subsequently retires with at least
fifteen (15) years of Service Credit, computed without regard to
Section 1.24 (g) hereof.

(b) The Accrued Pension Supplement will be added to and


paid as a part of each monthly Retirement Benefit payment that is
otherwise made to the Participant under this Plan.

(c) The monthly amount of the Accrued Pension Supplement


during 1992 will be equal to:

(1) One hundred percent (100%) minus two percent (2%)


for each year of Service Credit less than thirty-five (35) years,
multiplied by:

(2)(A) One hundred twenty dollars ($120) in the case


of a Participant who either:

(I) Was not married on December 31, 1991;


(II) Is not receiving a Retirement Benefit
in the form of a Joint and Survivor Annuity; or

(III)Is not married to the spouse to whom he


was married on December 31, 1991; or

(B) Two hundred forty dollars ($240) in all other


cases.

(d) The Accrued Pension Supplement shall be indexed in the


same manner as set forth in Section 1.19 hereof with respect to the
Pension Factor.'"

"22. Effective January 1, 1992, the caption of Plan Section 13.1


shall be modified by replacing the word 'Requirements' with the words
'Rate Factor.'"

"23. Effective January 1, 1992, the caption of Plan Article 13 is


amended be deleting the words 'Rate Factor For Employment By' and Plan
Article 13 is amended by adding at the end thereof a new Plan Section
13.2 as follows:

'Section 13.2 Post-1990 Accruals.

(a) Notwithstanding Section 1.1 hereof or any other

provision of this Plan, no Service Credit shall be credited to a
Participant for periods after December 31, 1990 during which such
Participant was an Employee of Sherwood Park Nursing Home.'"

for Participants in the Seventh-day Adventist Hospital Retirement Plan

ADVENTIST HEALTH SYSTEM/LOMA LINDA RETIREMENT PLAN--


APPROVAL

VOTED, To approve the request of Adventist Health System/Loma


Linda (AHS/LL) to join the Defined Contribution Retirement Plan as
developed by the North American Division health care organizations.
The new plan became effective January 1, 1992. This will include all
the health care facilities of AHS/LL such as Loma Linda University
Medical Center, Community Hospital, Behavioral Medical Center, and
other health care services which are a part of AHS/LL.

Furthermore, this approval is based on the condition that the


present Defined Benefit Retirement Plan will be supported for as long
as actuarially required to maintain the retirement benefits to
employees under the Defined Benefit Retirement Plan. Service credit in
the Defined Benefit Retirement Plan was frozen as of December 31, 1991.
The obligation to support the unfunded liability of the Defined
Benefit Retirement Plan in addition to the new plan must have
Adventist Health System/Loma Linda Board confirmation before June 30,
1992.

update on the Far Eastern Division Headquarters Development Project.
It was

VOTED, 1. To approve the sale of a portion of the land and


development of all the Far Eastern Division property, as specified in
the contract, at 800 Thomson Road, Singapore.

2. To approve the recommendation of the Far Eastern Division


Committee for the purchase of residential and office properties to be
used by the division at least during the development of the Thomson
Road property.

3. To authorize a special Power of Attorney to the developer of


the Thomson Road property.

ADVENTIST HEALTH ASSOCIATION DEFINED BENEFIT PROGRAM

• Robert S Folkenberg presented the background on the potential


liability to the General Conference for the unfunded Adventist Health
Association Defined Benefit Program. It was

VOTED, 1. To freeze the Seventh—day Adventist Hospital


Retirement Plan as of December 31, 1991.

2. To authorize the health care organizations in the North


American Division to establish defined contribution plans effective
January 1, 1992.

3. To require the participating employers, health care


organization boards, and their memberships to take actions for
eliminating or reducing the unfunded liability of the now existing
Hospital Retirement Plan by

a. Providing sufficient funding and/or

b. Developing and establishing methods and means to


eliminate or reduce the unfunded liability (whether by purchase of
annuities, negotiated cash settlement, continuation of the Plan, or
otherwise). These actions, including minutes and financial projections
of how unfunded liability will be reduced or eliminated, are to be
filed with the General Conference Corporation.

4. To establish June 30, 1992 as the final date for actions


taken by the participating employers, health care organization boards,
and their memberships to be finally and fully implemented and filed
with the General Conference Corporation. Authorization under this
action shall be revoked for any health care organization failing to
comply by this date. The obligation to meet the funding requirements
of the Hospital Retirement Plan shall nonetheless remain.

5. To request the North American Division Committee on


Administration, the memberships of each participating employer, and the
Union Conference Committees of the North American Division, where there
are participating employers, to take actions approving the resolution
of commitment to reduce and/or eliminate the unfunded liability no
later than June 30, 1992 and to file these actions with the General
Conference Corporation.

6. To record the understanding that actions taken by the North


American Division and the union conference committees are not intended
to recognize or create liability on the part of those organizations.
The purpose of the actions taken by these bodies is to give direction
to the health care organizations as they work carefully and
cooperatively to see that the unfunded liability is funded or otherwise
eliminated, in harmony with the recognized continuing obligation to
meet the funding of the Hospital Retirement Plan after the plan is
frozen on December 31, 1991.
