Introduction

Choke’oleit is a business that aims to catch those customers with sweet tooth and one
chocolate lover. By doing so, innovation is the most vital that this business could do. Thus, the
company produce a pick-a-snack paired with chocolate milktea. The pick-a-snack are snacks that
are divided into two: the sweet variants and salty variants, all stated are with the taste of
chocolate that may either be as a base ingredients or a chocolate dip. The business is located at
1122-1128 G. Tolentino St. Sampaloc, Manila, and 1008 Metro Manila. The place was planned
since it was a place near the schools. Especially the main target of the business was the students.
The student who we all know are stressed from school works, Choke’oleit is offering food for
comfort. Furthermore, this business is not only for students but for all. Hence, to satisfy all the
costumers is the business’s main goal. Choke’oleit also provides a cocoa as a main ingredient
because its health benefits. It increases energy levels, improves mood, lowering of blood
pressure (HerbaZest, 2019). Choke’oleit believes that we need a food that satisfies our taste and
a food that prioritizes health. As a whole, Choke’oleit aims to achieve quality to create a valuable
relationship with the customers.

DESCRIPTION OF THE PRODUCT

With chocolates from cocoa as ingredient, these products were created to showcase
various ways on how chocolate can lead to more satisfactory snacks and beverage that will
surely be enjoyed by everyone. Choke’oleit innovate pick- a- snack version paired with
chocolate based milktea. To balance the taste, the variations are divided into two. The sweet
variants includes the furreo (oreo balls), French with benefits (chocolate French toast), and
banana Fuji (banana coated with cocoa powder) that provide varying levels of sweetness using
other quality ingredients to ensure that the valued customers and cocoa enthusiast continue to
patronize our products. For salty variants includes Mojilate (Mojo’s), Chocalamari fritters (squid
fritters), and Nachoose (Nachos). The product are also prepared using advanced equipments so
as to be fully enjoyed regardless of the time and place a snack that will definitely satisfy one’s
sweet tooth.

We are located at 1122-1128 G. Tolentino St. Sampaloc, Manila, and 1008 Metro Manila.
It is along the vicinity of Sampaloc Manila that caters mostly students from University belt and
reviewees. This location is very convenient for everyone because of its accessibility and easy to
find spot around Manila City.

EXECUTIVE SUMMARY

In taking advantage of the new evolving features of trends in business, Choke'oleit has
arrived at the concept of innovating a snack into a more interesting way that will definitely be
patronized by the customers. Choke’oleit is a business that features two different variants of food
that will surely satisfy customers especially those who are chocolate lovers and will serve as a
comfort food for stressed students. This business intends to provide completely accessible and
affordable high quality food from chocolate made with cocoa that will serve as the main
ingredient of most food and beverage. Choke'oleit provides its customers a pick-a-snack which
will give them the ability to choose if it is sweet variants or salty variants they want to pair with
the chocolate milk tea drink.

The first branch of Choke'oleit is located along Sampaloc, Manila. It is a 12 square


meter- commercial space inside a building in 1122-1128 G. Tolentino St, Sampaloc, Manila,
1008 Metro Manila that caters mostly students and reviewees from University of Santo Tomas
and students near Sampaloc. This cafeteria can accommodate 7 to 18 customers. The machinery
and other equipments are highly maintained by the staff to prevent rusting. Also, our place has a
comfortable and relaxing place that will truly satisfy each customer. The design and ambiance
are made for everyone especially to the chocolate lovers that will highly appreciate our area.

Choke'oleit will be a great place to eat simply because of its uniqueness, affordability,
and a welcoming atmosphere of our business. We want Choke'oleit to be the business choice for
all within the area near Sampaloc, especially students to try our good quality food from chocolate
made with cocoa that has health benefits because we want a business that prioritizes the health of
individuals. Through a combination of sweet and salty variants, it is surely a great experience for
all because of its uniqueness. We all have different tastes of level that is why our business aims
to provide satisfaction for individuals. In addition, our business Choke'oleit will provide
continuous good quality service for our customers and will keep motivating and encouraging
them to ensure the best quality for all.
The company also provides a business that ensures the health of the target customers. The
fact that Cocoa is the main ingredient of the products, which is known to increase energy levels,
improves mood, lowering of blood pressure (HerbaZest, 2019).

The business also advocates hygiene and sanitation by practicing “CLAYGO”. In addition, we
prioritize the laws and regulations from the different departments of the government. With all of
its greatness, Choke’oleit will surely win your taste and win your heart.

VISION

Choke’oleit aims to be a place that can be considered as a haven of comfort foods for
stressed students. This goal is satisfied as we produce only the finest desserts made from
premium ingredients that are locally sourced ingredients, we also aim to promote Philippine’s
own products and by doing so, we provide livelihood to our countrymen.

MISSION

Uniqueness, affordability and quality was the goal of this business. It is to create a
product that will benefit to all of our customers. Choke’oleit also targets an eco- friendly café.
This promotes the use of reusable tumblers and utensils to lessen our wastes. Creating a sweet
products with a great purpose.

The business prioritizes CLAYGO as a practice to hygiene and sanitation at the same
time to build discipline for everyone.

This is the business’ advocacy. This encourages everyone to bring their own utensils to
avoid and lessen the use of non-biodegradable materials that will harm our environment.
If the customer followed this rule, they will get 5% off to the product that they will
choose.

promote and protect the health of our people. Thus, the business believes that it all starts

STRENGTHS
Promotes Pinoy Products
One must never forget their own roots. That is why Choke’oleit gathers
their supplies from local sources. It is the advocacy of the café to provide
chocolate-based comfort foods that came from quality-ensured ingredients. These
ingredients came from Davao, one of our own provinces. Not only are we
guaranteed that the ingredients have a great quality, we also helped our fellow
Filipinos have their livelihood in our own little way.
Large variety of choices
The café has a large variety of products to choose from so that the
customers would not easily get sick of a dish. Wanting a sugar rush? Sweet
variants like the furreo, French with benefits and banana fuji got your back. And
if you are craving for something savory, the salty variants comprised of Mojilates,
chococalamari fritters and Nachoose got you. Besides from these choices, one can
also customize their snacking experiences by selecting their choice of chocolate,
dip or drink variant. By having a large array of choices, Choke’oleit can cater to a
large pool of customers.
Varying price points
As stated above the café offers a diverse menu and this menu comes at
varying price points. We aim to please our customers by not leaving them out.
Choke’oleit is for every student, whether you are on a tight budget or not, we
have something for you.
Constant drive to innovate
A stagnating business is fated to fall one day or another, which is why
Choke’oleit is persistent on finding new ways on how our service, menu and
presentation can improve. We strive to come up with new ways on how to keep
our customers satisfied and interested in the food that we serve.

We are located inside the vicinity of the university belt (1122-1128 G.
Tolentino St. Sampaloc, Manila, and 1008 Metro Manila) and this placement
gives us an edge as we are easily available to our target market which are
students.
WEAKNESSES
Being newly opened
Choke‘oleit is not yet a well-established business and U-Belt is swarmed
with a lot of known and favored shops. Because of this, consumers are skeptical
in purchasing products from Choke'oleit and may opt on buying products from
well-known and favored shops especially if the products that Choke'oleit have
already exists in these establishments.
Unpopular products
To be distinguished from other shops already in the vicinity, Choke’oleit
put a lot of variation and innovation in their product. Due to this, a lot of products
may become unfavored especially if the consumers do not like the taste of it or if
it’s too pricey. This will result to spoilage of food and raw materials and could
affect the profit of the shop.

OPPORTUNITIES
Holiday events
Certain external events or situations may arise that can be used to create
an opportunity for the business to grow and gain more patrons. Considering that
the business mainly provides chocolate-based products, various holiday events
where people usually consume chocolates, such as Christmas and Valentine’s
Day, can be utilized to our advantage by creating limited edition products or
promos that mainly caters to those holiday events. Designing unique and eye-
catching products and promos for these events can garner the attention of the
masses which leads to higher degree of popularity for the business even after the
said holiday events.
Special Occasions
Once more people become aware of the products and the brand itself,
another opportunity will arise, which is the call for sponsorship during special
occasions such as weddings, birthdays, parties, etc. In these cases, providing set
promos of our products and services, as well as the brand’s capability to make
adjustments according to the desires of the client can lead to more favorable
responses. Allowing the brand to create products that would suit the theme of the
occasion and following the current market trends while still maintaining the
brand identity.

Natural Calamities

Considering many different circumstances, enterprises are expected to


face threats that are against their advantage. These threats are likely to be events
that may cause negative feedback to the overall welfare of the business. As
a manufacturing and service providing kind of business, one of the potential
threats that the business may face are the presence of natural disaster. Certain
calamities may hinder the natural flow of the business for it can interfere from the
source of supply to the transport of goods and services.

Existing Competition

Another unavoidable threat that every starting business can encounter is


the competition that arises between neighboring businesses. A competition is a
rivalry between sellers aiming for the same good such as sales and profit
(Business dictionary, 2020). According to Porter (2008), competition can be
intense, especially if several direct competitors are about the same size. This
clash makes competitors seek to be ahead of others, in innovation, quality,
price and services. Well, competition is not entirely negative, for it it serves in
the regulatory function where it balances demand and supply, thus, it helps
owners to seek for competence, but for us starting business, it is rather hard to
cope with the already existing competitions. This would be rather difficult for
us knowing that the business venture is located in Sampaloc, Manila, center of
many known food businesses.
ORGANIZATIONAL PLAN

INTRODUCTION
The Company came up first of the idea of starting a business for stressed students
by turning a snack into more improve level to catch those customers. The business aims
to promote Philippine’s own products which provides livelihood to our own countrymen
and with the use of reusable tumblers and utensils of the customers we just not lessen the
waste but we indeed conserve and help our own environment. Also, one of the main goals
of the business is to give quality service and the affordability that will give benefit to all
customers.
The Company will organize a weekly meeting to assess and plan ahead of time so
that it will also improve the business quality. A seasonal promo will be given to engage
the customers with the product. Events is also one of the benefits the staff will get during
occasions held by the company, so that they will also have excitement and build
camaraderie with the other employees. The company focuses to grow the overall
profitability of the business. In addition to that, the company business aims to inspire and
train new employees to be more efficient in their perspective workplace. If the business
can reach the quota profit, the company will pursue to franchise 2 new stores in a year.
The company believes that these plans will be the center of the business to achieve their
main goal.

This presents the different position of the business members chosen by the
company starting in CEO to company’s staffs.

The chosen CEO of the company is Aira Mae I. Hortal for her skills in executing
the major responsibilities for the business. All of the decisions will depend on her lead.
Aira has strong communication skills, ability to understand and listen to her fellow
workmates.

For the Vice President for Administration, Liela was chosen because of her ability
to motivate her workmates, has her time management in her responsibilities as a Vice
President for Administration. Her analytical way of thinking makes her more compatible
in being the Vice President for Administration of the company.

VICE PRESIDENT FOR OPERATIONS: Katherine Shyle M. Milar


In this position, Katherine Shyle will take the place for the Vice President for
Operations of the company because she can help and oversee the business to the leading
success of the company. As Vice President for Operations, she will provide helpful
programs that would help attain growth and improvement of the business.

I. PRODUCTION PROCESS

1. Furreo
 Prep time: 1 hour and 30 min
a. Ingredients
 1 package softened cream cheese
 36 oreo cookies, finely crushed
 16 ounces semi-sweet baking chocolate, sweetened
b. Step by step procedure
i. Mix cream cheese and cookie crumbs until well blended.
ii. Shape into 48 (1-inch) balls. Freeze 10 min. Dip balls in melted
chocolate; place in single layer in shallow waxed paper-lined pan.
iii. Refrigerate 1 hour or until firm.
2. French with Benefits
 Prep time: 30 min
a. Ingredients
 1 cup milk
 4 eggs
 2/3 cup white sugar
 1/3 cup unsweetened cocoa powder
 1/8 teaspoon baking powder
 ¼ teaspoon salt
 8 slices bread
b. Step by step procedure
i. Beat together milk, eggs, sugar, cocoa powder, baking powder, and
salt.
ii. Heat a lightly buttered skillet or griddle over medium heat.
iii. Dip each slice of bread into egg mixture until well soaked, about
20 seconds per side. Place in pan, and cook on both sides until they
are no longer gooey or shiny in the middle when cut in half, about
3 to 4 minutes per side.
3. Banana Fuji
 Prep time: 20 min
a. Ingredients
 5 small unripe (green) bananas
 1 quart oil (for frying, or as needed)
 Cocoa powder
b. Step by step procedure
i. Peel the bananas using a knife, as they are not ripe and will not
peel like a yellow banana. Slice into long thin wedges or strings to
make fries.
ii. Heat the oil in a heavy deep skillet over medium-high heat. If you
have a deep-fryer, heat the oil to 375 degrees F (190 degrees C).
Place the banana fries into the hot oil, and fry until golden brown,
5 to 7 minutes. Remove from the oil, and drain on paper towels.
Pat off the excess oil, and sprinkle with cocoa powder. Serve
immediately.
4. Chocolatea
 Prep time: Choco jelly – 40 min
Chocolate milktea – 10 min
a. Ingredients
Chocolate Milktea:
 1 bag black tea
 3 tablespoons sugar
 2 tablespoons unsweetened cocoa powder
 2 cups milk
 Cold water

Chocolate Jelly:

 1 pack unflavored white gelatin


 ¼ cup cocoa powder
 1 cup sugar
 Cold water
b. Step by step procedure
i. Make the choco jelly first. In a saucepan, mix and dissolve white
gelatin in 750 ml of cold water. Over medium heat, place
saucepan in stove and dissolve the cocoa with a whisk. Let it boil
quickly about 1 or 2 minutes only. Adjust heat to low as soon as it
boils. Next, add in sugar and remove from heat. Transfer in a
rectangle container to spread about 1 inch thick. Let it stand to cool
for 30 minutes. Once cool, place in freezer about 10 minutes just to
quickly chill the jelly. Then take it out. When the gelatin sets, cut
into cubes.
ii. For the milktea itself, brew the tea. Add the choco jelly to a jar and
pour enough tea so that all the jelly are submerged. Add several
spoonfuls of sugar, cocoa powder, and a cup of water, cap the jar,
and shake it up to mix the contents. Serve with a bubble tea straw.
B. Salty Variants
1. Mojilates
 Prep time: 35 min
a. Ingredients
 4 potatoes, sliced into 1/4” rounds
 2 packs Ferna all-purpose breading mix
 2 eggs
 1/4 cup water
 cooking oil, for deep frying
 Lady’s Choice Caesar or ranch dressing

b.Step-by-step procedure
i. A bowl, whisk together eggs and water. Set aside.
ii. Clean potatoes and slice into 1/4” round, then put them straight
into the egg-water mixture to soak.
iii. Heat oil until 350 degrees F.
iv. Coat potato slices with breading and deep fry in batches for 3-4
minutes. Drain in kitchen towel after to absorb excess oil.
v. Transfer to serving plate and serve with either Caesar or ranch
dressing.
2. Chocalamari Fritters
 Prep time: 15 min
a. Ingredients
 1/2 lb medium to large sized squid cleaned and sliced into rings
 3/4 cup all-purpose flour
 1 piece raw egg beaten
 3/4 cup breadcrumbs
 1 teaspoon salt
 1/2 teaspoon ground black pepper
 2 cups cooking oil
b.Step-by-step procedure
i. Combine squid, salt, and ground black pepper then mix well.
Let stand for 10 minutes.
ii. Heat a cooking pot the pour-in cooking oil.
iii. Dredge the squid in flour then dip in beaten egg and roll over
breadcrumbs.
iv. When the oil is hot enough, deep-fry the squid until the color
of the coating turns brown. Note: This should only take about 2
to 3 minutes in medium heat. Do not overcook the squid.
v. Remove the fried squid from the cooking pot and transfer in a
plate lined with paper towels.
3. Nachoose
 Prep time: 25 min
a. Ingredients
 1/2 kilo lean ground beef
 1 pack 40g McCormick Taco seasoning mix
 2 large tomatoes, minced,
 1 large onion, minced
 ½ cup sliced black olives
 1 cup finely chopped cabbage
 1 cup grated cheddar cheese
 1/2 cup sour cream
 1/2 cup cheese dipping sauce (or cheese spread)
 1 large pack of nacho chips
 1 tablespoon cooking oil
 1 green chilies, minced (optional)
b.Step-by-step procedure
i. Season the beef with the taco seasoning and mix it well in
the beef.
ii. In a pan, heat an oil over medium heat. Sauté onions until it
becomes soft.
iii. Toss the seasoned beef and continue to cook until it turns
brownish in color and cooked through (about 10-15
minutes).
iv. Drain oil, remove beef and transfer it in a bowl with paper
towels to remove excess oil.
v. In a large serving plate, arrange the nachos in layers. Top
with desire amount of grated cheese, beef, cabbage,
tomatoes, green chilies and sliced black olives. Drizzle with
sour cream and cheese spread as desired.

II. SOURCES OF MATERIALS


a) Raw material supplies
The company’s production is generally dependent on the sources of raw material.
These natural materials are the necessities needed by the manufacturing company
throughout from partial to the final processes. They are pertained to as supplies
required needed in order to produce goods and services. That being said, the amount
of these resources can determine whether a company has the capacity to maintain
production. Factories are the primary source of these raw materials. In order to start
a new business, it is necessary to contact and build connections with trusted
suppliers. Although considering its accessibility, for a business venture, this may be
excessive due to the fact that one must pay more for the cost of transportation for
deliveries.
As a food providing company, Choke’oleit does not just focus on a sweet-based
varieties, but also confectionery, pastries, and beverages. In doing so, the company
has a wide-range of required raw materials, and these materials comprises of: Flour
and dry goods for baking. Cocoa powder, fruits, sweeteners for chocolate and
confectionery. Water, milk, flavoring, sugar and other constituents for the beverages.
As well as the oil and condiments needed generally for cooking. Aside from these,
considering that the company’s main manufactured product is chocolate, it intends to
have its own supplier of cacao from region XI, the city of Davao, the focal point of
cacao production worldwide, which holds 81% of annual production of cacao in the
Philippines.
b) Market
n case of the factory Suppliers’ absence, of course some of these sources of
supply can be found and provided by open markets. Moreover, local markets can
serve as the supplier of any food providing company. A company is intended to
invest in a market, while the market plays the role of providing goods and material a
company needs in order to for it to run, as well as saturating it. Overall, having a
market near the location of business can be very convenient than having to pay extra
fees for the delivery or transport of goods from your supplier.
c) Labor
Every company production requires laborers to operate. Labor, is where actual
work occurs, basically this works as all the efforts exerted in order create and the
goods and services. This serves as the crucial primary factor for production of
production.

Payment terms and condition

Payment terms exist to help to protect a business venture as well as its supplier to
be informed of the company’s expectation when it comes to payment. This primarily
ensures that the company’s working capital is protected when negotiating with suppliers.
This sets of agreements will help the provision from seller to buyer, if and only if, both
sides comply and it is under a mutual satisfactory. The said terms comprises of the time
frame within which the buyer, Choke’oleit, needs to pay off the certain amount due,
demands related to cash in advance, delivery, differed payments, and amount being
supplied (Mbaskool, n.d.). Knowing that terms of payment can be entitled to anyone in
the process of sale, from seller to buyer, Choke’oleit would only submit to the following
terms conditionally:
a) Payment in Advance for the Pre-paid Products (PIA) - Where
every goods or supply provided can be paid due right after order.
b) Cash On Delivery (COD) - Where payment can be received right
after goods are given.
c) EOM- Payment can be due at the end of every month
d) Cash Amount- Where the company not resort to credit and will
only will be a cash based account, to avoid any piling debt.
e) Cash Next Delivery (CND) - Where the current delivery must be
paid before next delivery (if ever there is a shortage in capital).
f) Additions agreed upon by both seller and buyer.

III. DISCOUNTS AND DAMAGES

If ever the company encounters raw materials with subpar quality, the company
shall present its respectful receipt so as to ask for compensation for the subpar
product. And for discounts, the company will negotiate with the supplier to avail a
corresponding percentage of discount that depends on the volume of the materials
that the company will buy.

OPERATIONAL PLAN

General

More is not necessarily better than less, especially when it comes to a business. Being open all
around the clock may not be wise for a newly established business venture, Choke’oleit is still
testing the waters thus we currently have the regular store hours of 9-10 hours. We are usually
open by 8 am – 10 pm during weekdays and 8am – 5pm during Saturdays for the reason that our
target customers, the students are within the vicinity within that specific time frame. As for
Sundays we are closed because there is usually no classes within that day. Store hours during
holidays may vary on the influx of customers.

PLACE

The location may either make or break a business venture. No matter how good your products
are, once not place in an optimal location, it would go to naught. Thus the company selected a
commercial space at 1122-1128 G. Tolentino St. Sampaloc, Manila, and 1008 Metro Manila. The
place occupies a space of 12 square meters that can accommodate 5-10 customers at once.

We believe that our location is a strategic one, considering that it is within the University belt.
Students nearby can easily access our café, saving them the money, effort and time to avail our
products.
PRICE
Everyone has their own preferences, which is why our company designed a menu that is
diverse but not heavy on the budget. Prices listed above are final but may be subjected to change
when there is a hike in the price of ingredients.

PROMOTION

As a food manufacturing and service providing business venture, Choke’oleit intends to


provide advertising acts enough for the business to gain the attention of the costumers, as well as
gain an increase in sales and profit. The following promotions, is not just for the benefit the
company but also for the target market. Choke’ oleit aims to provide regular customers, as well
as the new ones, with an ample amount of benefits that will put both the business and consumers
in a favorable position. The primary medium to be utilized by Choke’ oleit is the use of fliers,
which will be having the timely endorsements the store provides. These fliers contain every
goods and services Choke’oleit provides, from the products to its prices. Taking that into
account, the business wills also provide seasonal goods that its costumer can avail, especially
students. That being said, plus the fact that the business prioritizes student as target market,
Choke’oleit, in long-term, is willing to implement the following:

APPENDIX A

LEASE CONTRACT

 
KNOW ALL MEN BY THESE PRESENTS:

This CONTRACT OF LEASE is made and executed at the City of Manila, this day of February
20, 2020, by and between:
 
        Luisa Antonio, of legal age, single, Filipino, and with residence and postal address at 2135
Rufina’s Court, San Anton St., Barangay 401 Bustillos, Sampaloc, Manila, hereinafter referred to
as the LESSOR.
 
-AND-
 
       Aira May Hortal, Filipino and with residence and postal address at Vito Cruz Towers
Condo, 720 Pablo Ocampo St., Malate, Manila hereinafter referred to as the LESSEE.
 
WITNESSETH; That
 
WHEREAS, the LESSOR is the owner of THE LEASED PREMISES, a residential property
situated at 1122-1128 G. Tolentino St. Sampaloc, Manila, 1008 Metro Manila;
 
WHEREAS, the LESSOR agrees to lease-out the property to the LESSEE and the LESSEE is
willing to lease the same;
 
NOW THEREFORE, for and in consideration of the foregoing premises, the LESSOR leases
unto the LESSEE and the LESSEE hereby accepts from the LESSOR the LEASED premises,
subject to the following: 
 
TERMS AND CONDITIONS
 
1. PURPOSES:   That premises hereby leased shall be used exclusively by the LESSEE for
commercial purposes only and shall not be diverted to other uses. It is hereby expressly agreed
that if at any time the premises are used for other purposes, the LESSOR shall have the right to
rescind this contract without prejudice to its other rights under the law.
 
2. TERM:  This term of lease is for ONE (1) YEAR. from April 1, 2020 to April 1, 2021
inclusive. Upon its expiration, this lease may be renewed under such terms and conditions as my
be mutually agreed upon by both parties,  written notice of intention to renew the lease shall be
served to the LESSOR not later than seven (7) days prior to the expiry date of the period herein
agreed upon.
 
3. RENTAL RATE:   The monthly rental rate for the leased premises shall be in PESOS: TEN
THOUSAND PESOS (P 10,000.00), Philippine Currency. All rental payments shall be payable
to the LESSOR.
 
4. DEPOSIT:   That the LESSEE shall deposit to the LESSOR upon signing of this contract and
prior to move-in an amount equivalent to the rent for THREE (3) MONTHS or the sum of 
PESOS: THIRTY THOUSAND PESOS (P 30,000.00), Philippine Currency.  wherein the two
(2) months deposit shall be applied as rent for the 11th and 12th months and the remaining one
(1) month deposit shall answer partially for damages and any other obligations, for utilities such
as Water, Electricity, CATV, Telephone, Association Dues or resulting from violation(s) of any
of the provision of this contract.
 
5. DEFAULT PAYMENT:  In case of default by the LESSEE in the payment of the rent, such
as when the checks are dishonored, the LESSOR at its option may terminate this contract and
eject the LESSEE. The LESSOR has the right to padlock the premises when the LESSEE is in
default of payment for One (1) month and may forfeit whatever rental deposit or advances have
been given by the LESSEE.
 
6. SUB-LEASE:   The LESSEE shall not directly or indirectly sublet, allow or permit the leased
premises to be occupied in whole or in part by any person, form or corporation, neither shall the
LESSEE assign its rights hereunder to any other person or entity and no right of interest thereto
or therein shall be conferred on or vested in anyone by the LESSEE without the LESSOR'S
written approval.
 
7. PUBLIC UTILITIES:   The LESSEE shall pay for its telephone, electric, cable TV, water,
Internet, association dues and other public services and utilities during the duration of the lease.
 
8. FORCE MAJEURE:   If whole or any part of the leased premises shall be destroyed or
damaged by fire, flood, lightning, typhoon, earthquake, storm, riot or any other unforeseen
disabling cause of acts of God, as to render the leased premises during the term substantially
unfit for use and occupation of the LESSEE, then this lease contract may be terminated without
compensation by the LESSOR or by the LESSEE by notice in writing to the other.
 
9. LESSOR'S RIGHT OF ENTRY:   The LESSOR or its authorized agent shall after giving
due notice to the LESSEE shall have the right to enter the premises in the presence of the
LESSEE or its representative at any reasonable hour to examine the same or make repairs therein
or for the operation and maintenance of the building or to exhibit the leased premises to
prospective LESSEE, or for any other lawful purposes which it may deem necessary.
 
10. EXPIRATION OF LEASE:   At the expiration of the term of this lease or cancellation
thereof, as herein provided, the LESSEE will promptly deliver to the LESSOR the leased
premises with all corresponding keys and in as good and tenable condition as the same is now,
ordinary wear and tear expected devoid of all occupants, movable furniture, articles and effects
of any kind. Non-compliance with the terms of this clause by the LESSEE will give the LESSOR
the right, at the latter's option, to refuse to accept the delivery of the premises and compel the
LESSEE to pay rent therefrom at the same rate plus Twenty Five (25) % thereof as penalty until
the LESSEE shall have complied with the terms hereof.  The same penalty shall be imposed in
case the LESSEE fails to leave the premises after the expiration of this Contract of Lease or
termination for any reason whatsoever.
 
11. JUDICIAL RELIEF:   Should any one of the parties herein be compelled to seek judicial
relief against the other, the losing party shall pay an amount of One Hundred (100) % of the
amount clamed in the complaint as attorney's fees which shall in no case be less than P50,000.00
pesos in addition to other cost and damages which the said party may be entitled to under the
law.
 
12. This CONTRACT OF LEASE shall be valid and binding between the parties, their
successors-in-interest and assigns.

APPENDIX B

CONTRACT AGREEMENT FORM OF SUPPLIES

THIS AGREEMENT made this 26 day of February 2020 between Choke’oleit of the Sampaloc,
Manila (hereinafter called “the Entity”) on one part and Caopuro Inc. of
Las Pinas City (hereinafter called “the Supplier”) of the other part:

WHEREAS the Entity invited Bids for certain goods and ancillary services, viz., [raw
cacao powder and bars] and has accepted a Bid by the Supplier for the supply of those goods and
services in the sum of FOUR HUNDRED EIGHTY THOUSAND PESOS (₱ 480, 000.00)
(hereinafter called “the Contract Price”).

NOW THIS AGREEMENT WITNESSETH AS FOLLOWS:

1. In this Agreement words and expressions shall have the same meanings as are respectively
assigned to them in the Conditions of Contract referred to.

2. The following documents shall be deemed to form and be read and construed as part of
this Agreement, viz.:

(a) the Bid Form and the Price Schedule submitted by the Bidder;
(b) the Schedule of Requirements;
(c) the Technical Specifications;
(d) the General Conditions of Contract;
(e) the Special Conditions of Contract; and
(f) the Entity’s Notification of Award.

3. In consideration of the payments to be made by the Entity to the Supplier as hereinafter


mentioned, the Supplier hereby covenants with the Entity to provide the goods and services and
to remedy defects therein in conformity, in all respects, with the provisions of the Contract

4. The Entity hereby covenants to pay the Supplier in consideration of the provision of the
goods and services, the Contract Price or such other sum as may become payable under the
provisions of the contract at the time and in the manner prescribed by the contract.
IN WITNESS whereof the parties hereto have caused this Agreement to be executed in
accordance with the laws of the Republic of the Philippines on the day and year first above
