CONTRACT OF LEASE

KNOW ALL MEN BY THESE PRESENTS:

This Contract of Lease is made and entered into this 17th day of February, 2020, at Angeles
City, Philippines, by and between:

APRIL JOY FERNANDEZ, of legal age, married with residence and postal address at
Villa Teresa St., Angeles City, hereinafter called the LESSOR;

-and-

GILBERT ENRIQUEZ, of legal age, single with residence and postal address at A-5 Doña
Ponciana San Nicolas, Angeles City, hereinafter called the LESSEE;

WITNESSETH that:

1. The LESSOR is the owner and in possession of a commercial lot and the building erected
thereon situated in the Barrio of Pulungbulu and Sto. Domingo, Angeles City. Said lot is
covered by Transfer Certificate of Title No. 045-2019002591 and further described as
follows;

PSD-12755, BEING A PORTION OF LOT 18-B, DESCRIBED ON
PLAN PSD-27392, LRC (GLRO) CAD. REC. NO. 124), SITUATED
IN THE BARRIO OF PULUNGBULU AND STO. DOMINGO,
MUN. OF ANGELES, PROV. OF PAMPANGA.

2. The LESSOR hereby conveys by way of lease unto the LESSEE said building with the
exclusion of the lot and the LESSEE accepts the same, subject to the following terms,
conditions and stipulations;

3. The Lease Contract shall take effect on March 5, 2020 and shall exist between the parties
for a period of twelve (12) years from the said date, terminating on March 4, 2032. The
Lease Contract shall be renewable subject to the terms and conditions agreeable to both
parties;

4. As consideration of the Lease, the LESSEE shall pay the LESSOR a monthly rental
equivalent to Philippine Currency: One Hundred Eighty Seven Thousand Pesos (Php
187,000.00). The monthly rental shall be payable through issuance of twelve (12) post
dated checks to be applied per year, of which the first check payable shall be dated on
March 5, 2020;

5. Upon execution of this Contract, the LESSEE shall pay a SECURITY DEPOSIT amounting
to Philippine Currency: Philippine Currency: Seven Hundred Forty Eight Thousand
Pesos (Php748,000.00)

6. NO REBATE of any rental paid, shall be allowed for any portion of the month not used
by the LESSEE in case the latter decides to leave the property leased before the end of any
amount; that should the LESSEE terminate this Contract before the expiration of the
period herein stipulated, he shall be liable to pay for the rentals on the unexpired period
of this Contract and Security Deposit shall be forfeited in favor of the LESSOR;

7. The LESSOR hereby grants the LESSEE the right to sublease the property leased or any
part thereof.

8. The LESSEE shall not assign his rights under this contract,;
9. The LESSEE shall be responsible and shall promptly pay for all utility bills of electricity,
water, telephone and other bills in the leased property;

10. All minor repairs necessary on the leased property will be for the sole account of the
LESSEE. The LESSEE shall also be liable for the repair of all damages that are due to its
faults or negligence and shall be responsible for all major repairs necessitated by ordinary
wear and tear and by natural calamities.

11. The LESSEE shall not make or cause to be made any alterations, addition and/or
improvement on the building without the written consent of the LESSOR. In case of such
authorized alteration, addition and/or improvement made by the LESSEE with the
consent of the LESSOR, expenses shall be borne by the LESSEE. Such alteration, addition
and/or improvement made shall automatically belong to the LESSOR at the expiration of
this Lease, without any obligation on his part to reimburse the LESSEE for the cost thereof.
That the LESSEE shall strictly abide by the terms and conditions of this contract, and that
any leniency in the strict enforcement of the provisions of this Contract by the LESSOR
shall not mean a waiver of his rights to enforce strict compliance or judicial intervention
at any time the LESSOR desires. Violation of any of the terms and conditions of this
Contract shall constitute a material breach of the same and the LESSOR shall have the
option to pre-terminate this Lease Contract;

12. In case the LESSEE fails to pay at least two (2) succeeding months in rentals as it falls due,
this contract shall be deemed terminated and that the LESSOR shall have the right to eject
the tenant/LESSEE from the premises; LESSEE hereby authorizes LESSOR to padlock
leased premises and hold properties therein until LESSEE pays rentals or other obligations
due to the LESSOR;

13. The LESSEE hereby agrees to comply with all laws, ordinances and regulations of the local
and national government regarding the use and occupations of the lased property. Any
violation of the terms and conditions of this Contract shall be a ground to terminate this
contract at the option of the LESSOR.

14. In case of court litigation for non-payment of rental and/or refusal to vacate the premises
when demanded, or for violation of any of the provisions of the contract, the LESSOR
shall be entitled to liquidated damages in the sum of Php 50,000.00, attorney’s fees plus
cost of suit aside from unpaid rentals. Venue shall be in the courts of Angeles City.

15. All Checks shall be payable to APRIL JOY FERNANDEZ.

IN WITNESS WHEREOF, the parties have hereunto set their hands this 17th day of
February, 2020 Angeles City, Philippines.
