Expression of Interest
Full financing and Development of Mpanga 144MW Hydro-Power project in Mufindi, Tanzania.

Greenovate Energy here in after (“Facilitator”) on behalf of Mufindi Wood Plantation & Industry Limited here in after (“ Mufindi”)
are facilitating the possibility of financing and developing a 144MW Mpanga Hydropower project and sell power to the government of
Tanzania utility company-TANESCO.

Mpanga Hydropower Project is located on the Mpanga River, a tributary of Rufiji, the largest river in Tanzania. The total installed
capacity is proposed to be 2*80MW. In 1984, a consultant accomplished the Rufiji Basin Hydropower Master Plan. In the Mast Plan,
a consultant put forward a general layout scheme for Mpanga Project, and estimated the project cost. In the last century, the project
was intended to build for the main purpose of power generation as well as irrigation.

The owner of this project is a Tanzanian Private incorporated Company called Mufindi Wood Plantation & Industry Limited.

This is an important information regarding this project

1. This project will be owned jointly by an Investor/developer who will finance and develop it together with Mufindi and together
they will be negotiate the power off taking agreement (PPA) to sell power to utility company-TANESCO.
2. This opportunity is unsolicited therefore facilitator company is the one baring all facilitation responsibility to
project realization under the first come first served model.
3. PPA price due for negotiation between TANESCO and joint Developers.
4. Water and Land Rights/permits available.
5. Environmental Impact Assessment Done (EIA) and Certificate Issued June, 2019.
6. Feasibility Studies done twice in 2010 and 2007 by Norwegian and Chinese firms consecutively.
7. Investor to meet Mufindi’s designated team from TANESCO and Ministry of energy to discuss financing structure and PPA
terms.

The facilitator will forward an invitation letter and introduce an investor to Mufindi and Facilitator will work with
Mufindi to invite an investor into a deep discussion on the project terms of engagement to construction phase.

Prospective Developer’s Minimum Requirements:

In order to pre-qualify, interested parties must:

1. Demonstrate its ability to finance and then Build, Operate and Own the plant with Mufindi.
2. A commitment to construct (EPC competence) and commission the power plant within the shortest period time frame
possible after contract award (upon execution of the Power Purchase Agreement).

Documents and other pertinent details to be submitted:

1. EOI letter to address below.


2. Documents/Profile detailing competence of the developer in executing similar projects
3. In the case where the developer is a consortium, a list of the members and the estimated percentage of funding to be granted by
each, including the proposed ownership structure.
4. Brief outline of the methodology for implementation of the proposed project
5. Experience in the field for this type of project and brief detail of qualifications of key team members to be deployed.

Preliminary Examination of EoI’s

Upon receipt of EOI, Mufindi will work with Facilitator to evaluate investor LOI/EOI and next steps will officially be communicated
on mail.

Important Agreements

A serious Investor and facilitator will sign an NDA/ non circumvention/ working agreement that will bind the parties
together and to treat all information shared in high confidentiality.
