Dear Mr. Gaur,

Subject: Engagement Letter as an agency for arranging lease/rent of property.

Mr. Anil Dutt Gaur is the sole owner of the commercial property Unit # 1010, 10th Floor, Emaar Digital Greens, Sector
61, Gurgaon - 122001 admeasuring 1311.95 sq.ft. bearing No.1010, situated at, Emaar Digital Greens, Sector 61,
Gurgaon - 122001. Knight Frank India Pvt Ltd (Knight Frank) has approached the Client in respect of appointment of
Knight Frank as a broker with regards to marketing the said property on behalf of the Client.

The Scope of work shall be as below:

1. Showing the property to desired clients.

2. Commercial closure and assistance in contract negotiation
3. Assistance in contract closure

The client confirms that the title of the said Property is clear and marketable. Knight Frank shall not be responsible at
any time for any advice including any legal/financial advice in respect of the premises or any transaction between the
lessor/lessee/third party and the Client shall be responsible for the due diligence of the same at all times.

In consideration of the services provided Knight Frank will charge a brokerage fee of 2 (TWO) months’ of effective
Rental. The fees payable to Knight Frank will be exclusive of all taxes, levies, duties and cess. “Effective Rental” for
the purpose of this agreement shall mean the amount of rent/license fees agreed to be paid by the lessee/licensee to
the Lessor. Please note that the “rent/license fee” mentioned above would include all fees paid by whatever
name called including compensation for furniture and amenities provided by the lessor.
Fees shall be due immediately on signing of the Definitive Agreement with the Lessee or on handing over of the
possession of the Premises (either for fitouts or final handing over, as the case may be), whichever is earlier. The fees
will be paid to Knight Frank within 15 days from the date of invoice. “Definitive Agreement” for the purpose of this
agreement means leave and license agreement or lease deed or any agreement/understanding by whatever named
called executed/to be executed between proposed customer and Client mentioning the transaction and the
understanding between the parties. In an event of any non-payment Knight Frank shall charge an interest @14% per
annum for every day of delayed payment. The brokerage fees paid to Knight Frank shall not be refunded or adjusted
in any circumstances. Knight Frank is appointed for providing services as mentioned in this letter only and it shall not
be liable for any kind of claims arising here from.
All terms of this Engagement Letter shall be treated as confidential by both the parties.
