Ganendra Paraka Satria, a limited company, having its address at Komplek Golden Flasa Block G9, Jl, RS.Fetmawati 15 Jakarta Selatan,12420, CGPS") hereinafter called (Contractor Company and the Contractor are hereunder jointly referred to as the Parties. Both Parties are agreed with the following terms and conditions a @) @) a) 6) The Security Manpower Supply Services - Handak Storage Security Contract is shall be commenced immediately to avoid bigger loss and failure of operation, therefore this LOA to initiate the work is issued: ‘The period of the Security Manpower Supply Services - Handak Storage Security is for 8 (eigth) months period The value of the Security Manpower Supply Services - Handak Storage Security Contract will not exceed IDR 32,600,000.00 (Thirty Two Million and Six Hundred Thousand Indonesian Rupiah) per month for 8 months until 30 April 2013. The value of the Security Manpower Supply Services - Handak Storage Security Contract is included with 1 person of Shift Leader, 5 people of Security, operation and administration, overhead cost, and management and handling fee. The general scope of work of this LOA which is part of the detail scope of work of Security Manpower Supply Services - Hendak Storage Security are as follows Contractor shall manage, tain and operate all Security Personnel under the following \cu Purposes, including but not limited to:+ To provide necessary guard and security services for the explosives owned by Dart Energy at site ‘+ To prevent any accident and loss of life + To prevent asset loss and damage © Todeter crime + To detect potential loss, damage or crime + — Toprotect assets + To reduce loss ratio © To protect personnel = Tocontrol the access * Quick response in arresting or preventing environmental harm + Quick respond in handling incidents, emergency condition and crisis, © Recovery Operations, + Other tasks within the parameters of maintaining business continuity 6 The Parties intend that this LOA shall be legally binding. Any provision, which does not create a legally binding obligation shall nonetheless be pursued and performed by the Parties in good faith and shall not invalidate any other provisions of this LOA which are binding and enforceable; a Fach Party warrants and represents to the other that it has the right and authority to enter into and be bound by this LOA and that doing so does not breach or conflict with any legally binding obligations owed to any third parties; @) All activities hereunder shall be conducted in accordance with all applicable laws and regulations, In respect of these activities, no Party shall make any payments, loans, gifts or promises of the same, directly or indirectly for the benefit of any employee of each Parties, government employee, public official or for any political party or candidate.
