AGREEMENT This Agreement is made this 1" January 2011 at Mumbai, between M/s. Infugen Pharma Pvt. Ltd. 606 Ratan Galaxie, Near Mehul Cinema, J.N. Road Mulund West, Mumbai - 400 080. (Wherein after called the first party) & M/s. MEDO PHARM PVT LTD, 50 KAYARAMBEDU VILLAGE, GUDUVANCHERY 603 202 KANCHIPURAM DIST. TN . (Wherein after called the second party). Whereas the second party has decided to manufacture the products of first party & mutually agreed on the following terms & conditions: 1. That the second party will manufacture the below mentioned products for the first party as per mutually agreed rates. INFUMOX CV 625 MG TAB 10° { Amoxicillin 500 mg + Clavulanate potassium 125 me ) 2. The second party will not sell the above mentioned branded products to any other party than first party. w . That the ownership rights of the brand names. Logo, Trade Mark affixed on this products will rest solely with the first party. 4. The first party will make payments to the second party as per mutually agreed terms. The second party shall not be responsible for the unsold stocks, 5. In the event of any batch of the products being declared as not of Standards Quality by the Government Analyst, it will be joint responsible of both the first party as well as second party for total withdrawal of the particular batch of the product from the supply chain. The first party shall inform to the second party immediately total distribution particulars of thatparticular batch of the products so that second party can initiate withdrawal. 6. The second party shall be fully responsible for compliance of rules & regulations of central excise. In the event of any dispute with regard to payment of taxes including Excise Duty, the second party will represent the matter with the relevant authorities in consultation with the first party However, in the event of any liability for additional payment of any taxes and or penalty/interest, the same will be borne by first party. “ . Nothing herein contained shall constitute or be deemed to or is intended to constitute second party as an agent of first party. 9. Nothing contained in this agreement shall be deemed to constitute partnership between the parties hereto. 10.The second party will arrange for all the inputs required on its own. 11.The first party will get stock manufactured exclusively from and/or through second party only. 12.This agreement is valid till mutual consent & can be terminated either party with prior three months notice in writing. 13.Subject to Mumbai Jurisdiction.
