 DRILLING CONTRACT

THIS CONTRACT ('CONTRACT") is madeand enteredinto this 9th day of Decernber,1998,

by and between Vastar Resources,lnc., a Delaware Corporation,hereinafterrefened to as
"COMPANY" and R&B FalconDrilling Co., ("CONTRACTOR"), and shall be effective upon
execution by both COMPAI'IY and CONTRACTOR (the date when so effective, shall
be
referredto herein as the ("Effective Date"). COMPANY and CONTRACTOR are sometimes
hereinindividually referredto asa "Party" andcollectivelyreferredto asthe "parties."

RECITALS

WhereasCONTRACTOR shall cause to be built, a semisubmersibledrilling unit, .,Drilling

Unit". WhereasCOMPANY desiresto engagethe servicesof CONTRACTOR,its Drilling Unit,
and its equipment and all necessarycrews for drilling, completing, testing, and remedial
operationsand supportoperationson a well or wells in the federalwatersof the Gulf of Mexico-
hereinafterreferredto as "Operations"or ,'Work,'.

 14.4 TECHNOLOGY
CONTRACTOR and COMPANY agreeto explore the latest technologies,including riserless
drilling, in an effort to incorporatesameinto the constructionand operationof the Drilling Unit.
CONTRACTOR shall make such technology available to COMPANY as soon as
CONTRACTOR hasthe right to install and usesuchtechnologyon its commercialdrilling units,
subject to any existing third party contractsas of the CommencementDate. Such installation
shall be donepursuantto Article 5.

14.5 APPLICABLE LAWS

Subjectto Article 2.3.4,CONTRACTORrepresentsthat during the ContractPeriod,the Drilling
Unit is outfitted, conformed,and equippedto meet all applicablelaws, rules,requirements,and
regulationspromulgatedby ihe U.S. Coast Guard, the U.S. EnvironmentalProtectionAgency,
the United Statesof AmericaDepartmentof the Interior as well as any other agency,bureau,or
departmentof the U.S. federal,tenitorial possession,state,municipal,or local governments,any
political subdivisionsthereof,havingjurisdiction over the opcrationsin U, S. federalwaters.

14.6 SAFETY OF PORT

COMPANY doesnot and shall not be deemedto warrant the safety of any port, place, berth,
dock, anchorage,location, or submarineline and shall be under no liability in respectthereof,
exceptas specificallyprovidedfor underArticle 31.

14.7 OPERATING ARBA

The Drilling Unit shall be capableof operatingyear aroundin the federalwaters of the U. S.
Gulf of Mexico. Additionally, the Drilling Unit u.ill be designedto allow for operationsin other
areasof U. S. federalwaters,offshoreWest Africa and the United Kingdom and other areasof
the world, all subjectto modificationsand outfitting requiredby the controllingjurisdictions of
eachdifferent operatingareaand to the operatinglimits set forth in Exhibit "G".

ARTICLE 15

PERFORMANCE OF'DRILLING OPERATIONS

15.I OPERATIONSOFDRILLINGUNIT
CONTRACTOR shall be solely responsiblefor the operationof the Drilling Unit, including,
without limitation,supervisingmoving operations,and the positioningof the Drilling Unit on
drilling locationsas requiredby COMPANY, as well as such operationson board the Drilling
Unit as may be necessaryor desirablefor the safetyof the Drilling Unit.

15.2 PREVENTION OF FIRE AND BLOWOUTS

CONTRACTOR shall maintain well control equipmentin accordancewith goort oilfield
practicesat all times and shall useall reasonablemeansto control and preventfire and blowouts
and to protectthe hole and all other propertyof the COMPANY. CONTRACTOR shall use the
blowout prevention equipmentspecified in Exhibit B hereof on all strings of casing unless
otherwisedirectedby COMPANY. CONTRACTOR shall pressuretest the blowout prevention

 devices as often as instructedby coMpANy, usually once every
seven(7) days, and shall

I5.3 DEVIATION OF THE HOLE

Operations,to drill a hole which will not deviate excessivelyfrom the limits specified by
COMPANY. CONTRACTOR shall run angleand directionalmeasuringdevicesacteptableto,
and at the intervals directed by COMPANY. CONTRACTOR shall record rhe resuits of the
deviationsurveyon the Daily Drilling ReportForm.

I5.4 DRILLPIPEMEASUREMENT

I5.5 CASING PROGRAM

15.6 MUD PROGRAM
