UNDERTAKING

This undertaking is signed and executed on this 26 day of April 2020

I/We Nibir sweater Ltd, represented by Mr Rafiqul Islam,Managing Director,NID 6890633693,duly authorized to
sign and execute this undertaken on behalf of Nibir Sweater Ltd under this following terms and conditions to enjoy
investment facilities from Konapara Branch of Al Arafah Islami Bank Ltd for the payment of salary/wages and other
benefits of worker- employee of our export oriented industrial establishment following BRPD Circular no.07 of
02.04.2020; BRPD Circular letter no.14 dated 08.04.2020; and ; BRPD Circular letter no.19 dated 15.04.2020;
connecting to all Banking Laws, Rules, Guidelines, norms and banking practices

TERMS & CONDITIONS

01. That I/We applied for investment facilities to the Bank/AIBL on ……….. in addition to all the existing investment
facilities of Bank to pay salary/ wages of worker-employee of our establishment;

2. That all the information mentioned in the application dated-………. along with all enclosed documents are true,
correct and may be used against me/ us as evidence before any Court/Tribunal/Authority or Regulatory Bodies;
03. That Nibir Sweater Ltd is/are an 100% oriented Industrial Establishment and not less than 80% of our products are
exported aboard in support of which we have provided ( and will also provide whenever required) genuine documents,
licenses, testimonials etc received from respective authorities such as BGMEA, BKMEA, BTMA, NBR, Customs etc as
applicable to the Bank/ AIBL;

04. That Nibir Sweater Ltd have already been paid salary/ wages to worker’s-employees of my/ our garment/
establishment/ factory/ industry for the Months Dec-2019, Jan-2020, Feb-2020 and the fund (to be received/received)
from AIBL/ Bank as investment facilities shall only be used for the payments of salary/ wages/ allowances of worker’s-
employee’s of my/ our garment/ establishment/ factory/ industry;

05. That Nibir Sweater Ltd undertakes irrevocably, unconditionally, without any excuse and ensures/ confirms to repay/
refund the fund received through sanction of investment facilities dated………………..vide ref. no
……………………….as part of stimulus fund of Bangladesh bank. That this guarantee/ confirmation will be continued till
full and final adjustment and will be treated as an addition of all existing sanction advice(s)………………. and the
Installment(s)/ Payment(s) to be made thereof to the Bank/ AIBL;

06. That the Nibir Sweater Ltd as borrower and it’s Proprietor/ Director(s)/ Partner(s) shall remain as guarantors against
the said investment facilities and shall sign, execute, confirm, and provide all deeds and documents as required at
present or in future or at any time as security/ collateral security of the said investment facilities of TK Forty Six lac
five thousand six hundred only.

07.The AIBL/ Bank may impose any profit rate with compensation in addition to service charge of 02 % with applicable
tax, fees, charges, charges for transferring money to employee-worker’s account/ MFS/ stamp duties etc in case of my/
our failure to repay/ refund the investment amount in due time following sanction advice dated……………………… That
bank may adjust by selling/ transferring securities/ collateral securities or from rents/ income of premises/ MTDR’s (if
any) or mesne profit etc, and further may take any measures necessary to recover the investment liability;

08. That Nibir Sweater Ltd Shall provide DM code (Master Wallet created for each factory to Bkash/and others MFC i.e
Merchant Disburse Account) and the Nibir Sweater Ltd Shall have no objection at any time if AIBL/Bank sends/transfers
salary / wages to the said to the DM code i.e Merchant Disburse Account for transferring payment of
salary/wages/allowances to my/our worker’s/employee’s accounts/MFC directly as per instruction of salary sheet and
we shall always admit and accept the act of Bank/ AIBL or any of it’s authorized employees as done/acted under our
instructions and consent as part of investment facilities(of stimulus fund). That the list of worker-employees, their
addresses, designation, contact no.(s) account (s)/MFS account with NID(s) provided in Form-D of BRPD Circular
Letter No.14, dated 08.04.2020 for sending/ transferring payment of wages/ salary is genuine, correct, and accurate
and if any wrong/ error happens/ occurred, Bank/AIBL in no way or in any case shall be liable for such wrong/ error
and Nibir Sweater Ltd shall bear all loss/damage and also to incur loss/damage to the Bank/AIBL;

09. That the Nibir Sweater Ltd shall provide salary sheet to Bank/AIBL as per law/ Labour law and circulars of
Bangladesh Bank before payment of each month’s salary/ wages/ allowances/ benefits to the worker’s/ employee’s and
current lists, if required, till the period of this investment. AIBL/Bank shall not be bound/ liable for re-checking the salary
sheets prepared by me/ us but if necessary can do that for which we must co-operate;

10. That the Nibir Sweater Ltd. not applied for such stimulus fund to any Bank/ financial institutions. That the Nibir
Sweater Ltd Shall comply with all terms and conditions with this undertaking, sanction advice, and also provision of
Law, Rules, Regulations, Bye-laws, Circulars, Notifications etc, along with banking norms and practices for receiving
such stimulus fund as an investment facility;

That I/We, having full and final authority and complete knowledge on the above terms and conditions and reading,
hearing, upon discussion and understanding there of put my/ our signature here to without any fear, favour,
misconception, fraud, undue influence coercion executing this in presence of the witness on this the
