Ruala Properties Ltd – Non-disclosure agreement

THIS AGREEMENT is entered into this [6th ] day of [ June 2020]

BETWEEN:

1. LEONARDO JORGE / PUERTO PLATA, DOMINICAN REPUBLIC

And

Ruala Properties Ltd (11034590), 2 Bierton Court, 27 Spencer Hill Road, London, SW19
4EL

NOW IT IS AGREED as follows:

1. Definitions and Interpretation

1.1 In this Agreement, the following words have the following meanings:

“Confidential Information” means any information in whatever form, and includes


information given orally and any document, electronic file or any other means of
representing or recording information which contains or is derived or copied from such
information relating to:

(a) the discussions and exchanges which have resulted in this Agreement,

(b) the terms and the implementation of the Agreement by either party,

(c) the Permitted Purpose,

(d) any information developed by the parties in the course of carrying out this
Agreement, and

which is provided to the Supplier by Ruala Properties Ltd or otherwise becomes known to the
Supplier but excludes information that:

(e) is or becomes public knowledge other than as a direct or indirect result of any
breach of this Agreement, or

(f) was lawfully in the possession of the Supplier before the information was disclosed
to it by Ruala Properties Ltd.

Confidentiality Undertaking

1.2 In consideration of the mutual benefits of disclosing and receiving the Confidential
Information, the Supplier has agreed to comply with the terms of this Agreement in
connection with the use and disclosure of Confidential Information and the Supplier
undertakes:

1.2.1 to keep the Confidential Information confidential and not to disclose it to anyone
except as provided for by clause 3 below and to ensure that the Confidential
Information is protected with the security measures and the degree of care that it
would apply to its own confidential information;

1.2.2 to keep confidential and not disclose to anyone the fact that the Confidential
Information has been made available or that discussions or negotiations are taking
place or have taken place between the parties in connection with the provision of
the Confidential Information for the Permitted Purpose or otherwise;

1.2.3 to use the Confidential Information only in connection with the Permitted Purpose;

1.2.4 to use best endeavours to ensure that any person to whom the Supplier passes
any Confidential Information (unless disclosed under clause 3 below)
acknowledges and complies with the provisions of this Agreement as if that person
were also a party to it.

2. Notices

2.1 Any communication to be given in connection with the matters contemplated by this
Agreement shall be in writing and shall either be delivered by hand (including by courier) or
sent by first class pre-paid post to the address of the relevant person referred to in this
Agreement

3. Governing Law and Jurisdiction

This Agreement shall be governed by, and construed in accordance with, the laws of England and the
parties hereto agree that the English courts shall have non-exclusive jurisdiction to settle any dispute
arising out of or relating to this Agreement, including any question regarding its existence, validity or
termination.

This Agreement has been entered into on the date stated at the beginning of it.
