EMPLOYMENT CONTRACT

KNOW ALL MEN BY THESE PRESENTS:

This EMPLOYMENT CONTRACT is entered into by and between:

The __________________________a corporation organized and

existing under and by virtue of the laws of the Republic of the Philippines, with
office and principal place of business at _____________________Davao City ,
duly represented herein by _____________, President and CEO, and
hereinafter referred to as the “FIRST PARTY”;

-And-

________________, of legal age and a resident of ___________ and

hereinafter referred to as the “SECOND PARTY”

WITNESSETH, THAT

WHEREAS, the FIRST PARTY is engaged in the business of hiring and

recruitment of workers for local and international deployment;

WHEREAS, the FIRST PARTY engages the services of the SECOND

PARTY as ______________ because of his skills and qualifications as such;

NOW, THEREFORE, for and in consideration of the foregoing premises,

the parties hereto agree in good faith as follows:

a) The FIRST PARTY contracts the services of the SECOND PARTY

from commencing on _________________;

b) The SECOND PARTY shall receive from the FIRST PARTY a

monthly remuneration of _________________;

c) The SECOND PARTY shall have the following responsibilities:

d) The FIRST PARTY shall provide and afford all legally mandated
benefits, holiday premiums, and work leaves.

CONFIDENTIALITY. The SECOND PARTY agrees not to make use of,

reveal, divulge or disclose to and for any third party any confidential
information acquired during his employment concerning but not limited to
trade secrets of the organization, business and finances, transactions, or
affairs of the company to its subsidiaries, clients, agents or customers
without the written and express consent of the company;

TERMINATION. The applicable provisions set forth in the Labor Code of

the Philippines shall govern severance of employment. In case of
voluntary termination of employment, a written notice to that effect shall
be submitted to the FIRST PARTY at least 30 days before the effective
date.

INTERPRETATION. Differences arising from the interpretation or

implementation of this Service Contract shall first be settled amicably
through consultation or negotiation between and among the parties. In
case negotiations will fail, the parties agree to submit to mediation as a
condition sine qua non to filing a case in court. In the event of any
litigation arising from the agreement, the parties agree to submit
themselves to the jurisdiction of the courts of Davao City only, to the
exclusion of any other court.

AMENDMENT. This contract can only be altered, modified, amended or

rescinded by mutual consent of all parties.

EFFECTIVITY. This Employment Contract takes effect upon signing

hereof and shall be in force for the duration specified herein, unless either
terminated, extended or renewed upon mutual consent of the parties.

IN WITNESS WHEREOF, the parties have hereunto signed this Service
