IMPLEMENTING RULES AND REGULATIONS OF THE ZAMBOANGA CITY INVESTMENT INCENTIVE CODE OF 2004 RULE! POLICY APPLICATION Article 1/Sec 1. Title — These Rules shall be known and cited as the Implementing Rules and Regulations of Ordinance No. 259 “An Ordinance Enacting the Zamboanga City Investment Incentive Code of 2003, and for other purposes” as amended by Ordinance No. 312 “An Ordinance Amending Certain Provisions Of Ordinance No, 259, Series Of 2004”. Article 2. Purpose — These Rules are promulgated to prescribe the procedures and guidelines for the implementation of the Ordinance No, 259 “An Ordinance Enacting the Zamboanga City Investment Incentive Code of 2003, and for other Purposes” as amended by Ordinance No. 312 “An Ordinance Amending Certain Provisions of Ordinance No. 259, Series of 2004” in order to facilitate compliance therewith and to achieve the objectives thereof. Article 3/Sec. 2. Declaration of Investment Policies — To hasten the economic development of Zamboanga City in accordance with the principles of sustainability and in pursuance of the implementation of the City’s Master Development Plan (ZCMDP), Medium- ‘Term Philippine Development Plan, Regional Physical Framework Plan (RPFP), the Brunei Darussalam-Indonesia Malaysia Philippines East ASEAN Growth Area (BIMP-EAGA), andthe Zamboanga City Special Economic Zone Act of 1995, it is hereby declared to be the poiicy of the ity to attract, promote and encourage Filipino and foreign investments either through the ‘establishment of new enterprises or the diversficationexpansion of existing ones that would ‘engage in economic activities where the city enjoys comparative advantages more specifically in the preferred areas of investments as may be identified and approved by the Board, which shal: provide significant employment opportunities relative to the amount of capital being invested, increase productivity in agriculture and industry, improve quality of products; and result in increased volume and value of exports for the local economy, which may ultimately redound to an increase in family income and wealth as well as revenues forthe city. To this end, the City Government of Zamboanga shall endeavor to spur the growth and development of various industries and support services through sound economic policies, laws, ‘ordinances throughout the City thereby attaining countryside economic stability and growth for the City of Zamboanga. ‘Moreover, it shall also be the policy of the City of Zamboanga: (@) To attract, promote and welcome productive investment in business activities that will significantly contribute to the industialization and socio-economic development fo the extent allowed by the Constitution and relevant laws; (b)_ To encourage investments in enterprises that significantly expand livelihood and employment opportunities for Zamboanguefios and enhance economic value of agriculture and fishery Products, promote the welfare of City consumers and transfer relevant technologies in agriculture, industry and support services, (© To sustain investment in the City and assure investors of stable peace and order for improving the socio-economic conditions of the people: and (@) To encourage private sector initiative in city’s resource endowments while provi framework. e development, operation and management of the fing the appropriate policy, legal and institutional Article 4, Scope of Application - These Rules shall apply to all persons, entities or enterprises, government and non-government organizations end instrumentalities to the extent provided in the Code. It shall however not cover enterprises that are already enjoying fiscal incentives either by virtue of EO 226, Board of Investment, and ZamboEcozone. RULE I OBJECTIVES Article §. Objectives — In pursuance of the policy stated in Article 3 hereof, the following shall be the objectives of this Code (@) To encourage Filipino and foreign investments or joint venture tie-up in agricultural projects, agri-industrial, and in other processing industries that will bring about greater economic and export camings, provide more opportunities for employment, and raise the standard of living ofthe people; (b) To welcome and encourage domestic and foreign investors to establish enterprises that are resource-based and labor-intensive utilizing substantial amount of labor and raw materials available in the City without necessarily resulting to environmental degradation; (© To provide fiscal and non-fiscal incentives to local and foreign investors and encourage them to locate in Zamboanga City and; (@) To accelerate the development of agricultural and industrial sectors by dispensing productive cemployment and income opportunities in the countryside aimed at attaining self-sufficiency in basic commodities and raw materials as well as increasing production of crops and other products, RULE Ii DEFINITION OF TERMS Article 6/Sec. 3. Definition of Terms — As used herein and for purposes of those Rules and ‘Regulations, the following terms or phrases shall mean as follows: (© “Board” shall refer to the Zamboanga City Investment Incentive Board crested under this Code (b) “City” shall mean the City of Zamboanga covering the 98 barangays as provided for by laws and its Charter (©) “Code” shall refer to the Zamboanga City Investment Incentive Code af 2004. (@) _“Diversification/Expansion” shall include modernization and rehabilitation resulting in an increase of existing volume of production or upgrading the quality of product provided that such activities are within the preferred areas of investment (©) “Existing Establishment/Enterprises” shall refer to those establishments! enterprises located ‘within the territorial jurisdiction of the City of Zamboanga which are operating prior to the ‘enactment of this Code and with plans to diversify and/or expand business operations in the preferred areas of investments (© “New InvestorsEnterprises” shall refer to those prospective investors who have not engaged in any kind or type of business in Zamboanga City and are interested in establishing their places of operation or production in the City (@) ‘Preferred Arcas of Investments” shall mean the economic activities that the Board shall have approved and declared as such after a thorough study and evaluation (h) “Registered Enterprises” shall mean those enterprises/businesses registered in accordance ‘with the provisions of this Code @ “Strategic and dominant sectors” shall mean industries that are characterized by the degree of employment generation and strong backward and forward linkages with most existing industries in the city “Total Project Cost” shall refer to the fixed investment and initial working capital, as reflected in the project feasibility study, needed to fully realize the anticipated stream of project benefits. (®)“ZCIPS” shall refer to the Zamboanga City Investment Promotion Services under the Office of the City Mayor. RULE ZAMBOANGA CITY INVESTMENT INCENTIVE BOARD AND ITS SECRETARIAT Article 7/Sec. 4. The Zamboanga City Investment Incentive Board — There shall be created a Zamboanga City Investment Incentive Board which shall recommend policies and {implement the provisions of this Code and shall, hereafter, be referred to asthe Board, Article 8/Sec. 6. Composition of the Board — The Board shall be composed of the following: Chaisperson = The City Mayor ‘Vice-Chairperson - The City Vice Mayor Members 1) The President or the duly elected representative of the Zamboanga City Chamber of ‘Commerce and Industry Foundation Ine.; 2) Sangguniang Panlungsod Chairman, Committee on Trade and Industry; 3) Representative from the Department of Trade and Industry, Zamboanga City Provincial Office; 4) Representative from the National Economic and Development Authority Regional Office IX; '5) President or the duly elected representative of the Industrial Group of Zamboanga City, Inc; 6) President or the duly elected representative of the Zamboanga City Filipino-Chinese Chamber ‘of Commerce and Industry, Inc; 7) Chairman or duly elected representative from the City Agriculture and Fishery Council; 8) One representative each from three (3) strategic and dominant industry sectors. Provided, that the term of office of the three (3) representatives from the strategic and dominant sectors shall be coterminous with the term of the elective Local Government Officials, without Prejudice of being reappointed, Article 9/Sec. 6. Meetings and Quorum of the Board — The Board shall meet atleast once every quarter or as may be necessary, on such a day and time as it may be fixed. The presence of at least a majority of its members (50% + 1, shall constitute a quorum and a majority of the quorum ‘of a meeting validly held, shall be required for the Board to exercise its powers and perform its functions. Article 10/Sec. 7 of Ord 259/Sec. 3 of Ord. 312. Powers and Functions of the Board = The primary function of the Board shall be to establish policies for a favorable and stable ‘business climate that will encourage and support private sector investments and the operation of economic activities consistent with the development needs of Zamboanga City. Pursuant to this, the Board shall be vested with the following powers and functions: (@) To promulgate the governing Implementing Rules and Regulations in the implementation of the intent and provisions of this Code; (b) To commission technical researches or studies to identify priority investment areas and/or activities to be promoted and extended appropriate incentives and government support ‘measures as means to attract new and expanding investors, into these areas and/or activities; (© To adopt a short and medium term investment promotion program, which shall incude ‘among others, thelist of priority investment areas and activities and corresponding incentives and support government measures to attract targeted investors @ To deliberate and approve applications for incentive that are deemed compliant with the Rules and Regulations of this Code; (© To secure additional funding and other resources to supplement the budgetary support provided by the City Government forthe operation of the Secretariat inthe implementation of this Code; (© To enter into agreements with other government agencies and/or private organizations for simplifying the systems, procedures and requirements on investments and business operation and promotions in Zamboanga City, @ After due notice, cancel the registration or suspend the enjoyment of incentives of any registered enterprise and/or require refund of incentives enjoyed by sich enterprise including interests, for a) failure to maintain the qualifications required by this Code or b) for violation of any provision of this Code, of the terms and conditions of registrations or of existing local and national laws; and (b) To perform such other functions as may be deemed necessary for the successful implementation of this Code. Article 11/Sec. 16. Approval and Registration Procedures — The Board is authorized to adopt rules and regulations to facilitate action on applications fied with it, prescribe criteria forthe evaluation of several applications filed in one preferred area, and devise standard forms for use of applicants Article 12. Powers and Functions of the Chairperson ~ The Chairperson of the Board shall have the following powers and duties {@) To call and preside over the regular meetings of the Board; () To recommend to the Board such policies and measures necessary to carry out the objectives of the Code; (©) To authorize any member of the Board to preside over the its meetings in the absence of the Chair and Vice-Chair, and (@) To exercise sich other powers and perform such other duties as may be required by the Board from time to time Article 13. Powers and Functions of the Vice Chairperson - The Vice Chairperson of the Board shall have the following duties: (@) To preside over the regular meetings of the Board in the absence of the Chairperson; and (b) To perform such other duties that may be assigned by the Chair or by the Board. Article 14/Sec. 8, The Zamboanga City Investment Promotion Services — There is hereby created the Zamboanga City Investment Promotion Services (ZCIPS), under the Office of the City Mayor, to act as Technical Secretariat of the Board, and to supervise the implementation of the provisions of this Code, and to have such other functions as information dissemination, assistance center, one-stop-shop, public relation, trade missions and trade fairs and monitoring, Article 18. Structural Composition - the Zamboanga City Investment Promotions Services (ZCIPS) shall be headed by an Investment Promotions Officer to be designated by the City Mayor. Said Body shall be provided with technically competent staff as would be necessary for carrying ‘out its function of a) evaluation processing of documents, b) assistance and facilitation, and c) ‘promotions ° Article 16. Secretariat Functions of the Zamboanga City Investment Promotion ‘Services (ZCIPS) - the ZCIPS shall have the following duties and responsibilities aside from its technical functions: a) Prepares agenda for all meetings of the Board and the corresponding minutes and/or highlights; 1b) Prepares annual reports to the Board about its activities relative to the implementation of this Code within sixty (60) after the close of each calendar year, ©) Prepares the Annual Budget for the operation and maintenance of the Investment Promotion Services and submits the same for consideration by the Board; and 4d) Performs such other functions as may be assigned by the Board from time to time. Article 17/Sec 8 Technical Functions of the Zamboanga City Investment Promotion Services — the technical and facilitative services functions of the ZCIPS shall be distributed to the corresponding units as follows; 1) 2) 9 Document Evaluation/Processing Section (DEPS) ‘The DEPS shall be responsible for the evaluation of all applications for availment of incentives as provided in this Code, as such it shall have the following specific duties and responsi (@) Accepts, evaluates all applications in terms of completeness of requirements mandated under existing local and national laws, conformity of investment proposal to the preferred areas of investments and to other policies embodied in this Code; (b) Notifies the applicants on the deficiencies of applications within ten (10) working days after receipt of applications; (© Wapplications are complete, evaluates and submits recommendations for action by the Board; and (4) Performs such other duties as may be assigned by Board Assistance and Facilitation Section (APS) (@) The APS shall be responsible For providing technical assistance and facilitative services to prospective investors and registered enterprises, more specifically in the following areas 1) One-stop documentation services (facilitating business permits, icenses, incentive availment and other requirements under existing local and national laws deemed applicable to the project proposal); 2) Business matching: (6) Performs such other duties as may be assigned by the Board. Promotion Section (IPS) ‘This unit shall handle Information Management and Development and shall continuously provide for comprehensive undertaking of active marketing and promotional programs and activities that will directly influence the infusion of local and foreign invesiments as well as the influx of trade and tourists, As such, it shall: (2) Collate, analyze and compile pertinent data and information as well as conduct studies and/or researches concerning areas that may be considered as preferred areas of investment by the Board, (b) Review existing incentives and other similar policies and recommend to the Board any modification and/or amendments thereof, (©) Handle data storage and retrieval; (@) Initiate and plan for the conduct of the following: (1) Trade and investment missions; (2) Trade fairs and exhibits; and G) Investment fora/seminars. (© Conduct investment briefings and/or orientations; (©) Prepare and disseminate promo collateral; and (@) Perform such other duties as may be assigned by the Board, In the meantime, the Board is in the process of constituting its Technical Secretariat, the City Planning and Development Office shall serve asthe Board's interim Secretariat. RULE V INVESTMENT PRIORITIES PLAN Article 18/Sec. 8. Preferred Areas of Investments ‘The Board shall issue 2 list of priority investment areas or activities every three (3) years which shall be the basis of the incentives. This shall take into account the following: the labor generated, the establishment in less developed areas, manufacture of locally available raw materials, ‘manufacturing/processing plants, tourism-oriented enterprise, service-oriented enterprise, processing enterprise, and/or water and power resource development enterprise. The Board shall declare some areas/industries which shall be the basis of incentives while others ‘will be under study, Article 19/Sec. 11. Appropriate Incentives and Support Measures - The Board shall identify additional appropriate incentives and support measures which it shall be willing to extend to targeted investors, to promote priority investment areas and activities. Article 20/Sec. 12. Effectivity of Appropriate Incentives and Support Measures — The Board shall review the package of appropriate incentives and support measures every three (3) years, provided that the Board may remove any area or activity from the list at any point, when it deems that sufficient investments in a particular area or activity have been attained and where ‘continued extension of incentives or support measures for the expansion of said area or activity from the list at any point, when it deems that sufficient investments in the areas or activity may place the interest of the city and the public in adverse position. The Board may also remove an investment area or activity from the list where it is convinced that investments in such area or activity in Zamboanga City can not be attracted within reasonable cost or may result in an unfavorable business climate. RULE VI REGISTRATION OF ENTERPRISES Article 21/Sec. 13 of Ord 258/Sec. 4 of Ord. 312. Qualifications of New Investors/Enterprises — New investors who intend to avail ofthe incentives provided in this Code must meet the following qualifications: a). That the new business enterprise has complied with all the requirements mandated under the existing local and national laws and the Constitution; bb) That the prospective investor's place of operation or production be located within the \erritorial jurisdiction of Zamboanga City; ©). That the prospective investors must engage in any or combination of activities in preferred areas of investments as hereafter be declared by the Board; 4) That the project cost of the new enterprise must be 4.1) At least Ten Million (P10.0 M) Pesos but not more than Twenty-Five Million (P25.0M) Pesos and employment of not less than 10 persons; 2) Over Twenty-Five Million (P25.0M) Pesos but not more than Fifty Million (P50.0M) Pesos and employment of not less than twenty-five (25) persons; 43) Over Fifty Million (PS0,0M) Pesos and employment of not ess than fifty (50) persons; ‘The majority of the above-mentioned employment shall be bonafide residents of Zamboanga City. However, in the growth areas outside the city limits pinpointed under the Master Development Plan of Zamboanga City, the project cost may be decreased up to 50% of the above-amount, provided the same is approved by the Board.” Provided Further, that the amount of capitalization shall be based on the total project cost and as stated in the investor's project study/proposal submitted to and approved by the Board.” Article 22/Sec. 14. Qualifications of an Existing Enterprise — An existing enterprise may avail ofthe incentives under this Code provided that it meets the following qualifications, to wit: (@) That the business enterprise has complied with all requirements mandated under existing local and national laws and the Constitution; (b) That the expansion/diversification must engage in activities, or in the other preferred areas of investment, as may thereafter be declared by the Board; (©) That the existing enterprise whose place of operation or production is already located within the territorial jurisdiction of the City of Zamboanga, but will undertake any of the following activties/projects: : 1) Relocation of its principal office from other places in the Phil ci pines to Zamboanga 2) Expand its existing production capacity or construction of new buildings and other civil works for the installation of new machinery and equipment or improvements thereof which will result in an increase in production capacity. Provided, that the amount of capitalization shall be based on the total project cost of such expansion/diversification as stated in the investor’s project sudyfproposal submitted to and approved by the Board, (@) That the expansion/diversification shall have a project cost of more than Three Million Pesos (B3,000,000.00) and provide additional employment of not less than 10 individuals the majority of ‘whom are residents of Zamboanga City. Article 23/Sec. 18. Application Requirements — Investors who intend to avail of the Investment Incentives provided in these rules shall accomplish and submit the following requirements: (@) Duly accomplished application form in Three (3) copies; (b) Payment of a non-refundable filing fee of P1,000,00, subject to the adjustment approved by the Board; RULE Vil RIGHTS AND PRIVILEGES OF REGISTERED ENTERPRISES Article 26/Sec. 18. Rights and Privileges Guaranteed by the City Government - All registered investors and enterprises are entitled to the rights and guarantees provided for by law and the Constitution and the privileges provided for by this Code. In addition to such rights and ‘guarantees to enhance investor's confidence under this incentives program, the City Government through the Board shal (@) Provide prospective investors with a concise and comprehensive information on the economic priorities of the City Government, including target investment areas and the general conditions applicable to incoming direct private investments; (b) Communicate investment evaluation criteria and procedures to enhance transparency in the process of granting government incentives; (©) Keep abreast of the need of investors for stability, growth and profit in their operations and. the former modification of policies and ordinances that affect investments; (@)_Notinterfere or modify arrangements with the investors after the details of implementation of ‘an investment project have been accepted and approved, and the ownership and management structure of the enterprise have been established, unless the law provides otherwise; (©) Avoid undue distortion of competition between and among enterprises operating within territorial jurisdiction, whether domestic or foreign, when granting any special exemptions ot incentives aimed at encouraging in the identified target areas; (In accordance with law, and witere no local personnel or workers are capable and available, the Board, in coordination withthe Department of Labor and Employment, shall facilitate the sourcing of necessary work permits and/or visa for qualified foreign personnel where this is deemed necessary for the efficient operation of the enterprise or for the transfer of technology; (© Subject to the availability of funds, provide for the construction of access road and drainage ‘and facilitate the connection from plant site 10 national highway, and the connection of utltes to the plant site provided, tht the'oad right-of-way shall have been donated to the City of Zamboanga; and (b) Endeavor to maintain industrial peace through negotiations and agreement for « moratorium from strikes, approval of the registration RULE Vill DUTIES AND RESPONSIBILITIES OF A REGISTERED ENTERPRISE Article 27. Duties and Responsibilities of Registered Investors and Enterprise. (@ Submission of Reports and others Documents - Every registered enterprise shall submit to the Board the following reports and/or documents within the time herein prescribed. (1) Amended Articles of Incorporation, By-laws, Articles of Partnership, or Articles of Cooperation, within thirty (30) working days from the date of submission of said amendments with the Secutties and Exchange Commission or Cooperative Development Authority (2) Change of Directors within thity (30) working days from thereafter, (3) Report on alien officers or employees within thirty (30) working days from date of registration or from the appointment of such aliens/replacements; Provided: that such 10 alien/s are registered with the Bureau of Immigration and Deportation (BID) and the Department of Labor and Employment (DOLE); (4) Report on employment of bonafide Zamboanga residents within thirty (30) working days from date of registration or from the appointment oftheir replacement, (©) Quarterly report on the enterprise's business operations, including its production or 703s sales or receipts, within thirty (30) working days from end of each quarter, (© Audited Financial Statements, within thirty (30) working days after its submission to the Bureau of Intemal Revenue (BIR), and RULE IX ‘TAX EXEMPTIONS, PRIVILEGES AND INCENTIVES, Article 28/Sec. 19 of Ord, 259/Sec. 5 of Ord, 312. Tax Incentives to Registered Investors andlor Enterprises - In addition to the investment incentives provided by law and by the Local Government Code, a registered investor/enterprise qualified under this Code shall be entitled to the following fiscal incentives: 8) A registered investorenterprise shall be exempted from the payment of local licenses, fees and dues for a period to coincide tothe firm’ entitlement to exemptions to sales/business tax as stipulated in Tables bl and b2. A registered investor/enterprise under this Code shall be fully exempt from payment of building permit fee and other kinds of local licenses, fees, dues, imposts, except the following regulatory fees 8) Health Certificate Fee, ) Sanitary Permit Fee; ©) Garbage Fee; 4) Fire Inspection Fee; ©) Taxon Billboard; ) Tax on Delivery Van; . 8) Taxon Weight and Measures; and hy Zoning Fee ‘That pursuant to Section 234 of the Local Goverment Code, there shall be no exemption from payment of Real Property Tax. b) Exemption in Business Tax from Capital(Gross Sale/Receipt. Appropriations. — An initial funding of One Million Pesos P1,000,000.00) willbe sourced from the City Government to defray the expenses necessary or incidental tothe implementation ofthe provisions of this Code. The Board may recommend 10 the City Mayor for inclusion in the ensuing Executive Budget such appropriation as may be deemed necessary o carry out the implementation of this Code. 2 RULE XI IMPLEMENTING RULES AND REGULATIONS Article 30/Sec. 21. Implementing Rules and Regulations - Rules and Regulations Implementing the Zamboanga City Investment Incentive Code of 2003/2004 shall be adopted by the Board and the Board may revise or amend the rules and regulations as may be required. RULE Xi MISCELLANEOUS PROVISION Article 31. Visitorial Power of the Board and ZCIPS - The Board, its Secretariat, or any duly authorized member thereof, is hereby empowered and authorized to conduct an ‘cular inspection of the premises or exemination of the business activity of any registered enterprise during office hours purposely to verify or ascertain, the investor/enterprise’s strict compliance with the provisions of the Code or of these Rules, or when the Board or ZCIPS deems it necessary in or incidental to the effective exercise and performance of their respective functions end powers. Provided, that the provisions of Aticle 35 shall be strictly adhered to RULE Xill FINAL PROVISIONS Article 32/Sec. 22. Administrative Sanction — Any violation of the provisions of this Code, ‘existing laws, ordinances, rules and regulations, shall be ground for cancellation or revocation of the registration of the business and the withdrawal of all the incentives granted under this Code, ‘The Certificate of Registration of a business enterprise, as provided, may be cancelled or revoked ‘on the following grounds: 1, At any point in time of its operation in the availment of the Investment Incentives, a registered investorenterie who fil oll any of te qusifeton as snd in Anles 21 and 22 (Section 13 and 14 of Ordinance 259), shall be disqualified from availing of the Investment Incentives; and 2.
