INR or above, or a net profit of 5 crore INR or above, during any financial year shall constitute a CSR undertaking. There should be three or
more directors, and one of them should be an independent director. The company shall formulate policy in accordance with the activities
referred to in Schedule VII. The content of the policy shall be disclosed in its annual report and on the website of the company. Companies are
required to spend 2% of the average net profits immediately preceding three years on CSR activities or provide explanations if they are not
spent. MNCs should cater to the bottom of the pyramid because: 1) The availability of resources such as local entrepreneurs, distribution
channels and communication networks reduces costs and research. 2) They can easily transfer the global knowledge generated from one
market to another and then customize it according to local requirements. 3) They can act as a bridge for well-intentioned NGOs, communities,
local governments and multi-layer development agencies in an attempt to bring development to the bottom. 4) They have the capacity to
transfer innovations from bottom to the top most tier.
