AGREEMENT FOR CONSIGNEE AGENT

This agreement is entered into on this ______ day of ______ year 2011 at Patna.

By and Between

Gratia Remedies, RZ – 101, Mahindra Park, Uttam Nagar, New Delhi – 110059, herein after
referred to as the Company.

AND

M/s Maruti Pharma, Mr. Sanjay Gupta, Tulsi Apartment, G.M. Road, Patna

herein after referred to as C.A.

where as the company wants to appoint C.A for selling to dealers/retailers, the GRATIA
REMEDIES brand of products (herein referred to the “ products”) belonging to the company and
whereas the C.A has shown its willingness to deal in the company’s products in the markets of
BIHAR

And the company has agreed to do business with C.A on the following terms and conditions.

(1) This distributor agreement is effective from the ______ day of ______ 2011 for a period of
11 Months. This agreement may be renewed after mutual agreement between the
company and the C.A.

(2) That the C.A shall take all the necessary steps for promoting the sales of the products in
the assigned territory with the help of company sales team and shall ensure the regular
supply of the products to the market assigned. The C.A shall keep at least 30 days
inventory with them to meet the market requirements.

(3) That the products will be supplied to the C.A on the basis of FOR to his warehouse/
godown at Patna as per the agreed prices.

(4) The C.A will handle the Tax elements on the behalf of the co.

(5) Transportation costs will be beared by C.A which will dispatch to retailer/distributor in
the assigned territory.

(If company will advice to send the goods to another C.A or to the company at that time
transportation will be beared by the company.)
(6) Order should be placed 30 days in advance.

(7) That the company will dispatch the goods only on receipt of Form C-31 and other form as
application for sales tax etc. If the goods are dispatched on good faith without receiving
the forms the C.A shall be liable for any taxes due if any.

(8) That the company pricelist to be provided from time to time to facilitate Finalization of
rates. The company from time to time will provide schemes as required.

(10) That the C.A. shall have the advantage of dealing with our other products in

future on the same terms & conditions.

 (11)That the CA shall ensure the regular and timely supply of products to the Market

in his/her territory.

(12)That the C.A shall ensure sale & sound storage of goods so that goods may not

be damaged or stole

(13) That the C.A will get the order from distributors along with cheque or D.D in

Favor of his/her firm.

(14) C.A will send the payment to the co every 15 th and 30th days.

(15) That the C.A will display a sign board of the company where stocks are lying.

(16) That a certificate of association will be awarded to the C.A to hang/display in their office.

(17) That the commission will be of 6 % on minimum sales guarantee (For Rs.2, 00,000).

(18) That this agreement can be terminated by either of the parties on three months written
notice to do so and the claims if any, will have to be settled within the notice period of three months
from either of the parties.

(19) That the C.A shall not deal with any competitor’s products during the currency of this
agreement.

(20) That on the expiry of the agreement or in the event of termination of the agreement the
company will make the payment of security amount (Good will money) within 45 days after
deducting any balance due. The security deposit as agreed by both parties in this agreement will be
Rs. 2,00,000/-. For which company will pay the normal bank interest of 10 % annually on security
deposit.
 (21s) That all disputes are subject to DELHI jurisdiction only. Arbitration clause will also
apply.

IN WITNESS HEREOF THE PARTIES HERETO have set their hands and signed this agreement of C.A
on this _____day of _______2011 as mentioned above in the presence of the following witnesses.
