GENERAL EXCLUSIVE MARKETING AGREEMENT

(Vessels Chartering SERVICES)

This Agreement is entered into on this 03rd Day of September 2015 by and between:-

AOS CYPRUS HOLDING LTD, having its registered office at Diagoras House, 7th Floor 16th, Catelaris St., Nicosia,
1097 - Cyprus, (hereinafter called "The Owner")

AND

SIRAJ MARINE SERVICES, having its registered office at Sh. Rashid Street, Al Manar Tower, 2nd Floor, 204 - P.O.
Box: 17677 Ajman, UAE (hereinafter called "The Marketing Agent")

THE PARTIES HAVE AGREED THE FOLLOWING:-

1. The Owner hereby appoints the Marketing Agent as its exclusive agent for all maritime services and vessels
either owned or chartered including any space or slot charter agreement calling at the Marketing Agent's
territory serving the trade in the territory.
2. This Agreement shall come into effect upon signing it and shall continue until 3rd day of September 2017.
Thereafter it shall continue until terminated by either Party giving to the other Party notice in writing, in which
event the Agreement shall terminate upon the expiration of a period of three months from the date of giving
such notice.
3. The territory in which the Marketing Agent shall perform its duties under this Agreement shall be Egypt,
United Arab Emirates and Kingdom of Saudi Arabia, hereinafter referred to as the Territory.

GENERAL CONDITIONS:
1. The Agreement covers the general marketing activities of the vessels belonging to the fleet of the Owner
within the Territory.
2. The Owner hereby agrees to pay an amount to the Marketing Agent, which shall be agreed as percentage
of the contract between the Charterer and the Owner (hereinafter called the "Marketing Amount").
3. The Owner and the Marketing Agent intend to sign a separate agreement to include the amount and
payment terms for each contract signed between the Owner and Charterer in the Marketing Agent’s
territory.
4. The payment of the Marketing Amount shall be remitted by the Owner to the Marketing Agent
immediately upon receipt of the amount from the Charterer, within agreed timeline during execution of the
contract.
5. The Owner agrees to the Marketing Agent appointing a sub-agent in each country of the Territory to act
as sub-agent under the terms and condition of this Agreement.

RESPONSIBILITIES OF THE MARKETING AGENT shall include but shall not be limited to:-
1. Representing the Owner in the Territory and supervising all activities on behalf of the Owner in the
Territory, to the best of their reasonable abilities.
2. Supervising, activating and coordinating all marketing activities in the Territory in accordance with
general guidelines set out by the Owner and using every effort to obtain business from prospective clients,
and consolidating the flow of statistics and information.

3. Arranging public relations work (including advertising, press releases, sailing cards and general
promotional material) in accordance with the budget agreed with the Owner, which shall be to the
Owner's account.

APPLICABLE LAW
This Agreement and the interpretation of its terms and conditions shall be governed by and interpreted by the laws of
UK and shall be subject to jurisdiction of the courts of UK.

CONFIDENTIALITY
The Parties shall not disclose to any third party any details about the other Party’s business, including, but not limited
to any information of the other Party’s customers, business plans and pricing policies, or make copies of any
confidential information or any content based on the concepts contained within the confidential information for
personal use or for distribution unless requested to do so by the other Party.

IN WITNESS THEREOF, both Parties have executed this Agreement by their duly authorized officers on the date and
year first above written.
