ASSIGNMENT ‘You shall not be entitled to assign this Agreement. The Terms and Conditions, and the terms of this Agreement are fully understood by You and You are willing and able to comply with the same. You shail aiways conduct yourself in a manner that does not bring You. the Foundation or the Programme into disrepute. Improper conduct includes but is not limited to (a) improper solicitation from Alumni, staff of the Foundation or associated companies, partners and sponsors of the Foundation (b) misrepresenting any Trustee or employee of the Foundation to be an adviser, boord member. consultant or partner to your business [c) unauthorized use of the Foundation’s name. jogo. mark or material to fraudulently SOlicit for funds from or deceive third parties {d) other fraudulent, disnonest. inappropriate ‘9F unethical behavior that in the Foundation’s opinion is not proper for an Alumni to 31. RIGHTS AND OBLIGATIONS OF THE FOUNDATION = The Foundation shalt: Provide You with access to the TEF Connect portal for You to complete of the 12.week Startup Enterprise Tool fraining course and receive key information for participating in Gil aspects of the Programme. Assign You a Mentor who shail provide You with mentorship and guidance on your business idea for the duration of the Term. Where applicable, ossist You with your appiication for a Nigerian visa by providing an invitation letter and advising on documentation for the visa application. Where appicable, bear your international travel cost from the couniry stipulated in your ‘application form. Where applicable, suppor inter-Nigerian transportation from the state stipulated in your application. Where applicable, provide feeding ond accommodation during the TEF Entrepreneurship Forum in Lagos. No travel expenses will be reimbursed to You. without express written opproval from on authorised personnel of the Foundation. Be entitled to request for adcitional information from You as may be required from fine: jravel to Nigeria to attend the TEF Entrepreneurship Forum, where applicable. 24. Be responsible for applying and bearing all related costs for obtaining a Nigerian Vise that will enable You to attend the TEF Entrepreneurship Forum in Nigeria, where ‘oppiicabie. No reimbursements will be granted for visa or passport fees. 25. Provide updated relevant personal, contact or business information to the Foundation upon any change fo any information submitted when applying. 24. Submit within the required timelines, all required documents to the Foundation after selection. 27. Participate in any pubicity or promotional activity aranged by the Foundation in relation to the Programme. 28. Participate in the tracking of the execution of your business pian by completing the status update on the TEF Connect half yearly or at such intervals as the Foundation may require. 29. Parficipate in the monitoring and evaluation (ME) program of the Foundation by undertaking an competing all surveys including the baseline survey prior to commencing ihe 12 week Start-up Enterprise Too-kit training course. i 210. REPRESENTATIONS AND WARRANTIES OF THE PARTICIPANTS You represent and warrant that: The business or ideo submitted by You is your business idea and where required. You hove obtained oll rights, licenses, authorisations and consents necessary to implement The Seed Capital shall be utilised for only the business or idea for which You were selected to the Programme and for no other purpose whatsoever. Where you have one or more business pariners. you have obtained the consent of such business portners in writing to represent the business in the Programme and such seed capital received shall be utilised for the business upon disbursement. Neither You nor ony of your business partners (present or future) are Alumni or have previously been selected and participated in the Tony Eumelu Foundation Entrepreneurship Programme in any former ‘cohorts. Neither You nor any of your business partners (present or future) are o Foundation staff, of any of the Foundation’s affiliated companies, staff of any of the Foundation's involved in the creation or administration of the Porgramme, or related to Any other agreement the Foundation may have entered into with entity or person; 5.23. ‘any opplicable law or regulation, or any judicial or official order ANTL-BRIBERY, ANTI-TERRORISM AND MONEY LAUNDERING YYou shail ensure that You or any person entrusted. does not demand, accept.
