This DACION EN PAGO (Dation in Payment), made and executed by and

between:
DIVINE WORD UNIVERSITY OF TACLOBAN INC. (now, LICEO DEL

VERBO DIVINO, INC.), duly represented herein by its Chairman of the Board of
Trustees, FR. RODERICK C. SALAZAR, JR., SVD, per Board Resolution No.
3-06 dated 26 June 2006, and herein referred to as the “SCHOOL or
UNIVERSITY”,
-a n d-
DIVINE WORD UNIVERSITY EMPLOYEES UNION ASSOCIATED

LABOR UNION-TUCP, duly represented in this Deed by its Acting President, Mr.
JULIUS N. OBALLO per Board Resolution dated
_______________________________________ and the ASSOCIATED LABOR
UNION-TRADE UNION CONGRESS OF THE PHILIPPINES, duly represented
by ATTY. DEMOCRITO T. MENDOZA and/or ATTY. CECILIO T. SENO, its
National President and National Executive Vice President, respectively,
hereinafter jointly referred to as the “UNION”,
WITNESSETH, THAT:
WHEREAS, ON 27 February 1997, the parties entered into a

Memorandum of Agreement1 (referred to as 1997 MOA) to terminate all the
pending labor cases filed by the UNION against the UNIVERSITY for the
consideration that the UNIVERSITY shall pay to the UNION the amount of ONE
HUNDRED MILLION PESOS (P100,000,000.00) as follows: P15 Million in cash
upon the signing of this Memorandum of Agreement, and P85 Million by dacion
en pago, through payment by the UNIVERSITY to the UNION of certain real
properties, primarily the Imelda Village and a parcel of land of 1,000 square
meters (San Jose land); said MOA was duly approved by the Acting DOLE
Secretary Cresenciano B. Trajano in his Order dated 16 June 1997;
WHEREAS, the University has in fact paid P15 Million in cash upon the
signing of the 1997 MOA, leaving a balance of P85 Million out of the P100 Million
consideration of the 1997 MOA to be paid by dacion en pago;
WHEREAS, on 2 February 2006, the parties herein, with the active

participation of CONCERNED EXCLUDED FORMER EMPLOYEES OF THE
DWU-T, duly represented by Atty. Cesar M. Merin (referred to as Merin Group)
and JUSTINO ABDON, ET AL., FORMER EMPLOYEES OF THE DWU-T,
represented by Atty. Lacandola S. Leano (referred to as the Abdon Group), have
subsequently agreed to implement the 1997 MOA by signing “THE RE-
OPENING OF THE FORMER DIVINE WORD UNIVERSITY OF TACLOBAN,
INC. NOW LICEO DEL VERBO DIVINO, INC.”2 under the following terms and
conditions:

WHEREAS, under the terms and conditions of the Transfer of titles, the
parties agreed that:
The SCHOOL and the UNION shall file a joint motion with
the Office of the Secretary of Labor in NCMB-RB-8-NS-04-024-88
for the withdrawal and release of the 217 duplicate original
transfer certificates of titles to enable the SCHOOL, at its own
expense, to transfer and register these titles in the name of the
UNION in trust and for the benefit of all employees, whether
members of the union or not including but not limited to the MERIN
GROUP and the ABDON GROUP.
It is understood that the distribution of the aforementioned

SCHOOL’S properties shall be jointly undertaken by, between and
among the UNION, the MERIN GROUP, and the ABDON GROUP
thru their respective authorized representatives, the intent being to
ensure that all claims, demands, obligations or awards arising from
the Supreme Court imposed CBA in G.R. No. 91915 and the
closure of the school on June 15, 1995 are wholly and fully
satisfied.
Any dispute or disagreement that may arise between or

among the UNION, the MERIN GROUP, the ABDON GROUP and
any and all other members of the rank and file bargaining unit or
any other person as to the manner of distribution of these titles
shall be resolved by, between and among themselves and shall not
bar the implementation of the other provisions of this Implementing
Agreement, the parties hereby acknowledging expressly and
unconditionally that the transfer and registration of these titles as
above provided shall completely and absolutely release or
discharge the SCHOOL from further or other obligation under the
1997 MOA.
WHEREAS, the Joint Motion to Terminate and Close Case with

Prejudice was filed separately with the Office of the DOLE Secretary 3 and the
Supreme Court4; that, the Office of the DOLE Secretary Patricia Sto. Tomas has
issued a Resolution5 on 13 March 2006, granting the said motion to close and
terminate NCMB-RBS-NS-04-024-88 from its docket; further, DOLE has released
the 217 duplicate original transfer certificates of titles to enable the
SCHOOL, at its own expense, to transfer and register these titles in the name of
the UNION in trust and for the benefit of all employees, whether members of the
union or not including but not limited to the MERIN GROUP and the ABDON
GROUP;
WHEREAS, it is noted that the MERIN group has annotated their adverse
claim over all the 217 titles to be delivered by the UNIVERSITY to the UNION in
trust and for the benefit of all employees, whether members of the union or not
including but not limited to the MERIN GROUP and the ABDON GROUP, merely

to establish its legal interest over these 217 titles pending the distribution of the
same among the UNION, the MERIN Group and the ABDON Group.
WHEREAS, the implementation of the 1997 MOA and the filing of the
Joint Motions to Close and Terminate Case with prejudice shall cause the
immediate withdrawal and/or dismissal of the following cases:
a) In re: Labor Dispute at the DWU-T, NCMB-RB-8-NS-04-024-88,

DOLE, Intramuros, Manila (G.R. No. 91915);
b) DWU Employees Union-ALU-TUCP represented by Colinayo vs.
DWU-T et al., docketed as G.R. No. 155667 (NLRCRAB VIII Case No.
07-1294-95), now pending with the Supreme Court; and
c) Justino Abdon, et al. vs. DWU-T et al., G.R. No. 155668 (NLRC RAB
VIII Case No. 07-1294-95) now pending with the Supreme Court.
NOW, THEREFORE, the UNIVERSITY does hereby deliver, cede, assign,

transfer and convey in a manner absolute and irrevocable in favor of the UNION
in trust and for the benefit of all its employees, whether members of the union or
not including but not limited to the MERIN GROUP and the ABDON GROUP, the
following TWO HUNDRED SEVENTEEN (217) tilled real properties plus the SAN
JOSE LOT as an accepted equivalent payment of the amount of P85 Million for
the final and full settlement of all its obligations arising out of or in connection
with the aforementioned labor cases, to wit:
