LETTER OF INTENT (“LOI”)

1st November 2018

3 The LESSEE

4 Super Area 3rd Floor (7500 sq.ft approx.)

Rs. 100 psf (on Super Area) i.e. plus the GST and any applicable taxes as

applicable shall be additional subject to the Tax deduction at source.

Rs 15/- per sq. ft. on 7500 sq.ft approx. super area payable on monthly basis
+ applicable GST.

Maintenance Charges Maintenance Services Includes – Building Maintenance, Building Common Area

(CAM) Cleaning, Lift Maintenance, Power Back up Facility, Air-Conditioning AMC (high
side), DG AMC, Building Façade Cleaning, Basement Cleaning, Parking area
cleaning.

Interest Free Refundable Equivalent to 6 month’s rent i.e. Rs_____ (_______only) as interest free fixed
7 refundable security deposit shall be payable.
Security Deposit

Rent will be monthly in advance on or before the 7th of each month from rent
8 Advance Rent commencement date .Any delay shall be subject to interest of 1.5% per
month.

The rent and CAM shall be increased by 15% on last paid monthly Rent, after

LESSOR will be handed over the possession of the said premises within 60

Lease Commencement
13 The Lease will commence from the rent commencement date.

A prior notice period of 3 months, for Lessee to terminate the lease i.e. any
time after 60 months of the initial lease term
LESSOR will provide 100% Power Back up. However the Fuel cost i.e. on the

basis of unit consumed by the LESSEE shall be payable by the Lessee.

The LESSEE shall not be entitled to terminate the Lease for the initial period of
60 (Sixty) months from the Rent Commencement Date. The Lessor shall be
16 Lock in period locked in for the entire term of the Lease. After the expiry of the Lock-in
Period, the Lessee shall have the right to terminate this Lease Deed by giving
a 90 (ninety) days’ written notice to the Lessor. 

At the signing of LOI: 5 month interest free Refundable Security Deposit.

At the time of Agreement registered: 1 month Refundable Security Deposit.

17 Payment Schedule This LOI is valid until 30 days from the date of signing, within which period the
Lease agreement/Deed may be executed. Failing which, this LOI will stand
terminated and none of the above mentioned clauses shall be binding on
either of the parties and the sum paid by LESEE as mentioned in of the LOI
shall be forfeited by the LESSOR.

Right to Sub-Let The Said Premises shall be used by LESSEE only and LESSEE shall not assign,

Premises transfer or sublet.

Accessibility to the said LESSEE has the right to use the Premises and Facilities from 8 am-8 pm for

Stamp duty and registration charges on the lease documentation shall be

Registration expenses

21 Parking Area 7 cars Parking inside the premises.

Lessor to Provide specific space at Ground floor level for Pylon or Totem and

charges for the same to be borne by LESSEE.

LESSOR Provide adequate 30 KW approx. electricity load, 24 hours water


supply and 100% power back up. Any enhancement required will be done by

borne by Lessee as per actuals from the handover date.

In case of any dispute all subject to Delhi Jurisdiction only.


24 Jurisdiction

The LESSOR will provide Fully Fitted physical and peaceful possession of the
Demised Property at the time of Rent Commencement Date. Layout

drawing/design’s will be duly approved and signed by LESSEE before
commencement of furnishing process. .

lease as per the terms and condition stated above.
