INDEMNITY AGREEMENT

KNOW ALL MEN BY THESE PRESENTS

This Indemnity Agreement dated 19th of August 2019, is
entered into by and between :

CLEOPATRA INDEMNITY CO., a corporation duly organized

and existing under the laws of the Republic of the Philippines with
principal office address at the Unit 3A La Azotea Bldg., Session Rd.,
Baguio City, Philippines, represented in this act by its General
Manager CLEOPATRA P. PTOLEMY;

MARK ANTONY V. CESAR, single, of legal age, Filipino citizen,

with residence and postal address at 45 Bakakeng Central, Marcos
Highway, Baguio City, Philippines AND JULIUS CAESAR V. CESAR,
single, of legal age, Filipino citizen, with residence and postal address
at 45 Bakakeng Central, Marcos Highway, Baguio City, Philippines,
hereinafter referred to as the.
For value received, CLEOPATRA INDEMNITY CO., agrees to
indemnify and save harmless MARK ANTONY V. CESAR and
JULIUS CAESAR V. CESAR and their successors and assigns from
any claim, action, liability, loss, damage or suit arising from the
following:
1. All legal claims against the indemnitees arising from their
employment;
2. All accidents, fortuitous events, negligence and inadvertence
of the parties.
Where any claim is asserted, MARK ANTONY V. CESAR and
JULIUS CAESAR V. CESAR shall provide CLEOPATRA INDEMNITY
CO. with reasonably timely notice of same in writing.
Thereafter, CLEOPATRA INDEMNITY CO. shall at its own expense
defend, protect and save harmless MARK ANTONY V. CESAR and
JULIUS CAESAR V. CESAR against said claim or any loss or liability
resulting therefrom.

Should CLEOPATRA INDEMNITY CO. fail to so defend and / or
indemnify and save harmless, then, in such case, MARK ANTONY V.
CESAR and JULIUS CAESAR V. CESAR shall have full rights to
defend, pay or settle said claim on their own behalf without notice to
CLEOPATRA INDEMNITY CO. for all fees, costs, and payments
made or agreed to be paid to discharge said claim.
CLEOPATRA INDEMNITY CO. agrees to pay all reasonable
attorneys' fees necessary to enforce said indemnification.
This agreement shall be unlimited as to amount or duration, and it
shall be binding upon and inure to the benefit of the parties, their
successors, assigns and personal agents and representatives.
