AFFIDAVIT OF NON-OPERATION OF BUSINESS

I, CARACTACUS C. BURKE, single, of legal age, Filipino

citizen, and a resident of #13 Holy Ghost, Baguio City, Philippines,
after having been duly sworn to in accordance with law, do hereby
depose and state:

1. That I am the President and Chief Executive Officer of Borgin

and Burkes Antiques, Inc., a corporation duly organized and
existing under the laws of the Philippines, with principal office at
13B Knockturn Alley, Baguio City, Philippines;

2. That said corporation was incorporated on June 14, 2012 and

acquired by the undersigned with the purchase of its corporate
property in the above address sometime in July 2015;

3. That the same corporation has not yet commenced its

operations in view of the slump in the antiques industry in the
country;

4. That the stockholders and directors of the corporation are

contemplating on reviving its operations in the near future when
the opportune time comes;

5. That this affidavit is being executed in order to attest to the truth

of the foregoing circumstances and for the purpose of
complying with the reportorial requirements of the Securities
and Exchange Commission.
