    The undersigned, constituting all of the members of the Board of


    Directors of APIROCK EAST AFRICA LIMITED, hereby consent to
    WYCLIFF RANDY OKUMU, one of the Directors of Apirock E.A Ltd to borrow Kshs.
    1,500,000 with a monthly interest of 15% from Wpacedge Capital Ltd, 87-40100, Kisumu.

    We RESOLVED, that the above statement is on consensus with all


    Directors and all actions taken by the Authorized Officers and
    any other properly authorized officers of the Company in
    connection with above mentioned transaction are hereby ratified, affirmed
    and approved in all respects.
