experience is derived from the Partners and Associates who have brought valuable and varied
experience to the firm.

business solution to legal services. Bbaale and Partners has a strong presence of professional
financial advisory service providers, which offer individuals and businesses a wide portfolio of
services, including investment due diligence, M&A advisory, valuation, real-estate consulting, risk
consulting, taxation consulting. These offerings are made by a range of providers, including
individual domestic consultants to large multi-national organization

The Partners’ efforts are supplemented by support staff with solid professional experience, who
adhere to the firm’s mission of providing our clients with timely, high quality, result-oriented and
efficient services (under the above stated heads), while promoting the virtues of integrity, honesty
and professionalism.

Within a considerably short period, the firm has curved a niche for itself as a provider of quick and

2. Description of the Firm’s activities:

Provision of legal Consultancy services focusing mainly on corporate and commercial matters, civil
and commercial litigation, banking, property, secured transactions, conveyancing, intellectual
property, and legal and policy consultancy matters as follows:

(a) Banking and Securities:

We provide the following legal Consultancy services in relation to banking and securities:
(i) Domestic and international syndicated loan agreements;
(ii) Negotiation of bank loans and preparation of loan agreements;
(iii) Asset securitization such as debentures, mortgages and other charges;
(iv) ] Debt restructuring documentation;
(v) Structuring of finance and operating lease transactions;
(vi) Due diligence of security portfolios;

(viii) Debt recovery services;
(ix) Insolvency;
(x) Trade finance and letters of credit;
(xi) Guarantees and performance bonds;

(b) Land Transactions

We provide the following services in relation to land transactions:

(ii) Large scale land acquisitions and disposals;

(iv) Conveyancing and other related land transactions.

Twelve (12) years under the Firm, and more than eight (8) years for each of the Partners in
the Firm under different leading law Firms prior to the formation of Bbaale Advocates

This depends on the nature of services we are contracted to provide. In the case of day-
today advisory work we can conclude the exercise in one (1) day. Generally, in line with our
vision, we are conscious of maintaining our outstanding reputation for timely, high quality,
result oriented and efficient legal services which keep pace with the demands of The
Judicial Service Commission as a public service provider.

1.0 OUR LEGAL SERVICES EXPERIENCE

Below are some of the assignments that our firm has handled, which have enhanced our

1.1 Eaton Towers Uganda Limited


We have acted as principle legal advisors for Eaton Towers Uganda Limited, a telecom
mast operator licensed by the Uganda Communications Commission in Uganda. Our scope
of services included: - legal and regulatory compliance, employment and labour advisory,
Immigration advisory and processing services, land access and surface rights, tax advisory
and litigation among other legal advisory services.

1.2 Chenshia Uganda Ltd.


We have assisted the Company to obtain advance ruling requests on the classification of
imports of equipment for their large scale projects. We have successfully represented the
company in 2 recovery cases and worn against two Kenyan Companies i.e Dicom & Rafik
Trading Co. Ltd.
We have also helped the Company to obtain VAT deferment and Withholding tax
exemptions.

We act as the principle legal advisors for Masaka Micro Finance Ltd. We provide advice on
regulatory compliance, provision of company secretarial services, employment and labour
advisory, Immigration advisory and processing services, land access and surface rights, tax
advisory, drafting review and negotiation of contracts and litigation among other legal
advisory services.

We successfully represented the Company against Lugazi Town Council.
