UNDERTAKING

I/We, ______________, of legal age, Filipino, and with residence and postal address at
_____________________________, after having been duly sworn to in accordance with law, do hereby
depose and state that :
1. I am one of / We are the true and lawful co-owners of a parcel of land, including the buildings and
improvements standing thereon, with a total area of _______________ square meters which is located
in _____________________________;

2. The continuous and open possession and/or occupation of the above-described property by myself or
predecessor is evidenced by Transfer Certificate of Title No. _____________ of the Registry of Deeds
for ______________ and Declaration of Real Property (Tax Declaration) No. ______ with Property
Identification No. ______________________.
3. Seaoil Philippines, Inc. (Seaoil) has identified the above-described property as a suitable location for
the construction and operation of its fuel station such that I have agreed to the proposal of Seaoil to
lease in whole or specific portion of the said property on a long-term basis;
4. In recognition of the reasonable legal and procedural requirements in entering into the proper lease
agreement, I undertake to do, perform and fulfill the following:
a. To submit the following documents and/or information within a period of one (1) month from
the execution of the lease agreement:

i. ___________________________; and
ii. ___________________________.
b. To hold Seaoil free and harmless from any and all liabilities, losses, claims and/or damages
incurred by it or claimed by any person for any cause arising from or by reason of any defect
in my title to the subject property;
c. To protect the Seaoil’s peaceful control, occupancy, possession and use of the leased property
during the term of the lease agreement against all claims by any person or entity interposed on
the said property.
5. In the event that I should fail in the foregoing undertakings or I am determined or adjudged not to be
the lawful owner and or possessor of the leased premises, I shall indemnify Seaoil from and against all
losses, damages, costs, claims and expenses suffered or incurred by Seaoil arising out of or in relation
to the said failure or determination, including the return of all the sums paid under the lease
agreement.
6. That I have voluntarily and willingly executed this affidavit as a legal and valid obligation on my part
and the other co-owners and for whatever legal purpose it may serve.
