In case however the present duties and taxes are increased or new taxes/duties are imposed by the Govt. on finished goods during the currency of the contract, the same will be paid extra on production of documentary evidence. In case of decrease in duties/taxes by Government, the price will be decreased accordingly. The material supplied by the manufacturer should have the embossing/printing/ punching/engraving of P.O & Name of the Manufacturer on the name plate only, "TRIBAL ELECTRIC SUPPLY COMPANY’ or “TESCO’, with year of manufacturing and other essentials of contract with date be inscribed also on the name plate. TESCO reserves the right to increase/decrease the quantities up to 15 % during the currency of contract. PERFORMANCE BOND: Performance Guarantee vide No. 04612839 Dated: 02-01-2019 for Rs. 332,222/- is hereby received, Acceptance, however, will be issued when it is confirmed from the concerned Bank Undertaking on prescribed proforma issued vide Ministry of Finance (Finance Division) D.O. No. 687/MD(PPRA)/O5 dated: 14-09-2005 (copy enclosed) Annexure-A, may also be submitted within seven days from the date of issue of this P.O. (a) If you do not possess the prototype approval (if required) for the above subject item within last (3) Three years, you shall have to obtain the prototype approval within one month of issue of purchase order, from the office of the Chief Engineer (Design) WAPDA, Lahore, without affecting the delivery schedule. For this purpose, the prototype sample shall be submitted by you with in 15 days from the date of issue of purchase order to the Chief Engineer (Design) WAPDA Lahore {or his approval. In case of failure of prototype sample due to non-compliance to Specification, the delay shall be to manufacturer/Supplier account and it should, in no way, affect the prescribed delivery schedule. (b) The supplier shall provide free of charge, all such assistance, instruments, machinery testing appliances, manpower, labour and material as are normally/specially required for carrying out available type sample, routine, visual and dimensional testing. (©) Any changes suggested during prototype testing of compliance of specification and purchase order shall have to be incorporated without any extra price claim. (4) Over and above normal inspection, the Chief Engineer (Mil) may carry out all possible and locally available tests, including the routine and sample tests, once during the currency of Purchase Order at RTL Faisalabad, HV&SC Testing Lab Rawat Islamabad, manufacturer's Lab; or any other local independent laboratory approved by the department. (e) All expenses like testing fee expenditure incurred for shipment of goods from manufactures premises to the testing laboratory, traveling, lodging/boarding and daily allowance of two WAPDAVTESCO Engineers shall be borne by the manufacturer. SPECIFICATIONS, ‘As per WAPDA's Specification amended to date CONSIGNEE Field Store TESCO at 132 KV Grid Station Industrial Estate Jamrud Road Hayatabad Peshawar. DELIVERY PERIOD Free Delivery at TESCO Consignee Stores as under: Delivery: 100% within 120 days from the date of issue of purchase order. However, consignee store may be changed during currency of the contract. ‘TERMS OF DELIVERY i The delivery must be completed by the delivery date as specified in clause-4 of this PO and inspection call be given before the 15” day of the expiry of the delivery date. ii, Ifthe inspection call is given before the 18" day of the expiry of the delivery date: but either the inspector(s) is/are unable to carry out the same for reason of any other assignment or the material offered for inspection is rejected, the delivery be completed by the 20" day of issuance of the Inspection Certificate cwLD CHARGES APPLICATION i. LD charges deduction shall apply for violation of either clause (i) oF (i) of section-5 above ii, Fake call or material not conforming to specifications shall cary separate penalty if it so happens. INSPECTION a. _ Inspection of the material will be carried out at your works by authorized representatives of CEO TESCO. Notice in writing shall have to be given to the Inspecting Officer by you that the store against the above PO is ready for inspection. All reasonable facilities as provided in the specifications or followed by the Industry or Trade in general shall have to be afforded to the inspecting Officer by you at your expense for carrying out Inspection. b. _ Inspection fee @ 0.5% of the material value will be deducted from your bills by TESCO. © Visual inspection will be carried out by consignee that material has been delivered in perfect Physical condition without any defect or damage before issuance of GRN. PAYMENT This purchase order will be financed by Deputy Director (C/A) TESCO and will make payment on production of the following documents: i, Bill in triplicate for 100% claim. ii, Delivery Challan & GRN duly stamped and signed by the consignee. ii. Warranty Certificate. iv. Confirmation of Manager (MM) TESCO about acceptance of Performance Bond. V. __ Inspection Certificate issued by CEO TESCO / his authorized representative. vi, Professional Tax paid certificate by the firm vii, Certificate that the billed amount has not been claimed or received earlier. Partial deliveries and part payment is allowed. SALES TAX & OTHER GOVERNMENT DUTIES As per condition No. (ii) Under clause (1-B) Special Conditions. WARRANTY You will furnish a Warranty Certificate, certifying that the goods supplied conform exactly to the ‘specifications laid down in the Contract and are brand new and that in the event of the material being found defective or not conforming to the specifications/particulars governing supply at the time of delivery and for a period of 15-months from the date of completion of supply, you will be held responsible for all losses and that the unacceptable goods shall be substituted with the acceptable goods at your expense and cost FORCE MAJEURE The right of TESCO to terminate the Contract or to claim penalty or liquidated damages shall be Subject to the following circumstances, provided as a result of all or any of these events that there has been delay in the Performance of the Contract by the manufacturer or Supplier, or the contract, has become incapable of being performed: Act of God i, Act of State, War or any Act of the Enemy; ili, Lock outs, Riots or Civil Commotion; vy. Injunetion granted by a Court of Competent jurisdiction not resulting from any fault of the Manufacturer or Suppliers v. Restriction imposed by the Government on the Import of any material relating to the manufacture of goods. vi. Non-receipt of raw material from abroad for reasons beyond the control of the manufacturer. vi. Port delays due to bunker age or lighter age. vil. Divisions of supplies by the carrier without any fault or knowledge of the manufacturer or supplier. Or12. NOTE cee 4 Provided further that the manufacturer or supplier has given notice to TESCO within 14-Days of the happening of any such event. FAILURES AND TERMINATION If you fail to deliver the stores or any consignment thereof within the specified delivery period, the purchaser shall be entitled at his option either: (A) (8) To recover from you liquidated damages levied at the rate of two percent (2%) per Month or a fraction, thereof subject to a maximum of ten percent (10%) of the contract price, except. (a) Where un-delivered stores hold up the use of other stores, liquidated damages shall be levied on the total value of the contract. (b) The recovery of liquidated damages mentioned above can be affected from any payment due to you from any unit of TESCOMWAPDA. To purchase from elsewhere without notice to you at your risk and cost, the stores not delivered, without canceling the contract in respect of the consignment not. yet due for delivery. To cancel the contract at your risk and cost. In the event of action being taken under (ii) or (ii) above, you shall be liable for any loss which the purchaser may suffer on the account; but you shall not be entitled to any gain on Tepurchase made against the supply order. If during the course of execution of contract, you are black-listed by WAPDA/TESCO or any other Electric Supply Company, the purchaser may proceed with all or any of the actions detailed below: To allow the contract to run its course till completed in accordance with the terms and conditions of contract. To stop further supplies with or without financial repercussions. To cancel the contract with or without reservation or rights. While determining liquidated damages the purchaser shall not consider any of the following circumstances, a cause under ‘FORCE MAJEURE” and shall not allow any relaxation in the liquidated damages on the account: Delay on the part of the contract in the arrangement of raw material Defect or failure occurring to any machinery or equipment installed at the contractor works during the currency of the contract. RESPONSIBILITY FOR EXECUTING THE CONTRACT You are entirely responsible for the successful execution of the contract in all respects in accordance with the terms and conditions as specified in the contract including the schedule. INSPECTIONS AND REJECTION The inspecting officer may reject a part or the whole of the consignment tendered for inspection, if after inspection such portion thereof as he may decide on his discretion he is satisfied that the consignment is below the requirements of the particulars governing the supply given in the Purchase Order. The decision of the Inspecting Officer shall be binding on you.5 il, If the stores are rejected as aforesaid, then without prejudice to the right of the purchaser you may submit stores in replacement of those rejected but re-submission will not mean extension of delivery period iv. On final rejection the purchaser shall have the following rights: (a) To purchase the rejected goods at your cost and expense. (>) To terminate the contract and recover from you the loss, the authority thereby incurs. PACKING You will be responsible for packing the store suitable for transit by Rail/Road so as to ensure their being free from loss or damage on arrival at destination. The packing of the stores shall be done by and at your expense in accordance with the standard specifications governing such packing. In case there are no standard specifications, goods will be packed according to the trade practice to ensure safe receipt at destination. FOREFEITURE OF SECURITY BOND/GUARANTEE (Performance Bond) The Contracting Officer will have the right to forfeit the Security Bond / Guarantee (Performance Bond), (A) Ifthe Contractor: i Fails to supply the goods within the time specified ii. Commits any breach of contract. il, Fails to account for the Import License issued on account of the purchaser. iv, Fails to account for the raw material secured by the contractor against any license or permit issued on account of the contracting officer. v. Fails to return drawings, design or any material belonging to the contracting officer, which was to be returned in good condition to the contracting officer after the successful termination of the contract (8) _ For other reasons specified in the Purchase Order by the contracting officer for forfeiting the Security deposit. If the forfeiture of the security deposit does not compensate the contracting officer for losses suffered due to non-delivery or breach of contract for any other reasons, the contracting officer will have a right to forfeit other security deposits or to recover the same from any other security deposit made in favor of any other unit of WAPDAVTESCO or from any money due to the contractor from any unit of WAPDA/TESCO. LAWS GOVERNING THE CONTRACT. The contract shall be governed by the laws of Pakistan as amended from time to time.
