· The price quoted is to be understood for the entire scope offered. Should the Purchaser split the
Order for any reason and place partial orders, we reserve the right to adjust the prices accordingly.

Remarks:
1. Price offered is a package price
2. Any deviation of more than +/- 1% between spot rate of the quotation date and spot rate of the
contract award date to Seller shall result in an appropriate adjustment in that portion of the tender
price.
3. The price quoted is to be understood for the scope offered. Should the Buyer split the order for
any reason and place partial orders, we reserve the right to adjust the prices accordingly. If the
Buyer does not agree, we will redraw our supporting letter.

4. Prior to start services all equipment should be installed, individual test of all equipment and aux.
services done, and cables continuity test done.
5. Work will performed on normal working hour during working days (08.00 to 17.00 local time,
include 1 hours break), working that performed outside normal working hour for the reasons not
attribute to our performance will be charged as overtime rate as:

Engineer Man Hour Rate: IDR 665,000 /hours

Working Hours:
Regular overtime: Monday to Friday 17:00 to 20:00
Double overtime: Monday to Friday 20:00 to 08:00
Weekends: Saturdays, Sundays and Public Holiday

Overtime:
Regular overtime: Rates times 1.25
Double overtime: Rates times 1.5
Weekends: Rate times 2

6. If work site is extend beyond indicated time in our offer, additional day will be charged based on
the above rate and accommodation, transport, etc. based on actual cost plus 15% administration.

General Conditions
For matters not covered elsewhere in this quotation, ABB General Terms and Conditions of Sales
(Attachment 1) and which form part of this quotation shall apply. If there any discrepancy between the
General Terms & Conditions of Sales and narrative part, narrative part shall prevail. We reserve to make
technical changes as a result of technical advances during the course of order.

Technical Offer
Our offer is based on the scope of works, Technical proposal and Salient Feature of the offer submitted
along with the offer.

Terms of payment
q 20% shall be paid by T/T as down payments within 10 (ten) days of receipt of Purchase Order
from the Buyer, signing of Order Confirmation, and consequent submission of invoice.
q 80% of materials shall be paid by SKBDN/Letter of Credit (LC) at usance 30 days upon delivery
readiness notification; details of SKBDN/Letter of Credit shall be discussed upon ordering stage.
SKBDN/Letter of Credit shall be issued from a reputable first class bank.
q 80% of services shall be paid by T/T within 10 days after testing report release. Service shall be
started no later than 90 days after delivery of materials or else seller could invoiced and paid while
release performance bond 5% valid within 90 days after delivery

Terms of Delivery
Material: Ex work ABB Warehouse, Jakarta according to INCOTERM 2010. Information of goods
marking must be included in the purchase order. Storage charge shall be applicable if the material could
not be delivered to site according to the agreed schedule between Seller and Purchaser.

Time of Delivery
The material will be delivered within 5 (five) months upon purchase order effectiveness. Effectiveness is
defined by fulfillment of the following:
- Order Confirmation
- Drawing approval
- Down payment received
Service will conducted within 3 days.

Suspension of Work
At the request of the owner of project for reasons that deserve, Buyer at any time can ask Seller to delay
the project or the sustainability of the project during a period of time deemed necessary by Buyer or the
project owner.
i. Buyer may at any time, terminate the suspension period by written notice to Seller by specifying the
effective date of termination of suspension, and Seller shall endeavor the best to resume the
implementation of its obligations under the Contract immediately upon receipt of notice.
ii. During suspension, Seller is not entitled to the payment of its contract which have not realized. Buyer
shall pay such penalty of sanction from delayed payment which shall not exceed 0.5% per week and
shall be limited to 5% of the contract price.
iii. If the delay occurs due to delay in completion of work by Buyer, then Seller will not incur a penalty of
sanctions.
iv. If a delay exceeds 70 days the parties obliged to discuss the continuation of project completion.
However, both Parties are allowed to enter the termination clausal whenever there is no deliberate
consensus can be made between Parties.

Cancellation Charges
After receipt of the order 35% of PO Price
After release for manufacture 65% of PO Price
After start of assembly 90% of PO Price
After final acceptance 100% of PO Price

Termination
If the contract is terminated due to any cause as stipulated in Article 26 of General Terms and Conditions
of Sales, the cancellation charges will be applicable and will be paid by the Buyer. The cancellation
charges shall cover all costs incurred by Seller plus 15% cancellation fee. In the event the contract is
terminated on account of Force Majeure event as stipulated under Article 28 of General Terms and
Conditions of Sales, payment of the cancellation charges is not required.

Arbitration
All disputes arising in connection with this Contract shall be finally settled under the rules of Indonesian
National Arbitration Board (BANI) by three (3) arbitrators appointed in effect of BANI arbitration rules and
procedures in accordance with Law Number 30 of the Year 1999 regarding Arbitration and Alternative
Dispute Resolution or as amended and in force at the time of the dispute. Any such award by BANI shall
be final and binding the Parties and the losing Party shall be accountable for the applicable arbitration fee
in full. The place of arbitration shall be Jakarta, Indonesia. The language to be used in the arbitral
proceedings shall be English.

Language
This Contract is drawn up in the English language. If this Contract is translated into another language,
the English language text prevails. The Parties fully understand and acknowledge (i) the existence of the
Law of the Republic of Indonesia No. 24 of 2009 regarding National Flag, Language, Coat of Arms, and
Anthem (“Law 24/2009”) which requires any agreement involving an Indonesian party to be executed in
the Indonesian language and (ii) the need of a Government Regulation as the implementing regulation of
Law 24/2009. Therefore, the Parties hereby agree that the execution of this Contract in the English,
pending the issuance of the Government Regulation as the implementing regulation of Law 24/2009, shall
not be deemed as a bad faith intention of the Parties not to comply with Law 24/2009. Immediately after
(i) the interpretation of Law 24/2009 concerning the foregoing becomes clear or (ii) the issuance of a
Government Regulation which requires an Indonesian language of this agreement to be executed, the
Parties hereby agree to do so in full compliance with Law 24/2009. Neither Party shall bring any claim
against the other on the basis of non-compliance with Law 24/2009.

Currency
Seller and Buyer may agree and execute the quotation, purchase order and/or transaction with using Local
currency, which shall serve as the governing currency of the quotation, purchase order and/or transaction.
In relation to Peraturan Bank Indonesia (PBI) No.17/3/PBI/2015 regarding obligation using Rupiah in
Indonesia, Seller and Buyer hereby declare and acknowledge that each party have read and understands
the content of PBI No.17/3/PBI/2015. Hereby Seller and Buyer agree, and each party represents and
warrants the other party, that it will not and will never challenge, or assist any party to challenge, the
validity of the quotation, purchase order, transaction and/or any other documents and/or the delivery and
performance of the transactions contemplated under the quotation, purchase order and/or any other
documents, and furthermore, Seller and Buyer hereby disclaim and waive any benefit from, or any right
under the quotation, purchase order, any other documents and/or the prevailing laws to cancel or declare
the quotation, purchase order, transaction and/or any other documents and/or the delivery and
performance of the transactions contemplated under the quotation, purchase order and/or any other
documents as null and void on the basis of non-compliance PBI No.17/3/PBI/2015. If required by law
and/or relevant authority and/or government agency, Seller and Buyer agree and undertake to take all
steps necessary to comply with PBI No.17/3/PBI/2015.

Liability for Delayed Delivery


Should Seller fail to comply with the stipulated delivery time or the extensions thereof, the Buyer shall be
entitled to claim by way of liquidated damages only, such reduction shall not exceed 0.5% per week delay
and shall be limited to 5% of the total price. The said reduction shall be to the exclusion of any other
remedy of the Buyer in respect of Seller's failure to perform the obligation in timely manner.

Limitation of Liability
Notwithstanding anything contained in this offer or in any individual document to the contrary, PT. ABB
Sakti Industri shall not be liable for loss of profit, loss of revenues, loss of power, loss of use, costs of
capital or costs of replacement of power, increased costs of or loss of anticipated savings or for any
special, indirect or consequential damage loss, of any nature whatsoever.
For the avoidance of doubt it is expressly agreed that ABB’s total liability shall be limited to 10% of the
Contract Price.

Material Warranty Period
The warranty period will be 12 months from the date of Buyer’s acceptance for our scope of work, or in
case acceptance is delayed beyond Seller control, 18 months from the date of delivery whichever date is
earlier. The warranty is valid only under the condition that supervision of erection and commissioning is
done by Seller personnel and the equipment are operated as specified in the O&M manual and as
designed for.

Services Warranty Period


The warranty period of services refers to Article 20.2 of ABB General Terms and Conditions of Sales.

Taxes and Duties


Value added tax (of 10%), and any other taxes or duties (except the custom duty for imported equipment)
of any kind are not included in our offer and shall be charged as applicable and will be to the account of
the Buyer.

Testing in Workshop
Testing during manufacturing is limited to normal routine/production testing of individual units as specified
in enclosed routine test programs which conforms to applicable IEC or IEEE/ANSI-standards. The
equipment prices quoted do not include any type-, acceptance- or special tests. In case any new or
repeated tests are required, they will be charged separately. Acceptance tests defined in General Terms
and Conditions of Sales is considered to be normal routine tests. In case test (routine or type test) needs
to be witnessed, additional charges will be applied. The equipment will be tested in Seller factories as per
standard testing procedures. Such test can be inspected and witnessed by the Buyer or his representative
on his own account, after agreement with Seller.

Validity of Quotation
This quotation is valid until 30th May 2018 and valid for the specific quantities.
