LEASE DEED

This Lease Deed is made and executed on this the 18 th day of


April, 2019 at Hyderabad by and between:

Mr.P.B.Venkatesh S/o Dr Ranga Reddy, Aged about 49 years, R/o


H. No. 8-2-676/1/A, Road No. 13, Banjara Hills, Hyderabad.

[Hereinafter called as the LESSOR, which term shall mean and


include all his legal heirs, representatives, executors, administrators,
assignees etc., on one part]

AND

M/s Guruappa Hotels Private Limited,Represented by its


Managing Director,B Chetan Anand, Aged about 52 years,Occ.
Business, R/o 2-21/4, Kannailal Complex,Indira Nagar, Gachibowli,
Cyberabad, Hyderabad – 32. ALSO AT: H. No. 1-60/30/4/136 and 1-
60/20/46/136,Anjaiah Nagar, Gachibowli, Serilingampally Mandal,
Ranga Reddy District.

[Hereinafter called as the LESSEE, which term shall mean and include
all its legal representatives, executors, administrators, assignees,
successors etc., on the other part]

WHEREAS, the LESSOR herein is the original Owner of the premises


bearing Municipal No.1-60/30/4/136 & 1-60/20/46/136 consisting of
Ground Floor plus two floors and pent house, in that the Lessor offered
to lease Ground floor admeasuring about 2300 sq. feet Inclusive room
at Pent House and front portion for parking, situated at Anjaiah Nagar,
Gachibowli, Serilingampally Mandal, R. R. District, having acquired the
same through registered sale deed dated ____________ and Vide
document no. ______________ herein after called as Lease schedule
property.

Whereas the lessee herein running his hotel business in the name and
style M/s. Guruappa Hotels in Hi-tech city area since long years.
Whereas the Lessor offered to lease the schedule property for running
Hotel Business to the Lessee and the Lessee shown interest and
accepted for entering into the lease agreement for running the same.

AND WHEREAS, the LESSEE has accepted the offer of the LESSOR to
take the schedule premises on lease, on the terms and conditions
hereinafter mentioned.

NOW THIS DEED OF LEASE WITNESSETH:

1. In consideration of rent hereby reserved and pursuant to the


covenants agreed between the parties, aforementioned and
hereinafter mentioned the LESSOR hereby convey, grant and
demise by one way of lease to the LESSEE, the schedule
premises, to have and to hold the same to the LESSEE for the
term of 10 years with effect from 1st May, 2019 on a monthly
rent of Rs.2,75,000/- (Rupees Two Lakh Seventy Five Thousand
only) for the first year and with escalation of 5% for every year
on existing rent.

2. The LESSEE shall pay an amount of _____________________

towards interest free security deposit and this amount will be
refunded by the LESSOR to the LESSEE on termination of the
Lease and after physical possession of property handed over to
the LESSOR.

3. This lease can be renewed, after completion of the agreed lease


tenure of 10 years, by both the parties on mutual consent and
upon the terms and conditions agreed between them.

4. That, the Lessee shall pay the monthly rent, fixed under this
agreement for the schedule premises to the LESSOR on or
before 10th of the succeeding month.

5. That, the LESSOR do hereby agree and undertake that he will


pay the agreed monthly rental amounts to the Lessor regularly
without any fail/default and in any event of default by the
LESSEE in paying the monthly rental amount to the LESSOR. and
said amount would be adjusted in the Security deposit.

6. That, the schedule premises is being taken by LESSEE for the


purpose of running a Hotel, Restaurant, Tiffin Centre and
Catering and supplying food to multinational and software
companies and the LESSOR has no objection for the same and
the LESSOR shall execute all such consents and documents as
may be required for the LESSEE to obtain hotel licenses and
other permissions from the authorities for running the Hotel,
Restaurant and Eating House in the schedule premises.

7. That, in the event of the LESSEE deciding to use the schedule


premises for any other commercial purposes, the LESSOR shall
not have any objection for the same and shall cooperate with the
LESSEE for executing all such documents as may be necessary
for such usage.

8. That, the LESSEE shall pay all property taxes that may be
payable to Greater Hyderabad Municipal Corporation in respect
with the schedule property.

9. That, the LESSEE shall be liable to pay all electricity charges and
water charges as per the meter installed for the premises in
question, as levied by the Electricity Department and Hyderabad
Metropolitan Water and Sewerage Board, in the course of their
business.
10. That, the LESSOR does hereby agree and undertake that he will
be responsible to clear all the disputes, queries, objections etc. if
any raised by any person or persons in regard to the title of the
landlord and or any dispute or objections raised by either the
landlord or neighbor’s in leasing the premises by LESSOR or
running the hotel business by the LESSEE herein in the schedule
premises.

11. That, the LESSOR does hereby agree and undertake that he shall
not claim the monthly rental amounts from the LESSEE during
the court litigation period, if any arises in future on account of
any third party litigation.

12. That, the LESSEE shall be entitled to make such internal


alterations and beautifications as may be necessary for running
the business of the LESSEE and the LESSOR shall not have any
objection for the same, provided the changes are not changes
which affect the structural strength of the building. Further, the
LESSOR shall not have any objection for the erection of a fire
escape or such other statutory requirements in the schedule
premises for the purpose of running the business of the LESSEE.

13. That, the LESSEE shall not Transfer, Sublet or Part with the
possession of the said building or any part thereof the lease
period.

14. That, the LESSOR shall have right to inspect the building after
giving reasonable notice to the LESSEE and the LESSEE shall
allow after a such advance notice either the LESSOR or his
agents or his workmen at all reasonable times and at the
LESSEE’s convenience and entry upon the said building to view
the condition thereto.

15. That it is further agreed between the parties that the Lock-in
period of the lease is 1 year from the commencement of the
lease and further agreed by the parties that after the expiry of
lock-in-period of 1 year from the date of commencement of the
lease, the lease can be terminated by LESSEE by giving 3
months prior notice in writing to the LESSOR.

16. That, the lease can be terminated by 3 Month notice on either


side after completion of lock-in period of 1 year. The LESSOR
should refund the deposit amount to the LESSEE before vacation
of the premises.

17. That, upon termination of determination of lease the LESSEE


shall deliver to the LESSOR vacating the possession of the
building in tenantable condition.

18. That, the LESSEE shall be responsible to pay and get repaired
the day to day breakages or damages to the sanitary and
electrical fittings during the time of occupancy.
19. That any notice which may be required to be served upon the
LESSOR shall be deemed to be sufficiently served and given if
delivered to it by registered A.D. post/renowned courier agency
or left at the address given in the Deed or change intimated to
LESSEE and duly acknowledged by the LESSEE.

20. That, the LESSEE shall maintain the schedule premises in proper
condition and shall bear the costs towards white washing,
painting of the schedule premises and all such minor repairs as
may be necessary from time to time.

21. That, in the event of the LESSEE incorporating a company or


setting up any other kind of business organization for the
purpose of running their business, the LESSOR shall cooperate
with the LESSEE and execute all such documents as may be
necessary to transfer this lease to the new entity or for
executing a fresh deed of lease in favour of the said entity for
the remaining period of the lease.

22. That the original Lease shall be kept by the LESSEE and its
attested true copy shall be kept by the LESSOR.

23. That, the LESSOR shall be responsible for paying the Service Tax
to the concerned authorities on the receipt of the rental amounts
from the LESSEE.

SCHEDULE OF PROPERTY

All that premises bearing Municipal No.1-60/30/4/136 & 1-


60/20/46/136 consisting of Ground Floor admeasuring about 2300 sq.
feet inclusive of room at pent house and front parking area, situated at
Anjaiah Nagar, Gachibowli, Serilingampally Mandal, Ranga Reddy
District and bounded by:

NORTH : Road
SOUTH : Neighbour’s plot (Jaya Reddy)
EAST : Road
WEST : Road from Gachibowli Cross Roads to Kothaguda
Cross Roads

IN WITNESSES WHEREOF, the above named parties have signed


on the day, month and year mentioned above.

today on this the 18st day of April, 2019 received an amount of
Rs.12,00,000/- (Rupees Twelve lakhs only) by way of cash from
M/s.Guruappa Hotels Pvt. Ltd., towards the interest free security deposit
in respect of sub-leasing the property namely premises bearing Municipal
No.1-60/30/4/136 & 1-60/20/46/136 consisting of Ground Floor admeasuring
about 2300 sq. feet situated at Anjaiah Nagar, Gachibowli, Serilingampally
Mandal, R. R. District, for utilizing the same for their hotel and restaurant
business as per the terms and conditions of the Lease dated
_____________.
