Unrestricted shares are the ordinary shares that you buy on an exchange. Most
shares in private companies are unrestricted as well.
The “special” shares are the restricted ones. The typically are not owned by the
acquired until certain criteria are met. A typical use case is startup or executive
compensation, where shares are given as compensation but conditional on the
employee staying a certain number of years at the company. If the employee resigns
