(“MPC”), a cooperative corporation duly organized and existing under

2. In my capacity as such, I have the custody of and has access to the

corporate papers of MPC.

3. At a special meeting of the Board of Directors of the MPC held on

_________ at its principal office, where a quorum was present, the
Board approved and adopted the following resolutions:

“RESOLVED, that the Board of MPC hereby authorizes the

corporation’s Treasurer, __________ to execute an Affidavit of
Loss for TCT No. _________ and cause the annotation of the
