The Total Cost to Compan ofered to ou is INR 3,10,368/- which includes the following:

 An annualized base salar of Fixed Components (including house rent allowance).

 You are eligible for the Performance Bonus Plan of the compan wherein our bonus pa out will depends upon the
annual performance ratngs with quarterl rests. You will be paid Festval Bonus during Diwali week to celebrate the
festval with our famil members. tther than above ou will be enttled for the bonus plans of the compan which
includes the Long Term Associaton bonus for being with the compan for a longer period; longer the duraton higher
will be the bonus.

 Provident funds contributons will be matched b the compan to the extent agreed with the members to be compli-
ant under the Provident Funds provisions.

 While ou are working with the compan , bebo ensures our good health and accordingl ou are enrolled for the
mediclaim benefts of the compan from da one. This beneft is also available for spouse and kids, in case ou opt for
it, as it is optonal for famil members.

Tax at the applicable rate shall be deducted at source from our salar .

Your antcipated start date will be April 15, 2019. Your base ofce would be in Chandigarh, India.

We are detailing below some of the signifcant terms of emplo ment and emplo ment policies that will appl to ou at bebo
Technologies Pvt. Ltd. Please ensure that ou read and full understand all the policies.

This ofer supersedes all prior understandings, negotatons and agreements, whether writen or oral, between ou and bebo
as to the subject mater covered b this ofer leter. During the term of our emplo ment with the Compan , ou will be sub -
ject to all rules and regulatons in accordance with Compan polic as applicable, enforced, amended or altered from tme to
tme.

REMUNERATION AND BENEFITS

Your annual remuneraton will be as per the schedule annexed here to and will be subject to deducton of tax at source. It
should be appreciated that salar structure is designed based on certain statutor /IT laws and keeping in line with industr
norms/practces and emplo ee feedback. Hence it is subject to change based on an of these inputs or on promoton.

Your total remuneraton package is the sum total of Base salar , Bonuses, Variable and Reimbursement mentoned below:
A) Base salary – It is the fxed component of the cost to the compan what ou get in hand on monthl basis.
B) Bonus-
1) Performance Bonus – This bonus is accrued at the end of the fnancial ear and is paid in the month of Ma (does
not come under the provision of monthl accrual or monthl deducton).
2) Diwali Bonus – This bonus is accrued on Diwali date and is paid on Diwali. (does not come under the provision of
monthl accrual or monthl deducton).
C) Variable components – These are the components of the salar which are provided to members based on the desig-
naton and level in the compan and are subject to change as per the compan policies.
D) Reimbursements – These are the components of the salar which are provided to members based on the designaton
and level in the compan . The expenditure incurred b the members on these account is reimbursed on producton of
the receipts/bills and are tax free. These reimbursements limits are subject to change as per the compan policies and
the tax laws applicable in India.

RELOCATION EXPENSES

You will be eligible for reimbursement of the expenses ou incur while relocatng from other cites as per the compan polic .
The relocaton expenses reimbursed will be recovered as a part of our full and fnal setlement, in case ou leave the com -
pan within 12 months of our joining.

NATURE OF EMPLOYMENT

Permanent

During the period of our emplo ment with the compan , ou will perform to the best of our abilit all the dutes as are
inherent in our post and such additonal dutes as the compan ma call upon ou to perform, from tme to tme. You will be
required to compl with all such rules and regulatons as the Compan ma frame from tme to tme. Further, ou will not take
up an other emplo ment or assignment or an ofce, honorar or for an consideraton, in cash or in kind or otherwise,
without the prior writen permission of the compan .

NOTICE PERIOD

Your services can be brought to an end b giving 60 da s notce or b pa ing salar in lieu of notce period of 60 da s subject
to the terms and conditons of the emplo ment service agreement however no notce and salar in lieu of notce is to be paid,
in case of breach of Emplo ment @ervice Agreement/ Non-Disclosure Agreement, maliciousl defaming the trganizaton
name, non-performance or guilt of fraud, dishonest, disobedience wilful damage to ofce propert , verbal/ph sical alterca -
ton in ofce, insubordinaton, gross negligence, indiscipline, misconduct or absence from dut without permission or an
other conduct considered b us deterrent to our interest or of violaton of one or more terms of this leter.

• You acknowledge that if ou fail to provide the minimum notce period of 60 da s as stated above, bebo is bound to
sufer substantal damages caused due to improper transiton of work, dela in completon of project, hiring and
training of our replacement as per our client.s requirements. Therefore considering the gravit of damages that could
be sufered b the compan , the compan reserves its right to assess and recover such damages from ou as it deems
ft besides damages explained in Emplo ment @ervice Agreement and/or Non Disclosure Agreement etc.

• The emplo ment ofered under this leter shall be valid untl either part terminates it b giving to the other part the
number of da s of prior notce specifed above. @uch notce ma be given at an tme during the course of
emplo ment. You are emplo ed b bebo as per terms and conditons detailed in the ofer leter.

• bebo reserves the right, at its sole discreton, to terminate our emplo ment without providing the required period of
notce, b pa ing salar in lieu of notce.

• Where ou notfed bebo of our voluntar terminaton, bebo reserves the right to accept our resignaton subject to
the pa ment of dues if an , an tme during the notce period stpulated above. You will be required to mandatoril
provide minimum notce period of 60 da s which will not be allowed to be adjusted against the un-availed paid leave

• You shall not be enttled to an salar or an benefts afer the efectve date of terminaton of our emplo ment with
bebo.

• In the event ou do not provide the required period of notce, before voluntaril terminatng our emplo ment, bebo
reserves its right to forfeit our salar as per the requisite notce period duraton. In additon, bebo will also be
enttled to adjust an amounts outstanding against ou from our salar , accrued vacaton or expense
reimbursements, as ma be legall permissible.

• You acknowledge that if ou fail to provide the minimum notce period of 60 da s as stated above, bebo is bound to
sufer substantal damages caused due to improper transiton of work, dela in completon of project, hiring and
training of our replacement as per our client.s requirements. Therefore considering the gravit of damages that could
be sufered b the compan , the compan reserves its right to assess and recover such damages from ou as it deems
ft besides damages explained in E@A etc..

• In case of breach of these Terms of Emplo ment or misconduct (which includes amongst other things failure to return
to work afer vacaton, absconding from work, taking actons injurious to bebo's business or reputaton, undertaking
fraudulent acts, obtaining a criminal convicton), bebo ma terminate our emplo ment without prior notce and
without an pa ment in lieu of notce, and all benefts shall be withdrawn with immediate efect.

• There will be no waiver of the aforesaid notce period requirements unless otherwise specifed in this leter or
subsequentl communicated to ou.

CAUSE FOR TERMINATION

In case of breach of Emplo ment @ervice Agreement/ Non-Disclosure Agreement, maliciousl defaming the trganizaton
name, non-performance or guilt of fraud, dishonest, disobedience wilful damage to ofce propert , verbal/ph sical
altercaton in ofce, insubordinaton, gross negligence, indiscipline, misconduct or absence from dut without permission or
an other conduct considered b management deterrent to organizaton's interest or of violaton of one or more terms of this
leter, and on account of reason of an of the acts or omission the compan shall be enttled to recover the damages from ou
and bebo ma terminate our emplo ment without prior notce and without an pa ment in lieu of notce, and all benefts
shall be withdrawn with immediate efect.

COMPANY PROPERTY AND CONFIDENTIALITY


You will alwa s maintain compan .s propert in good conditon, which ma be entrusted to ou for ofcial use during the
course of our emplo ment and shall return all such propert to the compan prior to relinquishment of our charge, failing
which the cost of the same will be recovered from ou b the compan .

You must alwa s maintain the highest degree of confdentalit and keep as confdental the records, documents and other
confdental Informaton relatng to the business of the compan which ma be known to ou or confded in ou b an means
and ou will use such records, documents and informaton onl in a dul authorized manner in the interest of the compan .
This includes, but is not limited to, informaton relatng to the organizaton, its customer lists, emplo ment policies, personnel,
and informaton about the compan .s services, processes including ideas, concepts, projectons, technolog , manuals,
drawing, designs, sofware package/licenses, specifcatons, and all papers, resumes, records and other documents containing
such Confdental Informaton.

INTELLECTUAL PROPERTY

All rights, ttle, and interest in and to an and all inventons, original works of authorship, developments, concepts, improve-
ments, designs, discoveries, and ideas developed or prepared b ou during our emplo ment with the compan , will vest
with the compan absolutel .

COMPANY POLICY/CODE OF ETHICS

It is imperatve for ou to go through and full comprehend bebo' Compan Polic /Code of Ethics and abide b it. This shall re -
quire ou to read the Compan Polic /Code of Ethics and signif ing our acceptance in writng or electronicall or both.

NON DISCLOSURE AGREEMENT (NDA)

It is mandator for ou to go through bebo's NtN DI@CLt@URE AGREEMENT (NDA) and abide b it. This shall require ou to
read the NDA and signif ing our acceptance in writng at the tme of joining. Breach of NDA will lead to terminaton of ser -
vices.

DISCLOSURE AGREEMENT

You confrm that ou have disclosed full to the Compan all our business interests whether or not the are similar to or in
confict with the business (es) or actvites of the Compan , and all circumstances in respect thereof and whether there is, or
might be, a confict of interest between ou or an immediate relatve, an such interests or circumstances which ma arise
during our emplo ment.

INSIDER TRADING

Please note that during the period of our emplo ment with bebo, ou will be strictl required to follow guidelines regarding
insider trading and that will require compliance with U.@. @ecurites laws, including but not limited to not sharing of non-pub -
lic informaton about bebo or an of its Clients or afliates that ma trigger insider trading violatons, with an bod , including
spouse and famil .

ABSCONDING CLAUSE
If ou are absent without approved leave for 5 consecutve da s or remain absent be ond the period of approved leaves or
subsequentl extended, the same shall be considered as ou having voluntaril terminated the emplo ment and have caused
securit threat which leading to initaton of acton as per the terms and conditons of emplo ment, as well Emplo ment
@ervice Agreement and/or Non Disclosure agreement.

LEAVES

You will be enttled to leave, holida s and other benefts as per the Personal Time tf polic of the compan as amended from
tme to tme.

TRAVEL

You ma be required to travel on compan work and ou will be reimbursed expenses as per the compan polic .

PLACE OF WORK

• You ma , during our emplo ment with the Compan , be considered for emplo ment or assignment at an other work
place/branch/division of the Compan within India or in an other countr where the afliates of the Compan do
business. Decisions for such transfers, which ma be for short duraton or of a long-term or permanent nature, will
depend on our suitabilit for the intended task and other relevant factors. In the event that such a transfer is
requested b the Compan , ou will be required to report for dut at the new place of work from the efectve date
communicated to ou in this regard. You will be required to compl with all such rules and regulatons as the
Compan ma frame from tme to tme. Further, ou will not take up an other emplo ment or assignment or an
ofce, honorar or for an consideraton, in cash or in kind or otherwise, without the prior writen permission of the
compan .

• Members are expected to adhere to all roles, relatonships, and responsibilites in a professional manner. We expect
that during our travel and/or sta , ou should compl with all standards of conduct and should abide b the law of
land.Please note that the trganizaton will not be responsible in case the member found indulged in an actvit
which is against the law of the land.

WORK SHIFTS

Please note bebo ma require ou to work in shifs as determined b business needs. Reasonable efort will be made to give
ou advance notce of such shif changes to minimize an inconvenience to ou. Your work tmings ma var according to the
shif assigned to ou and ou will be enttled for shif allowance as per the “@hif Working Polic ”.

EMPLOYMENT RESTRICTIONS

Your emplo ment is conditonal upon our not being emplo ed simultaneousl , whether full tme or part tme with an other
organizaton, person or entt . In the event ou opt to become a partner in a partnership frm or a Director on the Board of
an Compan , ou are required to seek prior writen approval from Management. bebo will have the sole discreton to ap-
prove or disapprove such a request based on NtN DI@CLt@URE AGREEMENT (NDA) and other internal guidelines for deciding
such requests.

BACKGROUND CHECK

Your appointment is subject to the verifcaton of our credentals and other partculars mentoned b ou in our applicaton
at the tme of our appointment. If the partculars given b ou are in an wa found to be inaccurate or misleading, our em-
plo ment shall be deemed to be automatcall cancelled and our services will be terminated. If required, bebo ma also con-
duct client specifc background checks regarding ou afer the commencement of our emplo ment, in the event that a bebo
client requires background checks to be conducted as an eligibilit conditon for working on projects for such client and if ou
are stafed / are to be stafed to an such project. In the event an client prescribed background checks are to be conducted,
ou will be required to cooperate full in the exercise and disclose the relevant informaton required from ou for successfull
completng such background check. Based on the results of such background check, bebo reserves the right to withdraw our
stafng on such project, or to take disciplinar acton against ou as appropriate.

DOCUMENT SUBMISSION

You are solel responsible for the setlement of an and all dues, fnancial obligatons and notce periods (collectvel , “Dues”)
owed to our previous emplo er(s). In additon to the documents listed in Annexure C, ou must submit the “relieving leters”
from our previous emplo er(s) at the tme of joining, or within 30 da s of joining bebo. In case ou fail to submit our “reliev -
ing leter(s)” to bebo, ou must provide bebo with a writen explanaton, which ma be accepted or rejected b bebo, in its
sole discreton.

You further agree that, at all tmes during our emplo ment with bebo and an tme thereafer, ou will indemnif and keep
bebo indemnifed against an judgement, loss, liabilit , damage, claim, or cost that ma be incurred b bebo, whether directl
or indirectl , arising out of or in connecton with our non submission of the relieving leter(s) from our previous emplo er(s)
or for non-pa ment of our Dues to our former emplo er(s). In the event an such claim is made against bebo, or if the ex-
planaton provided b ou for non submission of the “relieving leter(s)” is found to be unsatsfactor , bebo reserves the right
to take appropriate acton against ou including, but not limited to, terminaton of our emplo ment.
