1 Introduction

1.1 Advanced Insulation Ltd.

Advanced Insulation Ltd., based in Quedgeley, Gloucestershire specialises in the manufacture and
supply of unique phenolic resin based syntactic foam insulation and fire protection systems.
Advanced Insulation (AI Ltd.) was formed in 1993 to manufacture and supply materials to the
energy, transport, defence and space industries.

Advanced Insulating Contracting (AIC) was formed in 2009 to meet the requirements of the industry
for rapid response solutions to fire protection issues.

1.2 ContraFlex® PFP Jackets

In order to provide 60-minute jet fire protection, AIC propose the supply of their ContraFlex® flexible
demountable jacket systems. AIC routinely use these types of jacket to supplement their rigid
ContraFlame® PFP system for areas where maintenance access is required, and have introduced
their own range of jackets for this application. Custom design of jackets can be undertaken to meet
varying client requirements and project specific testing and certification provided if appropriate.

AIC products are now accepted by oil companies including Total, ConocoPhillips, Chevron, BP,
StatoilHydro, ONGC, ENI, Woodside, BHP Billiton, Talisman, BG, Nexen and ExxonMobil.

1.3 System Applications

ContraFlex® systems have been extensively used on a variety of applications, namely:

 Offshore Oil & Gas Production


 Hot Operating Process Vessels, piping valves, actuators and ESDV valves, and riser pipes
 Removable protective covers for all types of equipment requiring fire protection and/or thermal
insulation.
 Slug Catchers & Separators
 Junction boxes and circuitry
 Cable trays, conduits, instrument lines and junction boxes and circuitry
 Air receivers
 Bulkhead, localised protection and Manways

1.4 ContraFlex System Schematic

AIC passive fire proofing systems are marketed under the brand name ‘ContraFlame®’ and
‘ContraFlex®’.

1.5 The Project

The specific environmental requirements of the project with regards to the passive fire protection
materials are detailed at Section 2.1 of this tender.

DSSB (Dyna Segmen Sdn. Bhd.) has a requirement to fireproof the process equipment detailed at
Table 3.1 and has requested that AIC tenders a proposal for the supply and application of a suitable
passive fire protection material for the project.

The purpose of this document is to confirm AIC’s commercial proposal for the services requested
based upon the known scope of work. The requirements stipulated for the project are detailed at
Section 2.0 of this tender.

2 Client Specification

The DSSB requirements for the passive fire protection of the equipment have been presented in the
following documents:

2.1 Environmental Design Parameters

The assumed design parameters for this work have the following salient points.

This quotation is based on the required jetfire duration and the maximum steel temperature of the
equipment after the required fire exposure time.

The AIC work scope will cover all activities necessary to complete the passive fire protection of the
specified components. This includes but is not limited to the procurement, manufacture and delivery
of materials (FCA AIFZE, Jebel Ali, Dubai, Incoterms 2010 unless specified otherwise), engineering
design of fire proofing components, tooling and equipment, provision of labour and application of
materials to the process equipment.

4 Process Equipment Fire Proofing Description

4.1 Wafer Check Valves, ContraFlex® PFP Jackets, Items 1-6, Table 3.1

The installation of the fire proofing materials shall be undertaken by DSSB personnel.

The environmental service conditions for the equipment are detailed at Table 2.1 above.

The fire proofing thickness to be applied is 36mm nominal of ContraFlex® PFP jacket as detailed
elsewhere in this proposal.

A site survey is not necessary so long as DSSB are able to provide 3d models of the wafer check
valves requiring protection. If 3d models are not available, a site survey will be needed. AI’s price for
a site survey has been included at Section 8 on a day rate basis.

It is expected each process equipment item will be fire proofed in campaigns as detailed at Section
8.

In order to optimise the design of the PFP jackets, it is recommended that a site survey be
undertaken to examine the wafer check valves and to ascertain where the various control elements
of the equipment are going to be placed. A site survey is offered on a day rate basis. This limitation is
in place as access conditions and availability of valves for survey are currently unknown. The price is
stated in table 8.1. It is understood that the site survey would take place offshore Malaysia at each
of the 9 offshore platforms. Transport from onshore Malaysia to the platforms and between
offshore platforms will be provided at no cost to AI.

The production of the materials FCA AIFZE, Jebel Ali, Dubai, Incoterms 2010 is 6-8 weeks from
acceptance of a purchase order.

The ContraFlex® PFP jackets are offered on a material and supervision only basis with installation
being undertaken by DSSB personnel.

6 Packing and Shipping

AIC has not included for any packing of the process equipment post fire proofing. Where the
equipment was originally delivered to AIC in a packed condition, AIC will endeavour to re-use the
original packing materials where the addition of the passive fire proofing material will allow it.

AIC has included for shipment of the fire proofing materials and equipment on the basis of FCA
AIFZE, Jebel Ali, Dubai, Incoterms 2010. Even where AIC is requested to apply fireproofing materials
to process equipment outside of the UK, it remains DSSB’s responsibility to ship the fire proofing
materials and equipment to the site. Past experience suggests to AIC that this is the most reliable
and cost-efficient manner as DSSB will be involved with shipping far greater equipment
requirements than AIC and will have a proven system in place. Where this is not the case AIC will be
prepared to ship where specifically requested by DSSB however this will be handled on a cost +15%
basis.

Whether AIC ships on an FCA AIFZE, Jebel Ali, Dubai, Incoterms 2010 or to site on a cost +15% basis it
is expressly stated here-in that all import duties, customs clearance and associated taxes into
offshore Malaysia are excluded from the quotation.

7 Proposed System

7.1 Passive Fire Proofing Material – ContraFlex® PFP Jackets

ContraFlex® system we are proposing will consist of a multi layer format, as follows:

ContraFlex® outer cover:


 Coated or impregnated silica and fibreglass fabrics finished according to operating conditions.
The cover is designed to withstand environmental exposure – temperature, weather, marine
conditions

ContraFlex® Jet fire resistant composite layer:


 The system provides jet fire resistance for up to 60 minutes. Hydrocarbon pool fire ratings can
also be accommodated.
 The system incorporates a stainless-steel mesh layer (grade SS304)

ContraFlex® insulation material:


 Various insulation materials can be used to ensure the correct thermal insulation characteristics
required by the application are met.

ContraFlex® fastenings:
 Easy to remove yet resistant to environmental exposure and tampering
 Jacket wired and riveted with high temperature Velcro outer cover

ContraFlex® system weight:


 ContraFlex® @ 36mm pfp jacket applied does not exceed 12.0 kg/m2.

in the photo below. (note: all joints system are tested in the ISO 22899 JF test)

7.2 Application Procedures

ContraFlex® application/installation procedures are available on request.

8 Pricing

All prices are quoted in $ US Dollars. The bid is budgetary and is valid and open for acceptance for a
period of 30 days from the date of the bid.

The shipment terms are FCA AIFZE, Jebel Ali, Dubai, Incoterms 2010.

The prices are inclusive of all UK sales taxes and export duties (none presently applicable). For the
sake of clarity, it is confirmed the prices exclude all Malaysian import duties, customs clearance
charges and taxes including VAT, GST and other similar sales taxes. Similarly, the prices also exclude
any other UK/Malaysian taxes of any type including but not limited to With Holding Tax or similar
taxes, duties and levies.

All labour costs for the provision of supervision/application labour are excluded from our quotation.

A site survey is offered on a day rate basis. This limitation is in place as access conditions and
availability of valves for survey are currently unknown. The price is stated in table 8.1. It is
understood that the site survey would take place offshore Malaysia at each of the 6 offshore
platforms. Transport from onshore Malaysia to the platforms and between offshore platforms will
be provided at no cost to AI.

Where the work is being completed in a disturbed region, such as West Africa, and/or where the AIC
personnel will be housed in accommodation on a secure work site, the cost of accommodation is
excluded. Such accommodation will be provided by DSSB at no cost to AIC.

Upon acceptance of this offer the prices shall remain fixed for the duration of the contract providing
the schedule does not extend beyond the bid validity plus the lead-time stipulated at Item 5.0
Schedule.

The above prices assume a single fire proofing campaign for all equipment.

The potential variations/extras rates apply for variation order requirements and stand-by time
incurred as a result of DSSB action or requests. Where personnel are held on standby in the UK the
rate labour rate shall reduce to $750.00 per man day.

The application service included in the prices is all inclusive including for subsistence,
accommodation and out of pocket expenses.

8.2 Payment Terms

The AIC offer is made on the basis that the following payment milestones are agreed:

100% Irrevocable L/C prior to procurement of raw material and production.
Site Services
50% upon confirmation of travelling date and proof of air ticket
50% 30 days from invoicing date upon completion of site services.

Where longer fire proofing campaigns are concerned, invoices will be raised monthly according to
the amount of application work completed in any given calendar month according to the milestones
listed above. Where large projects are concerned, invoices will be raised according to individual
work packages commenced within the larger scope of work.

8.3 Time Rates – Additional Work and Stand-by Charges

The prices quoted at Table 8.1 are specific for the Advanced Insulation Contracting assumed work
requirements for the delivery of the project to the client. Where the client insists upon extended
testing or engineering the individual rates quoted at Table 8.1 remain applicable.

Where the scope of work associated with Table 8.1 Work Package 1 is concerned any additional
work of stand-by charges incurred will be chargeable at the rates quoted in Table 8.3

8.4 Technical Qualifications

This offer is made with the following administrative qualifications/clarifications:

 The design proposed is based upon the information supplied by DSSB. It is assumed that all
relevant outstanding design information will be made available prior to contract award.
 AIC has calculated the volume and thickness of passive fire proofing material based on the
extent of fire protection required and design criteria as stipulated by DSSB.
 The finished cosmetic appearance will be fit and proper for the job of fire proofing.
 The material is considered pre-qualified and unless specifically stated, no project specific
qualification testing has been allowed for in the prices. The technical parameters to which
the material has been tested is detailed in the enclosed Technical Specification. Any further
testing required by the project may be conducted at extra cost.

8.5 Operational / Site Work Qualifications

This offer is made with the following operational/site work qualifications/clarifications:

 No blast cleaning, painting or other surface preparation has been included for.
 For the application of passive fire proofing at a client or third-party site, AIC has assumed a
covered work area, appropriate numbers of storage containers and all power and utilities
will be provided by others at no cost to AIC. The replacement cost of materials lost through
the use of inappropriate containers or by a failure to secure the materials at site will be
chargeable to the clients account.
 AIC has assumed that all materials and equipment for the complete contract scope of work
can be delivered containerised/palletised at the beginning of the work and can be stored
securely at the worksite for the duration of the project, if required, at no cost to AIC.
 All AIC supplied application equipment is in effect ‘hired’ to the client for the duration of the
works and ownership is retained by AIC unless specifically stated otherwise at Table 8.1.
 AIC has assumed site assistance on client or third-party sites in the form of labour and/or
vehicles/cranes for the movement of plant, equipment and materials around the site will be
provided at no cost to AIC.
 It is assumed the client or its third-party contractor will provide a secure working and
storage area for all AIC personnel, materials and equipment.
 Airborne nuisance dust is a by-product of cosmetic finishing. No allowance has been made
for constructing dust enclosures. AIC does not believe such enclosures are necessary.
 AIC has not allowed for the disposal of waste or scrap materials (including packaging) at
client or third-party sites.
 AIC has assumed man-lifts, staging and/or scaffolding as necessary to complete the work will
be provided by the site operator at no cost to AIC.
 AIC has assumed the equipment will be delivered to the insulation work area in a pre-agreed
sequence, condition and position and that necessary handling equipment will be provided at
no cost to AIC.
 Breaks in a previously agreed continuous working period, whether for a specific equipment

 AIC proposal is based upon working for a continuous period until the fireproofing works are
completed. Thus weekend working is required in most situations. Where for local, national
or international legislation, this is not possible, AIC will charge standby time for the non-
working period. AIC personnel have opted out of any and all European Working Time
Directives.
 For a client dictated break in a previously agreed continuous working period of greater than
one week between consecutive fire proofing activities and out with the original schedule
presented in Table 5.1, AIC reserves the right at its own discretion to return personnel and
charge mobilisation/demobilisation rates.
 Should passive fire proofing materials require removal and subsequent replacement due to a
fault not of AIC making costs will be chargeable for both the labour costs in removal and the
reinstatement. Material charges will be made for all fire proofing applied.
 Where a differing scope of work is requested a variation will only be applicable when the
change requires greater quantities of material and/or labour over and above that already
included.
 For site applied insulation AIC proposes its standard in process test and inspection
procedures which include visual inspection checks.

8.6 Commercial Qualifications

This offer is made subject to the following commercial qualifications/clarifications:

 AIC confirms that this Quotation Number AICENQ-1718-0140-2 contains confidential


information including subject matter that is pending and/or covered by patent approval.
 Where the quoted price at 8.1 is stated to be budgetary, the budget prices make allowance
for the predicted project schedule to ensure accuracy is maximised.
 The quoted prices are in $ US Dollars. AIC will not accept contracts or payments resulting
from any contract in any other currency unless specifically agreed in writing with Advanced
Insulation Contracting in advance.
 AIC confirms that all information and data issued to DSSB is done so on a strictly confidential
basis and must not be divulged to any other party without the prior written permission of
AIC.
 This offer is made in accordance with AIC standard conditions of sale, a copy of which is
available upon request.
 AIC has included in its prices overheads such as project management, administration, quality
assurance, safety administration, engineering, procurement and documentation costs. Thus
the price may be deemed fully inclusive except where stated specifically in this proposal.
 Any meetings required by the client shall be managed by telephone conference as the AIC
project management team will be based in UK/Dubai. Where as part of this proposal AIC has
agreed to attend project meetings at client or site premises, the agreement will be detailed
at Section 8.
 The prices quoted are based on the assumption that AIC will supply fire proofing services for
the total project scope quoted. The scope of work may not be increased or decreased
without agreement with AIC regarding the impact of the modification on the proposal
pricing and scheduling.
 AIC has not allowed for any packaging of the equipment following completion of the
insulation application.

 Performance Bonds, Bank Guarantees and Parent Company Guarantees will not normally be
provided.
 No liability for consequential loss can be accepted howsoever caused.
 In respect of Vendor’s (AIC) maximum aggregate financial liability obligations and
responsibilities shall not exceed one hundred percent (10%) of the Contract Amount.
