DEED OF DECLRATION OF PUBLIC CHARITABLE TRUST

THIS DEED OF DECLARATION of 'PUBLIC CHARITABLE TRUST is executed on the .......Day of April 2021

AND WHEREAS the trustees have also accepted the trust fund as stated above :

AND WHEREAS it has become necesary to declare the objects and terms of the 'PUBLIC CHARITABLE
TRUST

Now THIS DEED OF DECLARATION of the 'PUBLIC CHARITABLE TRUST WITNESS as under :

1. name of the trust shall be PRAGYAN FOUNDATION' abbreviated as PRAGYANAM' withpower to the
Trust to change the name of the Trust if the Trustees so decide and its office shall be for the present at
Sector - B. Pocket - 5 & 6. Flat No. 4507, VasantKunj New Delhi - 110070 to and at such other place or
places as the trustees hereinmay decide from time to time.

2. The first trustees of the trust shall be :Mr,........................ son of shri ....................................... &

3.Mr. Vikas Kumar shall be the Managing Trusee ' (Chairman & Chief Executive)who shall be in charge of
the day to day affairs of the trust.

4. The 'Managing Trustee is empowered to co-opt the trustees and fix the terms of their appointment

5. The Board of Trustee shall ordinarily consist of not less than three and not more than nine members.

6. Managing Trustee Mr.Vikas Kumar singh second and third Trustee shall hold office for life..•
7. Mr. Vikas kumar Singh shall be the 'Managing Trustee' (Chairman & Chief Executive)for life and after
him 'Ms...................................shall be the:Managing Trustee' (Chairma). Chief Executive) for life.
'Managing Trustee' during his life time shall name thesuccessor to the 'Managing Trustee' and en his
failure to do so. may be appointedby the 'Board of Trustee' for lite. The 'Manacling Trustee' shall act as
Chairmanand preside over all the meetings of the Trust. The 'Managing Trustee' shall be the'Manager'
and 'Correspondent' of the Trust. 'Managing Trustee' may co-opt maximum six Executive trustees and
assign special powers to them The term of co-opted 'Executive Trustees' will be decided by 'Managing
Trustee'

8. The 'Managing Trustee' shall have power to administer the funds cf the Trust and any power
exercisable by the 'Board of Trustees' as maybe delegated to the'Managing Trustee'

9. The 'Managing Trustee' shall have overall power of superintendence over the affairsof the trust and
shall have in particular. the power to operate the bank accounts,borrow monies for the trust and carry
out the objects of the trust.

10. Proper ccounts forthe trust shall be kept at the office of the trust.

11. The initial contribution of Rs.04.000/- made by the author of the trust shall herebyvest in the
'Trustee's' and shall constitute the albal trust fund.

12. .The trust fund may be augmented by the income from the initial fund and also bydonation and
other contribution from time to time.

13. Tne funds of the trust shall not be aplied for any purpose other than the object of thetrusts stated in
para 19 below.

14. . The 'Trustees' whose termof office expires atter the period of two years are eligible to be co-opted
as 'Trustees'again by the 'Managing Trustee'. The 'Trustees' may resign from Trusteeship before the
expiry of the term of their trusteeship.

15. The 'Trustees' for the time being may reimburse themselves and pay and dischargeout of the Trust
Funds or money in their hands all expenses incurred in or about the execution of the of the trust powers
of those presents.

16. If the Trustees are engaged in any other profession or business he or his firm shall be entitled to
charge for his professional sevices to the trust otherwise than in hiscapacity as trustees including all
profits costs and charges inspite of the fact that heshall be a trustee.

17. It shall be lawful for theTrustees at any time if they so desire to transfer and handover the trust fund
to the trust of any other institution which may take upon itself the duties of adminstering and
declaration as those appearing and contained in these present subject to modification including the
modifictions of the power of appointment of NEW TRUSTEES or of the class of beneficiaries as may be
necessary due to the said I rustees of such other institute or institution becoming or agreeing to become
the trustee or trustees of the said Trust Fund.
18. The Trusts shall be and remain irrevocable for all the time and the Settlor hereby declare that he has
released relinquished. disclaim and determine all rights or powers if any which the Trust Fund and
investment for the time being representing the same or the Income thereof TO THE INTENT that the
Trust Fund may by provisions,covenants, conditions. agreements and declarations contained in these
presents tothe entire exclusion of the Settler and of any benefit to him by contract or otherwise

19. The objects of the trust are as under:

(I) To undertake health education employment and socio- economic activities by setting up small/
medium/ large Hospitals with all latest medical facilities, educational institutions, vocational training
centres etc. in various parts of the country.

(ii) To promote establish, develop institutions for the disabled, to provide foreducatron food and
clothing to them.

(iii) To promote. establish, run and maintain hospitals, dispensaries, diagnosticcentres. multi purpose
community centres for the poor and downtrodden/aged/ sick/ helpless/ widows and indigent persons.

(iv) To promote and establish. run and maintain educational institutions. non-formal education
centres. vocational training institution for ladies and people belongings to poor and weaker section of
the society.

(v) To work for upliftment and empowerment of women.

(vi) To work for alleviation of poverty, untouchability and other social evils.

(vii) To work for gettng social justice for poorer. weaker and downtroddensection of the society.

(viii) To work for national integration and to promote communal harmonybetween different
relogrons and sects

(ix) To work for community development particularly in rural areas.

(x) To work for conservation a natural resources such as water. minerals. etc

(xi) To donate to similar institutions having similar objects

(xii) To establish maintain Dharmsnala Rest Houses. Hostels and constructparks and other institutions
as they shall in their uncontrolled discretionthink Ill, lor the benefit of general public.

(xiii) To grant scholarships and stipends to students belongings to institutionsor any school or college
for or of tried studies wenn India or outside India.
(xiv) To establish, maintain and grant aid to institutions for developernent ofhealth and physical
development

(xv) To help widows, orphans and indigent persons and to give reliof to thepoor and distressed Al
such place or places as the I rustees may think fit.

(xvi) To construct, erect and maintain wells, tanks, bodges, bathing ghats.cremation grounds and
improve and maintain grazing grounds for the use of thy public.

(xvii) donate. provide and/ or drstnbute articles of daily use and neurssiresfee, life such as food,
clothings, books. medicines etc amongs the poorend victims of natural calamities such as famine,
epidemics, fire, flood.ealitiquake. etc.

(xviii) To renovate or to repair any such temple, mosque, gurdware, church orother places which is
notified by the Central Government in the officialgazollu to be of historic. a:etiological or artistic
importance or to be aplace of public worship or renown throughout any state or states

(xix) To uplift basic health standards of the rural masses particularly ofScheduled Castel Scheduled
totes/ Backward classes/ Weaker Sectionby providing free rnedica advice distributing medicines free of
cost andorganising free medical camps, promoting small family norms and Population control.

(xx) To organise workshops on 'Rural Education' w populanse educationamong the rural mass and
setup camps for 'Adult Education'.

(xxi) To develop and promote 'Ow cost hot.sing design suitable for rural areasin order to expedite
shelter upgradahon of the weaker section and toconstruct low cost houses for weaker sections with the
help of Government/ Internabena' Agencies/ ttLIDCO etc

(xxii) To activate community development by constructing low cost environmentlatrine for every
family 8 Community t atrine Complex in every GramPanchayat with the Net of the Government/
International Agencies underthe scheme of 'Providing minimum needs of the people

(xxiii) To popularise low cost Deenbandhu Model Bio-Gas Plants designed byAFPRO win> the help o!
the Government / International Agencies.

(xxiv) To establish library in every Panchyat.

(xxv) To execute various development works being planned by variousGovernment/ Semi


Government? Public Sectors/ International Agenctes/other Organisation in Rural and Urban Sector VI7
Housing. Urban BasicServices Environmental Upgradation of Stunts Sanitation. Tourism.Regional
Rattling, Area Development etc.
(xxvi) o propogate, popularise, implement the various schemes/ programmes/arms and ObjeCtS of
'Rhode and Wage Industnes Commissions' in ruralaroas of thu society.

(xxvii) To upgrade "National Environment Awareness Compaign" to checkprofligate use of natural


resources in tronment pottutior and hazardousactivities.

(xxviii) To do plann ng and formulation of 'ENVIRONMENTAL UPGRADATIONOF SLUMS PROJECT" of


various profile of town independently or in association wen other agencies/ Government for
imptemntation by itself.riaarloaaY assisted by Government or Internationa agencies other bodies, •in
this particular field.

(xxix) To assist the Government In impiemonbng Environment Protection Plans.Liberation and


Rehabortabon of Scavengers of medium and small townsaccording to a "TIME BOUND PROGRAMME

splendid spectrum of dere and fauna and plan replantationof all specde to cover up the entire land as is
popular today.

(xxxv) TO suggest no Government/ International Agencies/ other organisation,unable programmes for


establishment of national parks, biospherereserves and sanclunes.

(xxxvi) to propagate Plantation of Medicinal Trees in every family in rural areas as it functions as
natural insecticide.

(xxxvii) To undertake appropriate activity to allevsate the economic and social status of the social
Minority. Weaker and backward sections of the society.

(xxxviii) To encourage various measures for the welfare of women and childrenand to motivate
women, graduates and students towards social development
(xxxix) To attempt to bridge the gap between rich and poor.

people belonging to diverse caste. religion classand cultural background through creating awareness by
different informaleducation methods viz audio vsual shows) seminars/ padyatra/ education
-communication materials( performing various arts events etc. andmanaging rehabilitation. social
economic and medical support to peopleaffected by nots.

(l) To organise vocational guidance Camps. discourses, impart training indifferent Income generating

their produce

enterpreneurship actmtes suitable to them

(liii) To inculcate among the youth a sense of adherence to disciplined way oflife. Nationalism,
Seculansm. Communal Harmony. habits of cleanlinessand personal hygiene. hazards of being infected by
deadly disease eg.AIDS, Cancer. TB. Leprosy etc and help them in forming spurts and health.- clubs to
promote conciousness to better health.

(liv) To provide youths a substantial information regarding avenues ofemployment including self-
employment to make their living butter andInfluence their attitude towards social evils like dowry caste
bias.untouchabilly. communalism. etc.

(lv) To encourage field studies. exchanged ideas and views and to organiseconference. lectures.
seminars. workshops. exhibitions and festivals forexchange of artistic ideas and technques of various ail
forms forenrichment of various schools of arts and forms. viz. fork music, dancesfine arts etc and take
up steps for revival of the tribal arts artefact already extinct

(lvi) .To carry on research in the field of Rural Development. Low CostEnvironment Santtaion. Bio-Gas
and various applied social research

(lvii) To impart naming to engineers sanitary inspectors. beneficiaries and otherfor the diffusion of
our Innovation how cost environment sanitaion.forestation, Rio-Gus. Literacy programmes etc) in rural
and urban areas.

(lviii) To explore the possibilities of extendiing the activihos of the 'TRUST' indifferent countries of all
continents & paniculnrly neighbouring contrieslike Nepal. Sri Lanka. Bangladesh. Singapore. Maldives
etc. with duepermission of the respective Government/ Departments.

(lix) To ben* NGO partners In developed countries for undertaking projectsof global unporatnce linty.

(lx) To seek remission as per laws/ rubs governing NGO actutes on foreign land
(lxi) To open branch offices in foreign countries wherever necessary with the same name and with the
same object as defined in the 'Aims & Objectsof Trust of 'MANAV PREM SANSATHAN'

establishing a branch of the -must- in a developed andor developing countiy.

constitutional rights

it, of information relating to the law

(lxxiv) To improve the access of the community, and any section of it, to legal services

(lxxv) To carry out, encourage and support any act, matter or thing which is or may be incidental or
conducive to any of the above objects or which may be conveniently done in connection therewith.

20. I he Trustees shall Invest the properties and money of the Trust in such manner asprescribed under
Sec 11 of the Income Tax Act. 1961 or any other equivalent sectionof Income Tax law aplicable from
time to lime. and other statutory laws or as applicablefor time to time.
21. The Board of Trustees shall meet as often as necessary and their proceeding shallbe •eicased
regularly in the 'Minutes Book' to be retained for the purpose.

22. The 'Managing Trustee' may open and operate current saving or deposit or otheraccounts with any
by resolution authorise any one or more of the Trustees eithersingly or jointly or severalty to operate on
such accounts.

23. The Board may by resolution extend the aarvities of the trust or undertake any activityin furtherance
of the main object of the trust.

24. Proper books of accounts shah be maintained of the Trust and shall be auci:ed by aChartaed
Accountant The Accounting year of the Trust shall end on 31st March.each yeah

25. To do such other lawful things as are me/dental in carrying out the administrationand management
of the trust.

26. The trustee may frame rules and regulations as to the duties and responsibilites ofeach Trustee to
appoint sub-committees mode of conduction any other mattersconnected with the administration of
the Trust and its management.

27.The 'Managing Trustee or his nominee or any other Trustee if so authorised by the*Managing
Trustee' shall have the custody of as me documents, deeds of tee relanonin the properties and
investment, and the becks of account and other records relatingto the Trust and shall be responsible for
the preservation of the same.

28. The general management and control of the trust for the purpose of managing the trust affairs and
properties (with may include any business undertaking) and carryingout the objects of the trust
aforesaid shall be vested in the trustees and withoutprejudice to 7e generakty of the objects and powers
mentioned herein. for the purposeof attaining and / or carrying on all or any of the objects specified in
paragraph 1above, the trustees shall have power to do the following acts and deeds'

(a) To accept volutary donations or contributions in cash or kind from the settle(the members of his
family or any other person or concren whatsoever on suchterms and conditions as the trustees may in
their absolute discreation think fitand proper,

(b) To borrow, lend and/ or otherwise deal with the moneys or progenies belongingto the trust and to
give security or take security in connection with the saiddealings or acts.

(c) To construct alter or keep in repair from time to time to building or otherimmovable property
belonging to the turst

(d) To make. accept endorse, discount, execute and issue promissory notes. billsof exchange and
other negotiable or transferable instruments

(e) To invest moneys of the Trust not immeeately requred for the purpose in suchsecurities, stocks,
shares, bends or other investments or grant loans with orwithout security to or in any concern as may
from time to lime be determinedupon and vary the same from time to tune as may seem expedient at
theundettered discreabon of the Trustees.

(f) amalgamate this trust with any other trust having similar objects or to getother trust having similar
objects amalgamated with this trust with prior sanctionof the BOARD.

(g) To adjust. settle, compromise compound, refer to arbitration all actions.-Nicearns demands and
proceeding regarding the trust properties or affairs.

(h) ) To appoint Of make provisions for the appointment or any person ( including allor any of the
trustees) committee or Administrator or Managing Trustee orotherwise for the purpose of the
administration of the trust in such manner andsubject to such rules and regulations as the trustees may
prescribe arid also toappoint or provide for the appointment of separate trstees to hold any propertyOr
any fund or investmentes subject of the trusts of this teed' in such mannerand subjCet to such rules and
regulations as the Trustees may decade.

(i) To make. vary. alter or Modify schemes. ruleS and regulations for carrying outthe objects of the
trust and for the management of the affairs thereof and forrunning any institutions in furtherance of the
object of the trust and/ or othenvissfor giving effect to the objects of the trust.

(j) To set apart the whole or part of the income of the corpus or part thereof for anyof the objects of
the hats.

(k) To appoint committee of management for any of the society or institutiton ororganisation run
bythe trust. The members of scar committee of management neednot be the Trustee of the Trust The
memehers of such committee of managementshall hold office during the pleasure of the 'Managing
Trustee' of the Trust.

29. The Trustees shall be chargeable only for such moneys stocks, shares and fundsas shall actually come
into their hands and shall not be answerable or accountablefor neglect. default acts or commission or
commission or =emission of the othertrustees or any Bankers or other peson with whom the Trust
properties or anysecurities may have been deposited or handed over unless caused by their
willfulneglect or default.

30. Notice of the meeting of the liuslees and all communications maybe sent to theTrustees at their
registered horne tor the time being in the records of the Trust.

31. All meeting of the Trustees shall be neld a: such place Of places as the Trustees forthe time being
may from time to tune decide.

32. A trustee who is unable to be present at a meeting of the trustee may send his viewon the agenda in
writing and such expression of opinion shall be taken to be his voteon the matters convened.

33. The minutes of the preceding of every meeting of the IltlataaS shall be in a 'MinuteS ;•Book' to be
kept for that purpose and signed by the Chairman of such meetthaorofthe following meetings when
they aro read over and shall when so recorded andsigned by conclusive evidence of the business and
other matters transacted at suchmeeting.

34. Three trustees snail form a quorum for meeting of the Trustees if number is morethan five and if less
than five. twoform will be the quorum.

35. Thu Trustees shall be entitled to frame and from time to time alter, amend and add tosuch rules and
regulations for the purpose of carrying out the objects of the Trustand for its proper administration as
they think lit PROVIDED 1-10VVFVFR noalternation. amendment of addition to such rules and regulation
shall be made weptat a meeting at which ail the trustees are present and with the consent of the
majorityof the Trustees.

36. Should any of the property belong ng to the Trust Fund On auquwed by the Governmentor any other
public body or bodies the Trustees shall be entitled to withdraw thecompensation allowed in respect
thereof and to invest the compensation money insuch manner as they shall think fit.

37. The Trustees shall keep of cause to be kept proper books el account where n shallbb kept an account
of the Trust Fund receipts and disbursements and shall appointa Chartered Accountant to be the auditor
of the Trust Fund and shall have the accountsaudited by the sad auditor once at least every year.

38. trustee shall cease to be 41 trustee if he absent himself from the meeting of theTrustees for more
than 3-mvulings without sufficient wawa and in such case anotherTrustee shall be appointed in his place
by the 'Managing Trustee'.

39. he Trustee o' Trustees of these presents for the time being may reimburse himselfor themselves and
pay and discharge out of the trust fund or money in their hands allexpenses incurred in connection with
the execution of the obtects of the Trustaccording to the powers under these presents The trustee, wit
not be however.entitled to receive any remuneration for their services as tr Jstees.

40. Rules may be framed for the proper administration of the trust, but such rules shallnot be against
the objects of the trust as in clause 19 above.

41. For the removal of doubts it is hereby declared that this trust. Its objects and itsimplementation shall
not be for the benefit of any particular caste or religto103-:community as such

42. The 'Board of Trustees' shall havo the power to acquire immovable or movableproperties for the
ti..ist and likewise The power to sell. lease or montage or otheiwisedeal with such propeties.

43. The Board of Trustees shall meet as often as may be necessary or convenient totransact business I

44. The funds of the trust shall be invested in Bank Deposits. Government bonds orsuch other
appropriate security as the 'Managing Trustee' may decide.

45. The hoard shall have power to borrow monies for the purposes of the trust from anyScheduled
Bank/ Multi-National Bank) Put. Bank/ Corporate bodies! Non•BankingCorporation/ Individual etc
46. Without prejudice to the generallity of the provisions contained aoove the Bored ofTrustees may
also empower the 'Managing Trustee' to represent or act for the trustin any matter concerning the
properties, funds. Investments borrowings and themaking or canCeation of any instruments for any of
these purposes

47. The 'Managing Trustee' may authorise any of the Trustees to act on his behalf andto operate (lank
accounts. etc

48. he trustees shall havo power to accept donations in money or otherwise for thepurpose of this
trust.

49. The 'Managing Trustee' shall have power to appoint personnel to organise andpromote the objects

50. All acts end prom:dings of the trusts shall be taken and conducted in the name ofthe trust.

51. Any vacancy in the office of the Trustees or the absence of any of the Trustees fromtown will not
invalidate any act done or Resolution passed by the remaining trusteesin the meeting provided there is a
quorum.

52. The Trustees shall be enticed to execute and grve mutual power or powers of attorney.authorising
the other or other of them to act for tne person or person so giving the-•power in all matters connected
with the Trust

53. The receipts granted by any one of the Trustees for any moneys. stocks. funds.shares. securities or
investments paid. delivered or transferred to tho Ti ust in exerciseof the powers hereof shall effectually
release and discharge the person personspaying delivering or transfering the same therefrom and horn
seeing or from beingbound to the application thereof or being answerable for the loss of misapplication
there of.

54.Any Conveyance, Mortgage. Reccnveyance. Lease or any other deeds. documentsand assurances
whatsoever may be signed, executed and registered by any twotrustees or more of the trustees as
maybe, authonsed 'Managing Trustee' or by aresolution of the Trustees in that behalf and such
conveyances mortgage.reconveyances. lease or other deeds, documents and assurance so signed by
anytwo or more of the trustees shall be deemed to be signed. executed and registeredby or on behalf of
all the Trustees for the time being.

55. The Trustees may at anytime wind up the Fund provided nil the Trustees agree tosuch winding up
and in such a case the Trustees shall realise all securities andprepare and/ or complete the accounts of
the Fund and other payment of all costsand expenses of winding up of the fun° they shall distribute and
or donate/ fundsand:Of assets remaining in their hand among such chantable exert:bon or
Institutionsand in such Proportion as they may think ft and proper.

56. To organise meetings, consultations, conference and seminars to encourageinteragency and


inter.personal communication to make voluntary action more effective
57. To conduct truining courses in various discipheners for different cadre of workers ofvarious
development organisations and to publish books. periodicals, reports produceslides films etc on any
related to the objective of the Trust

58. To liaise with the government. banks and credit institutions. other bodies national orinternational
whose association and support are beneficial to development actionfor tne Trust of for and on tenetf of
other agencies.

59. To engage and remove professional. specialists consultants experts and other cadreof workers and
to pay them remunerabon, honoranum and other benefits.

60. To collaborate with the agencies/ Institutions and carry on the work of the I rust in co-operation with
or through thorn

61. To accept funds in the form of loans. grants or donations in cash or kind on its own ;•behalf of other
agencies from the Government. Industrial and Business houSes in ,,,,,.1 )India and/ or International
Agencies and to utilise these funds to provide greet &,,,,,subsidies and finance in any form to institutions
and agencies needing assistancefor their programme/ projects related to the objectives of the society.

62. o purchase, lease, hire. exchange or otherwise acquire any movable or immovableproperty
anywhere in India and also to acquire existing institutions suited for theobjectives of the trust and to
sell, lease. mortgage, dispose of exchange. Improvemanage develop. invest, withdraw. reinvest and
otherwise deal with any stocks.shares, bonds, moneys securittes. all kinds of movable or immovable
property foror any of the above objects es for which the trust is established.

63. To make such regulations and implement Neel in respect of the control of the fundsand properly of
the trust as they may deem proper To Invest guarantee, secure anddeal with the money of the trust as
may from time to time be determined

64. To establish and support or aid in the establishment and support of associations,institutions, funds
and trust established for the benefits of the community whoseobjectives are in general conformity with
the objectives of the trust.

65. To pay all costs. charges expenses of an incldental nature 01 the pro motion. formation.registration
and estabishment of the trust and to pay remuneration to any person forservice rendered to or
rendered in the interest of the society for the acheverrent ofthe obtectrees of the trust

66. To institute conduct. detente. submit to arbirtation. compromise or abandon anyLegal proceedigns
by or against the trust. its office bearers and staff in the businessaffairs of the trust.

67. lo determine the manner in which bills. note. receipts. cheques. releaSes. contractsand documents
which shall bo signed or executed by or on behalf of the trust.
68. to raise or borrow any sum or money from time to time, at the discreatton for thepurpose of the
trust and to secure the repayment of such moneys in such mannerand upon such terms and conditions
in all as they think fit.

69. To accept any gat or donations to purchase lease or otherwre acquire all articlesand properties
