DEED OF ABSOLUTE SALE

KNOW ALL MEN BY THESE PRESENTS:

This DEED OF ABSOLUTE SALE is entered and executed into

by:

CARMEN MATIAS and MARIO MATIAS JR., of legal ages,

Filipinos, widow and married respectively, with residence and postal
address at Cordon, Isabela, Philippines, hereinafter referred to as
the VENDOR;
 
-AND-
 
       MARILYN P. SOMERA, Filipino, of legal age, married, with
residence and postal address at Purok 5, Camarin, Bugnay, Diadi,
Nueva Vizcaya, hereinafter referred to as the VENDEE.

WITNESSETH, That-
 

       WHEREAS, the VENDOR is the registered owner of a parcel of

land Lot 26, Pcs-(af)-02-00264 (AR) containing a total area of
THIRTY NINE THOUSAND ONE HUNDRED TWENTY ONE
(39,121) Sq.m., more or less, ;

WHEREAS, out of THIRTY NINE THOUSAND ONE HUNDRED

TWENTY ONE (39,121) Sq.m., only FOUR HUNDRED TWENTY
NINE POINT FIVE SQUARE METERS (429.5 Sq.m.) is the subject
of this sale;
 

WHEREAS, the Vendee offered and bought half of the land

described in Lot17 of LOT 26 Pcs-(af)-02-00264 (AR) , with an area
of FOUR HUNDRED TWENTY NINE POINT FIVE SQUARE
METERS (429.5 Sq.m.) more or less, with the purchase price of
EIGHTY-FIVE THOUSAND PESOS to which the vendor accepts the
offer;

       
       NOW THEREFORE, for and in consideration of the sum of
EIGHTY-FIVE THOUSAND PESOS (PHP85,000.OO) Philippine
Currency, hand paid by the vendee to the vendor, the VENDOR DO
HEREBY SELL, TRANSFER, and CONVEY by way of Absolute Sale
unto the said VENDEE, her heirs and assigns, the certain parcel of
land together with all the improvements found thereon, free from all
liens and encumbrances of whatever nature including real estate
taxes as of the date of this sale.
