A. Contracts
- Definition of contracts: Article 1305, Civil Code

- Defective contracts: Rescissible, Voidable, Unenforceable and Void

FACTS:

ABC owned a commercial building with several tenants. The building was
constructed on a land located at Brgy. Muzon, Taytay, Rizal with an area of 2,000
sq.m. as evidenced by TCT NO. 2015-0000987. Due to pandemic, ABC decided to
offer the property for sale. XYZ came to know about it and wanted to buy the
property. Portion of it will be used by XYZ as office of his staff who will supervise
the operations of the building.

Choose a client you wanted to represent – ABC or XYZ, then prepare a


Contract to Sell between ABC and XYZ, and an Employment Contract
between ZYX and its newly hired employee. Supply the details which you think
may be necessary to protect your client.

B. Agreements (Prepare a -

Memorandum of Agreement (“MOA”) - a formal business document outlining


the terms of the agreement entered into between two separate entities, groups or
individuals who agreed to work together on an agreed upon project to meet and agreed
upon objective.

Non-Disclosure Agreement (“NDA”) or Confidentiality Agreement – an


agreement which creates a legal obligation to privacy or a confidential relationship
between a person who holds some kind of secret and a person to whom the secret will
be disclosed.

Indemnity Agreement – is one where a party to the contract agrees to pay the
costs and liabilities associated with a certain event. It reduces the liability for unforeseen
damages or losses i.e those arising from legal claims or actions, which might take place
during a transaction or engagement.

Shareholders’ Agreement or Stockholder’s Agreement - an arrangement


among a company's shareholders that describes how the company should be operated
and outlines shareholders' rights and obligations. This ensures that shareholders are
treated fairly and their rights are protected.
