MEMORANDUM OF AGREEMENT
KNOW ALL MEN BY THESE PRESENTS:

This Memorandum of Agreement (hereina er “Agreement”) is made and entered on 15 May

2021, in the City of Manila, Philippines, by and between:

CINEMAGIC a company registered with the law of the Republic of the Philippines, with postal
address at PRD Building, 107 E. Rodriguez Jr. Ave., C-5 Road, Barangay Ugong, Pasig City,
represented by its EXECUTIVE PRODUCER, LILIANA GONZALES;

and

CRIBS SCHOOL, an non-stock, non-pro t educa onal ins tu on registered under the laws of the
Republic of the Philippines, with address at 905 San Marcelino St., Ermita, Manila, represented
by its VICE PRESIDENT FOR COMMUNITY EXTENSION SERVICES, ANDRES SEPULVEDA.

WITNESSETH THAT:

CINEMAGIC, which is engaged in the business of commercial video produc on, was selected by
CRIBS SCHOOL to produce the Audio Visual Presenta on for its Community Services Funding
Campaign to be launched during CRIBS SCHOOL’s 50th Founding Anniversary to be held on 30
July 2021, at the CRIBS Alumni Center;

CINEMAGIC commits to deliver the following goods on 15 June 2021 at the O ce of the Vice
President for Community Extension Services, CRIBS School, Manila, pursuant to its formal
quota on a ached herewith and made integral part hereof as Annex “A”:

CRIBS SCHOOL shall pay the total amount due to CINEMAGIC on or before 30 lune 2021 and
CINEMAGIC shall immediately issue the corresponding o cial receipt or sales invoice regarding
this transac on under the name of CRIBS SCHOOL.

 Termina on of the Memorandum of Agreement

1. Grounds - Any me a er the execu on of this contract, this Agreement may be terminated
at the instance of ANY OR BOTH PARTIES hereto or by reason of default described
hereunder without prejudice to any other rights or remedies it is en tled under this
Agreement and applicable law.
2. Events of Default - Each of the following events shall cons tute a valid ground for default:
a. Any failure, neglect or inability on the part of either of the Par es to comply with
any of the terms and/or condi ons of this Agreement; and
b. Any misrepresenta on or breach of warranty made in connec on herewith and
proven to have been incorrect or misleading as of the me it was made.
3. Procedure - Termina on of this Agreement shall be by service to the other party of a
wri en No ce of Termina on, which shall take e ect ten (10) days a er receipt of said
wri en no ce.

En re Agreement
This agreement contains the complete understanding of both par es and may not be amended,
supplemented or varied except by an instrument in wri ng signed by both par es. The validity
and e ec vity of this agreement shall be governed by the Laws of the Republic of the
Philippines.

Dispute Resolu on and Venue of Ac ons

In case of dispute, the par es will try to se le it amicably before resor ng to other legal
remedies. Exclusive jurisdic on over and venue of suits arising from this Agreement shall be
with the proper courts of the City of Manila to the exclusion of other courts or tribunals.

The Par es herein warrant that they have read and understood this Agreement and bind
themselves to its full and proper execu on.
