Dear Mr. _______________________,

This refers to your offer to sell to me fresh fish and other seafood products (“Products”)
consisting of various types of fish depending on the catch. As we have previously
discussed, you shall sell to me the Products subject to the terms and conditions below.

b) When I am sufficiently satisfied of your compliance with the above, I shall give
you a second Advance Payment of Six Hundred Thousand Pesos
(Php600,000.00) which you use to organize a crew of at least 40 members for
the fishing vessel.

c) When I am sufficiently satisfied of your compliance with a and b above, I shall

give you the last Advance Payment of Four Hundred Thousand Pesos
(Php400,000.00) which you shall use to purchase other equipment and supplies
needed for catching fish.

2) Delivery Schedule. You shall start to deliver to me the Products starting thirty (30)
days after the release of the First Advance Payment and complete the delivery of the
Products not later than twenty (20) days thereafter or fifty (50) days from the date I
gave you the First Advance Payment. The value of the Products to be delivered
should be equivalent to the total amount of P1,400,000.00 which I paid. The value of
the Products shall depend on the kind of fish available and shall be determined upon
delivery of the Products. The Products shall be delivered at the place mutually
agreed upon.

2) 交货时间表. 您应在发布第一笔预付款后三十 (30) 天开始向我交付产品, 并在此后不迟

3) Payment of Principal and Interest. In the event that you failed to delivery to me the
Products within the schedule indicated above, or if the Products delivered were
below the agreed weight, you agree to pay back either (i) the principal amount that I
advanced or (ii) the difference in value of the Products you delivered and the amount
I advanced, within thirty (30) days from scheduled delivery date above, including
interest at the rate of ten percent (10%) per annum of the unpaid amount until fully
paid.

Products if the same were not fresh or unfit for human consumption.
