ACKNOWLEDGEMENT OF ASSIGNMENT AND CHARGE FROM THE LESSEE

To: ___________________________. as security trustee (the "Security Trustee")

Dear Sirs,

1. _________________________, Inc. doing business as ___________________ (the


"Lessee") acknowledges receipt of a notice (the "Notice") of a security agreement
dated ___________________ 2019 (the "Security Agreement") between the
Assignor as assignor and the Security Trustee as security trustee for and on behalf of
itself and certain other parties in respect of, inter alia, all of the Assignor's right title
and interest, present and future, in the Lease Agreement between the Lessee and
Assignor.

2. Terms and expressions defined in the Notice have the same meanings when used
herein or, if not defined therein, in the Lease Agreement.

3. We hereby confirm:

(a) we shall be bound by the terms of the Notice and this Acknowledgement and
shall act in accordance with the instructions set out therein (including, without
limitation, in paragraphs 3, 5 and 6 thereof);

(b) we have not previously received written notice of any other assignment or
security interest whatsoever in the Lease Agreement; and

(c) with effect from the date hereof and for the duration of the Lease Agreement
we shall, unless otherwise notified in writing by the Security Trustee, cause
the Security Trustee to be named as a "contract party" under any certificate(s)
of insurance and reinsurance and broker's letters of undertaking issued from
time to time pursuant to the Lease Agreement and shall ____________., as
agent and _______________________, as an additional insured for all
purposes under any such certificates, together with any other person(s) who
are from time to time notified to us by the Assignor as being "Financing
Parties".

4. In consideration of the covenants given by the Assignor and the Security Trustee to
the Lessee in the Notice and for other good and valuable consideration, the receipt
and sufficiency of which the Lessee hereby acknowledges, the Lessee hereby
irrevocably agrees as follows:

(a) at all times following receipt from the Security Trustee of an Enforcement
Notice (the accuracy of which the Lessee is not required to verify), the Lessee
shall pay to such account as the Security Trustee may direct all Rent,
Commitment Fee, Additional Rent and other amounts (other than Excepted
Payments notified in accordance with the Notice) from time to time payable
by the Lessee under the Lease Agreement and observe and perform all terms
and conditions of the Lease Agreement in favour of the Security Trustee;

(b) at all times following receipt from the Security Trustee of an Enforcement
Notice (the accuracy of which the Lessee is not required to verify), the Lessee
shall not recognise the exercise by the Assignor of any of its rights and powers
under the Lease Agreement unless and until requested to do so in writing by
the Security Trustee and agrees that all rights, powers, authorities, discretions
and remedies which the Assignor may at such time have under or in
connection with the Lease Agreement but for the Security Agreement, shall be
exercised by the Security Trustee in accordance with the Lease Agreement;

(c) until receipt from the Security Trustee of an Enforcement Notice (the accuracy
of which the Lessee is not required to verify) the Lessee shall be entitled to
rely on and shall act in accordance with any notices or instructions provided
by the Assignor; and

(d) it will not use or operate the Aircraft or allow the Aircraft to be used or
operated in breach of any applicable laws or in a manner causing Assignor or
the Financing Parties to be in breach of any applicable laws or sanctions
issued by the State of Registration,  the United Nations, the United Kingdom,
the United States or the European Union (or its individual member states).

5. This Acknowledgement, and all non-contractual obligations arising from or connected


with it, shall be governed by the laws of England.
