FORM OF TENDER
for the PHASE 1 (EARTHWORKS AND ROADWORKS)
for the BATUTA CHEMICAL INDUSTRIAL PARK
1. We, the undersigned, offer to contract for and complete the whole for the Phase 1 (Earthworks and
Roadworks) to the proposed Batuta Chemical Industrial Park in accordance with the Tender Document
to the entire satisfaction of the Project Manager for the sum of Rupiahs
________________________________________________________ (Rp. __________________) inclusive
of Value Added Tax (PPN), this amount being the total shown in the Final Summary of the Bill of Quantities.

2. We undertake to commence the Work on the Commencement Date named in the Letter of Award and
complete within ___________ calendar days of the Commencement Date.

3. We confirm that we have visited the site and that we fully understand the site conditions and the whole of the
Tender Document, that we are prepare to comply with all of the provisions stated therein and that the Tender
Sum allows for the whole of the Works.

4. We agree to abide by this tender for a period of 90 (ninety) days from the date of submission of the tender and
agree that it shall remain binding on us and may be accepted at any time before the expiry of that period.

5. We agree that unless and until a Formal Agreement is prepared and executed, this Tender together with

Annex A

SPECIMEN OF TENDER GUARANTEE.

To: PT Batuta Chemical Industrial Park

We refer to the invitation from yourselves (hereinafter the “Beneficiary”) to . . . . . . . . . . . . . . . . (hereinafter the
“Tenderer”) requesting the Tenderer to submit a tender for

We further guarantee to deliver the money to the Beneficiary immediately available funds at your designated
bank account, without the necessity of previous judicial or administrative process and without obligation on the
part of the Beneficiary to bring proceedings of any nature or make any demand upon the Tenderer.

We hereby waive all rights granted to us as guarantor under Article 1831 of the Indonesian Civil Code and shall
not be affected by (and we hereby waive notice of) any changes to the conditions of the Tender.

This Letter of Guarantee shall take effect as from the date of submission of the Tender and shall expire at the
end of our usual business hours at the request for payment ninety (90) calendar days thereafter, this date being

Commerce (ICC) Uniform Rules for Demand Guarantees, publication No. 758 and with the laws of the Republic

Annex B

SPECIMEN OF ADVANCE PAYMENT GUARANTEE

To: PT Batuta Chemical Industrial Park

We refer to the agreement between yourselves (hereinafter the “Beneficiary”) and . . . . . . . . . . . . (hereinafter the
“Contractor”) as formalised in the Letter of Award dated . . . . . . . . . . . . . . . . . and in the Contract Document
subsequently executed (hereinafter the “Contract”).

Whereas the Contractor is bound to submit to the Beneficiary a Letter of Guarantee for an amount not exceeding

by the Contractor to the Beneficiary under the terms and conditions of the Contract in immediately available
funds at Jakarta, upon your first written demand presented to our office (hereinafter referred to as the “office for
payment”) accompanied by a written certificate signed on behalf of the Beneficiary stating that the Contractor has
failed or refused to fulfill his obligations under the Contract.

We further guarantee to deliver the money to the Beneficiary immediately, without the necessity of previous
judicial or administrative process and without obligation on the part of the Beneficiary to bring proceedings of any
nature or make any demand upon the Contractor.

We hereby waive all rights granted to us as guarantor under Article 1831 of the Indonesian Civil Code and shall
not be affected by (and we hereby waive notice of) any variations to the Works, amendments to the Contract,
extensions of time for performance, release of retention or other securities, other concessions or waivers granted
by you to the Contractor for the performance of his obligations, and/or any other concession or waiver by you of
any right or remedy you may have against the Contractor.

The amount of this Letter of Guarantee may be reduced corresponding to the amount reimbursed to the
Beneficiary by the Contractor under the terms and conditions of the Contract, upon presentation to ourselves of a
written statement from the Beneficiary stating the amount of the Advance Payment recovered.

This Letter of Guarantee shall take effect as from the issuing date and shall expire at the end of our usual

However, this Letter of Guarantee shall become invalid once the full amount of the Advance Payment has been
reimbursed to the Beneficiary by the Contractor.

Commerce (ICC) Uniform Rules for Demand Guarantees, publication No. 758 and with the laws of the Republic
of Indonesia.

Annex C

SPECIMEN OF SURETY BOND (PERFORMANCE)

Certificate pursuant to the Conditions of Contract.

Republic of Indonesia.

Annex D
PROGRAMME AND METHODOLOGY

The Tenderer shall submit with the tender under a detailed bar chart programme showing the sequence in
which the work will be executed and the duration of the Works.

The Tenderer shall submit with the tender a simple bar chart programme showing the sequence in which
the work will be executed and the duration of the Works.

The Tenderer shall submit with the tender a written methodology statement, illustrated by graphics,
describing how the works will be carried out so as to achieve the earliest completion date for the Works.

QUALITY ASSURANCE

The Tenderer shall submit with the tender a fully comprehensive Quality Assurance Plan explaining in
detail how the Works will be carried out fully in conformance with the drawings and specification.

HEALTH AND SAFETY
The Tenderer shall submit with the tender a fully comprehensive Health and Safety Plan explaining in detail
how construction work will be organised.so as to eliminate all recordable events.

Annex K
COMPANY PROFILE

The Tenderer shall submit a company profile with the following information.

1. Business License
2. Latest financial statement or annual report to show the company’s financial status 3. Strength of
professional and technical support of the company, including (i) company structure and staff organization,
(ii) number and experience of key staff, (iii) availability of construction plant 4. Proposed organization chart /
structure in respect of the management, labour resources, programming, coordination, quality control, etc.
to the proposed Work.
5. Relevant previous experience in similar project (including project names, time and scale of projects,
client's names, contract values, etc.) in other areas within the territory of Indonesia. 6. A list of projects
currently in progress (including project names, time and scale of projects, client's names, contract values,
etc.) in Jakarta and other areas within the territory of Indonesia or other Countries.
7. Implementation plan for (i) Quality Assurance and (ii) Site Safety
8. Summary of industrial accident reported with fatal and/or body injury in the past five years 9. Summary of
unsettled contractual claims currently logged including brief description of their nature.
Arrangement of post-completion maintenance services to respond the required making good works during
the defect liability period.
