- Exterior Finish: Black Clad (LPC approved)
- Glazing: Double pane insulated Energy efficient glass with Low-E coating and Argon filled
- Hardware: Satin taupe lifts and locks
- Screens: Half fiber glass screens
- Grids: Simulated divided lites with spacer bar
- Panning: Landmark panning

SCOPE OF WORK
Labor:
All labor on this project shall be non-union and directly employed by Adler Windows (no sub-contractors).

Demolition:
Existing windows are to be demolished. All rubbish is to be removed and discarded by Adler Windows.

Installation:
All units shall be installed per Manufacturers’ specifications. New units are to be installed into existing master frames. New units are to be
anchored, and insulated as needed and sealed on the exterior with Sonolastic NP-1 or equal.

Materials Included in Proposal:


This proposal includes all materials used in the normal installation of windows including fasteners, mullions, sealants (caulking), etc.

All work is to be completed in a substantial workmanlike manner according to specification submitted above, per standard practices and full
terms and conditions. Project Pricing is valid for 30 days and is based on specification and counts listed above. Any differences in
specifications, size, installation method or other pertinent information, may result in varied pricing. All materials are guaranteed under
manufacturer warranties. All labor is guaranteed for a period of 1 year from date of installation, unless otherwise specified in this Proposal.

TERMS AND CONDITIONS
1. Balance of Contract Sum shall be paid upon substantial completion of specified work unless explicitly defined in payment terms.
2. All costs and pricing included in this agreement represent discounted cash prices. Adler Windows accepts credit card payments, however credit card pricing is an additional 3%. If you
elect to use a credit card for all or a portion of your payment, please note the 3% additional credit card cost for the portion of payment allocated to a credit card.
3. WITHIN TWO WEEKS’ notification to the Client by Adler Windows, the Client will allow access to install the above order, and in the event that the Client will not be able to provide
access within that period, 90% of the contract price will become due and a storage charge for the finished products will be imposed.
4. Any obligations by third parties to pay Balance does not impact this agreement nor the Client’s obligation to pay, in its entirety, the Balance of the Contract Sum.
5. Unless otherwise stated above and in addition to any manufacturer’s warranties implicit in this Agreement, Adler Windows will guarantee its installation for a period of one year post
substantial completion. Warranties may not be in effect unless the Project is paid in full.
6. Preparation of Work Area by Client:
a. Client is responsible for advance preparation of and access to work area, including but not limited to: removing all window treatments (draperies, shutters, blinds, etc.), window
air conditioners, fans, window alarm systems, furniture, area rugs, fragile objects and any other items that may blow over/off from gusts of wind. Work area is defined as five feet
in all directions from window/door. Adler Windows shall not be responsible for the re-installation of any of the above mentioned items.
b. Adler Windows shall be responsible for protecting work area by protecting floors with drop cloths and/or other protective coverings. Client is responsible for touch up, plaster
repair or other interior finish work that may be necessary after installation. Where property is under construction, any damage done to windows after installation by others can
be repaired by Adler Windows as additional work and will be charged accordingly.
7. Adler Windows shall take all due care not to disturb/damage wires or cables interfering with Work Areas. Any damage shall be the responsibility of the Client.
8. Unless otherwise specified herein, Adler Windows is not responsible for the supply and/or installation of child guards, the cost of hoisting materials or erecting and maintaining a sidewalk
bridge.
9. Unless otherwise specified herein, Adler Windows shall pay for all labor, materials, tools, equipment, transportation, and other facilities necessary to complete the work.
10. Adler Windows shall maintain such insurances that will protect the Client from claims under Workers Compensation which may arise from operations under this contract whether such
operations are by Adler Windows, its employees, subcontractors or anyone directly or indirectly employed by Adler Windows or its subcontractors.
11. Adler Windows shall maintain such liability insurance as will protect the Client from claims resulting from neglect or omissions upon the Client’s premises. Adler Windows carries
general liability insurance with blanket additional insured coverage on ISO form CG 2037 0704. Certificates of insurance detailing this coverage will be provided on Acord 25 form. In
the event an entity requests to be scheduled as additional insured by endorsement onto Adler Windows’ general liability policy, Adler Windows will charge said entity $400.00. Should
there be more than one entity requiring to be named as additional insured, and the insurance carrier is unable to issue a single endorsement scheduling all entities, the Client will be
responsible for the full cost of said endorsements.
12. Claims for errors cannot be considered unless made promptly upon receipt of product. Customer shall immediately inspect all product upon their arrival and, if found improper, short or
damaged, shall immediately file a claim and give written notice to Adler Windows within two (2) days from receipt of product. Adler Windows shall have the option of repairing or
replacing any such product for which it might be responsible. Failure to give notice shall constitute waiver by customer of any claim on this agreement.
13. Client is responsible for obtaining any necessary permission required for work to be done. If such permission is denied, Adler Windows shall be entitled to reimbursement for all of its
costs incurred to date, and if such costs are less than or equal to the deposit, Adler Windows shall retain from the deposit an amount necessary to compensate Adler Windows for its costs.
14. Cancellation of this contract in part or its entirety, if desired by customer and approved in writing by Adler Windows, will obligate customer to provide payment for any work completed
and/or anticipated work. Said payment will include any anticipated profits, but, in any event, shall not be less than 10% of the full contract price.
15. Adler Windows will not be responsible for delay or failure to deliver due to strikes, lockouts, material shortages, governmental restrictions, weather conditions or other causes beyond
Adler Windows control, and our time to perform or deliver shall be extended at our option, for a period equivalent to the delay from any such cause.
16. Delivery schedules are subject to factory conditions existing at time of receipt of final approved drawings and all manufacturing information. Adler Windows will not release fabrication
of any materials covered by this agreement until each of the following conditions are met: a) a complete set of contract plans, drawings and specifications have been delivered to Adler
Windows (if applicable); b) all shop drawings submitted by Adler Windows have been finally approved by the authorities whose approval is required; c) Adler Windows has received all
necessary information required for manufacturing including, but not limited to: all unresolved design issues, finish paint selection, hardware selections and finish, verified field dimensions,
templates, sealant color or any information from other trades or suppliers which affect or are related to Adler Windows work or materials; d) Adler Windows has received the required
deposit (if required) per the payment terms outlined in this agreement, e) If material needs to hoisted or boomed, Adler Windows will not be responsible for hoisting nor booming of
units, if required.
17. If Adler Windows performs on this contract and is not paid, Adler Windows may have a claim against the Client, which may be enforced against the property in accordance with the
applicable lien law. In the event of nonpayment, Adler Windows shall also be entitled to reimbursement of its costs and associated attorney’s fees.
18. Price is based on the job being released for production within 60 days of receiving this agreement. Jobs that are released for production after 60 days from receiving the order are subject
to price escalations.
19. Accounts overdue more than 30 days will be subject to a service charge of 2% per month. Adler Windows reserves the right to hold material on any account over 15 days past due until
the account is current. Payment for services and/or materials stored at Adler Windows facility or at the jobsite will be Net 15 days after invoice. If rental storage space is required, the
customer shall be responsible for payment of storage charges.
20. If at any time during the course of the construction, the Client defaults in any payments to be made hereunder, Adler Windows may elect to terminate the agreement and recover from the
Client for the work already completed, for materials ordered and a reasonable profit there from.
21. Adler Windows will not accept any back charges or claims for payment of work done by others unless such work has been authorized by Adler Windows in writing prior to its
commencement. Adler Windows liability for payment of any back charges will be limited to customer’s actual costs incurred. Adler Windows will not be responsible for customer’s
overhead, profit or general cost of business expenses on said back charges.
22. If required Adler Windows will provide shop drawings (one set of revisions included, additional revisions due to design changes may incur additional charges) for approval by the
Architect, Contractor, and/or any other involved parties whose authority is required for approval. It is the responsibility of the approving authority to thoroughly review the shop drawings
for accuracy, compliance with design intent and specifications and to provide all information necessary to fabricate the material in accordance with the job requirements. The final
approved shop drawings received by Adler Windows shall be deemed to be the correct interpretation of the work to be performed.
23. Adler Windows is legally required to deposit all payments received prior to completion in accordance with subdivision 4 of Section 71A of the Lien Law. In lieu of such deposit, Adler
Windows may post a bond or contract of indemnity with the Client guaranteeing the return of proper application of such payments to the purpose of the contract. Upon commencement
of work, Adler Windows may start applying charges against customer’s deposit.
24. Adler Windows reserves the right to correct clerical errors in extensions or totals.
25. No verbal understandings. There are no oral or verbal understandings outside this agreement.
26. On April 22, 2008 the Environmental Protection Agency (EPA) issued a rule regarding the use of lead-safe practices and other activities aimed at preventing lead poisoning. Under this
rule, beginning on April 22nd, 2010, contractors performing renovation, repair, and painting projects that disturb lead-based paint in homes, schools, and child care facilities built before
1978 must be certified and follow specific work practices to prevent lead contamination. Adler Windows is an EPA Certified Firm (NAT-23980-1). In addition, Adler Windows is
required to present you with the EPA pamphlet Renovate Right, which is enclosed with this Proposal. You can also download the pamphlet from
http://www.epa.gov/lead/pubs/renovaterightbrochure.pdf. Your signature below acknowledges your receipt of the pamphlet either enclosed or separately.

ACCEPTANCE OF CONTRACT: I have read and understand my obligations under the Terms and Conditions above. The prices, specifications
and conditions outlined above and attached hereto are satisfactory and hereby accepted. Adler Windows, is authorized to do work as specified.

NOTICE OF CANCELLATION

YOU MAY CANCEL THIS TRANSACTION WITHOUT ANY PENALTY OR OBLIGATION, WITHIN THREE (3) BUSINESS DAYS FROM THE DATE OF
ACCEPTANCE.

IF YOU CANCEL, ANY PROPERTY TRADED IN, ANY PAYMENTS MADE BY YOU UNDER THE CONTRACT OR SALE, AND ANY NEGOTIABLE
INSTRUMENT EXECUTED BY YOU WILL BE RETURNED WITHIN 10 BUSINESS DAYS FOLLOWING RECEIPT BY THE SELLER OF YOUR
CANCELLATION NOTICE, AND ANY SECURITY INTEREST ARISING OUT OF THE TRANSACTION WILL BE CANCELLED.

IF YOU CANCEL, YOU MUST MAKE AVAILABLE TO THE SELLER AT YOUR RESIDENCE, IN SUBSTANTIALLY AS GOOD A CONDITION AS WHEN
RECEIVED, ANY GOODS DELIVERED TO YOU UNDER THIS CONTRACT OR SALE; OR YOU MAY IF YOU WISH, COMPLY WITH THE RETURN
SHIPMENT OF THE GOODS AT THE SELLER’S EXPENSE AND RISK.

IF YOU DO MAKE THE GOODS AVAILABLE TO THE SELLER AND THE SELLER DOES NOT PICK THEM UP WITHIN 20 DAYS OF THE DATE OF YOUR
NOTICE OF CANCELLATION, YOU MAY RETAIN OR DISPOSE OF THE GOODS WITHOUT ANY FURTHER OBLIGATION. IF YOU FAIL TO MAKE THE
GOODS AVAILABLE TO THE SELLER, OR IF YOU AGREE TO RETURN THE GOODS TO THE SELLER AND FAIL TO DO SO, THEN YOU REMAIN LIABLE
FOR PERFORMANCE OF ALL OBLIGATIONS UNDER THE CONTRACT.
