CERTIFICATE OF AUTHORSHIP

Reference is hereby made to that certain audio-visual production featuring Miley Cyrus
recorded on or about May 31, 2012 (the “Work”) for which the undersigned rendered services as a
musician. For good and valuable consideration (the receipt and sufficiency of which is hereby
acknowledged), I hereby acknowledge and agree that the Work shall be deemed to be specially
ordered and commissioned by Smiley Miley, Inc. (“SM”) as a work made for hire for SM as defined
in the United States Copyright Act (as amended). Accordingly, I hereby further acknowledge, agree
and certify that SM is and shall be deemed the author and/or exclusive owner of the Work for all
purposes and the exclusive owner throughout the universe of all the rights of any kind in and to the
Work, including, without limitation, the copyright(s) therein and any renewal or extension rights in
connection therein, and that SM shall have the right to exploit (or to refrain there from) any or all of
the foregoing rights in any and all media, now known or hereafter devised, throughout the universe,
in any and all configurations, and in perpetuity.

To the extent that the Work is not deemed a work made for hire, and/or to the extent that
SM may be deemed not to be the owner thereof in any territory of the universe, I hereby
irrevocably assign and transfer the Work to SM, together with the copyright and all other rights
in and to it, perpetually and throughout the universe. I will, upon request, execute and deliver to
SM such additional documents as SM may deem necessary to evidence and effectuate SM’s
rights hereunder, and hereby grant to SM the irrevocable right as my attorney-in-fact to execute,
deliver and record in the United States Copyright Office, or elsewhere as otherwise required, any
and all such documents if I should fail to execute same.

I further hereby grant to SM the right to use and publicize my name in connection with
SM’s use and exploitation of the Work, including, without limitation, use of such name in the
form of a credit in connection with the distribution, exhibition, and exploitation of the Work.

I hereby represent and warrant: (a) that I have the right and power to enter into and fully
perform this agreement and to make all representations and warranties contained herein; and (b)
that no element of the Work supplied by me, nor the use or exploitation thereof by SM, shall
infringe upon or violate any copyright, right of privacy and any other right of any person or other
entity.

SM’s rights with respect to the Work may be freely assigned and licensed, and any such
assignment or license shall remain binding upon me and inure to the benefit of any such assignee or
licensee.

IN WITNESS WHEREOF, I have signed this Certificate effective as of May 31, 2012.
