Article 1.

1.1 The Seller shall be responsible for transportation, storage, and transfer costs from shipping
point to delivery location which is agreed in Article (x)
1.2 The Seller shall be responsible for any export duties and taxes outside Vietnam.[p1]
Article 2. Quality of the product
2.1 Goods specifications
2.1.1 All goods supplied by the Seller shall be in good quality and shall be supplied strictly
following quantities, specifications, and standards required by the contract.
- Category: Sugar Loaf Line
- Country of origin: Canada
- Manufactured before November 2020
2.1.2 The Goods shall be delivered to the Buyer with a remaining shelf life of eighty percent
(80%) of the total shelf life and in no case less than twenty-four (24) months.
2.1.3 The Goods must be bottled in single new transparent glass bottle of half-liter each. The
Seller shall be borne for any expense for changing the packing from plastic bottles to transparent
glass bottles.
2.1.4 The Seller shall label the bottles with the required labeling text and specifications. The
labeling proofs will be created by the Seller then will be reviewed and approved by the Buyer.
Label in the front of the bottle:
- Brand name
- Product of Canada
Label in the back of the bottle:
- Nutrition fact
- Ingredient
- Manufactured date
- Expired date
- Usage instruction
2.2 Product inspection
2.2.1 The Buyer shall have the right to inspect, control and/or examine Seller’s Goods after
Seller’s performance and delivery under the Contract.
2.3 Nonconforming goods
2.3.1 Nonconforming good is defined as Good that does not meet the specification
requirements in the Contract and is incompatible to use or is not right Good ordered by Buyer.
2.3.2 The Buyer has the right not to accept nonconforming Goods. The Buyer shall require the
Seller to replace the nonconforming Goods, without any additional expense to the Buyer.
2.4 Goods Liability

2.4.1 In the event of any ill effect arising from the Goods, including but not limited to food
poisoning, intoxication, sickness, or allergic reaction shall be shared responsibility of the Seller
and the Buyer.
2.4.2 The Seller and the Buyer shall negotiate to cover or compensate a third-party (medical
expenses, caregiving, and assistance expenses).
Article 3. Government approvals
3.1 The Seller shall provide the Buyer with necessary documents for customs clearance.
3.2 The Seller shall provide the Buyer with necessary documents and sample for imported
product declaration in Vietnam
3.2.1 Sample of the Goods
3.2.2 Original copy or certified true copy of Good’s Certificate of Free Sale which must be
issued and notarized by the Canadian Food Inspection Agency.
3.2.3 Original copy or certified true copy of the food safety data sheet issued within 12 months.
3.2.4 Detail label information
3.2.5 Certificate of Origin
3.3 If the Seller does not provide the Buyer with necessary documents which make the Buyer
cannot obtain Food and Safety certificate in Vietnam, the Seller shall responsible for any product-
declaration expenses incurred in Vietnam.
