Article 5: WARRANTY
- The Seller warrantsthat the Goods suppliedunder this Contract are brand-newand further
warrantsthat they haveno defectarisingfrom design,materialsor workmanshipor from any act
or omissionof the Sellerthat may developunderactualusageof the suppliedGoods.The Seller
represents andwarrantsthat no Equipmentsuppliedunderthis Contractis subjectto any pledges,
liens,encumbrances or any otherthird partyrights.
- This warrantyshallremainvalid for 12 monthsfrom the dateof receivingthe goodsor 13 months
from the dayof the OceanBill of Lading(B/L).
- The Purchasershall promptly notiff the Seller (Throughhis agentat Vietnam as Article 6) in
writing of any claimsarisingunderthis warranty.Upon receiptof suchnotice,the Selleror his
Vietnamagentshall,with all reasonable speed,repairor replacethe defectivegoodswithout costs
to the Purchaser.
- Warrantyshallbe excludedfor:
+ Partssubjectto wearandtear(hoses,electricalcables,electricalsocket,chainsling,shackles
aswellas servicematerial,filter, bolts,sleeves/bushes).
+ Lubricationandhydraulicoil.
+ Wearasa resultof operation.

Article 7: FORCE MAJEIIRE

- The partieshereto shall not be responsiblefor any failure to fulfill their dutiesand obligations
underthis contractif suchfailure is causedby directly or indirectlydue to war, enemyactions,
natural disaster,bad crop, the act of any government,act of terrorismoriot, civil commotion,
rebellion,accident,fire, lock out, strikeor othercausewhethersimilaror not beyondthe controlof
relevantparty, provide that the relevantparty shall use all reasonableefforts to minimize the
effectsof the same.

Article 8: APPLICABLE LAW AI\D JURISDICTION

- All disputesarisingin connectionwith this Contractif not settledamicablyshallbe finally settled
by a [03 (three)arbitratorpanel] of the SingaporeInternationalArbitration Centre("SIAC") in
accordance with the SIAC's ArbitrationRulescurrentlyin force.The placeof arbitrationshallbe
Singaporeandthe languageof the arbitrationshallbe in English.

Article 9: GENERAL CONDITIONS

- All partiesundertaketo carryout completelyandstrictlythis contract.If thereis anydifficulty will
discussto solvethe problem.Any amendmentand alterationof the termsand conditionsmustbe
confirmedby two partiesandmadein writing.
- This contractwill comeinto force afterit is signedby all partiesbut not laterthanJuly 17ü,2019
afterwhichtime the termandconditionssubjectto changesif necessary.
